YouTube, and seek valuable resources to aid their exam preparation.

insights, metrics, and recommendations for improvement.

Monthly Meetings: Regular check-in meetings to discuss progress,

The proposed budget for social media management services is
₹1,00,000 +GST, broken down as follows:

CONCLUSION

TERMS & CONDITIONS
1. Scope of Services:
Influenshah will provide content creation services including research, writing,
shooting, editing, and designing for social media.
Influenshah will create 36 posts per month.
2. Payment Terms:
Monthly Retainer: The complete monthly retainer of INR 1,00,000 will be paid in
advance.
Contract Duration: The service will be under a 12-month contract.
Payment Cycle: Payments will be made on a 28-day cycle, due on the last
business day of each cycle.
Late Payments: Late payments may incur additional charges at a rate of 1.5%
per month. Payments made after the due date will be considered late.
Price Exclusion: All prices are exclusive of GST. GST will be calculated and billed
separately.
3. Cancellation Policy:
Early Termination: Should the Client cancel the contract before the completion
of 12 months, they will be liable to pay 50% of the remaining monthly service
fees for the remaining months of the contract. Notice of cancellation must be
provided in writing at least 30 days in advance.
Unpaid Balances: Any unpaid balances become due immediately upon
cancellation.
4. Advertising and Content Production Costs:
Separate Billing: Advertising spend and content production costs are not
included in the monthly service fee and will be billed separately.
Third-Party Costs: The Client is responsible for all third-party costs associated
with the campaign. These costs will be communicated and approved by the
client before any expenditure.
5. Confidentiality:
Both parties agree to maintain the confidentiality of proprietary information and
not disclose it to third parties without prior written consent. This clause remains
in effect even after the termination of the contract. Proprietary information
includes, but is not limited to, business strategies, marketing plans, and financial
information.
6. Intellectual Property Rights:
Ownership: All content created by Influenshah remains the intellectual property
of the Client upon full payment.
Promotional Use: Influenshah retains the right to use campaign materials for
promotional purposes unless otherwise agreed upon by both parties.
7. Dispute Resolution:
Negotiation: Any disputes arising from this agreement will first be attempted to
be resolved through mutual negotiation.
Arbitration: If unresolved, disputes will be settled through arbitration in
accordance with the Arbitration and Conciliation Act, 1996. The location for
arbitration will be Chandigarh. Costs of arbitration will be borne by the losing
party or as determined by the arbitrator.
8. Force Majeure:
Neither party will be held responsible for delays or failure in performance caused
by circumstances beyond their control. Examples of force majeure events include
natural disasters, war, and government actions.
9. Entire Agreement:
This proposal and any attachments constitute the entire agreement between the
parties. Any amendments to this agreement must be in writing and signed by
both parties.
10. Acceptance:
By signing this proposal, the Client agrees to the terms and conditions set forth.
Electronic signatures are acceptable and binding.
