This "Sales Agreement" is entered on date (dd/mm/yyyy): 03/06/2025 between:

Greenlight Planet Zambia Limited, a company limited by shares with company Registration Number 120210011810 and
having its registered office at No. 5309 Dedan Kimathi Road, Kamwala, Lusaka, Lusaka Province, Zambia (hereinafter
referred to as "Greenlight", which expression shall be construed to include its successors in title, permitted assigns and
permitted transferees); and

(hereinafter referred to as "the Buyer" which expression shall be construed to include his / her personal representatives
and estate).

The Buyer, hereby agrees that he / she has read and understood the terms of this Agreement and/or had the same explained
to him / her in a language that he / she understands.

2. Sale and Payment: In consideration of the purchase price set out in Paragraph 1 above, Greenlight has agreed to sell and
the Buyer has agreed to purchase the above identified Product(s). The Buyer agrees that upon purchase of the unit that
they sign up to allow the Seller to call them from the time of purchase to be verified and activated on the lamp unit. By
agreeing to purchase the lamp /Product of choice, the Buyer agrees to the Seller sending them a text/sms on activation and
other product related information subject to an option to opt out at a time of their convenience.

3. Payment mode: The Buyer will pay the deposit by cash to the Greenlight representative and ensure his/her Greenlight
payment card is updated and signed off by both the Buyer and Greenlight Representative.

4. Balance Payment: The lamp will be automatically switched off if the payment is not made on or before the due date or if
the payment is made incorrectly. In the event that the Buyer defaults in paying for the unit, consent is hereby given to the
Seller to call them for debt collections calls between 8 am-5 pm Mon to Friday and 9am to 12 pm on Saturdays for
product activation follow ups. Within 24hrs from the time payment was made, the Buyer shall receive a keycode via SMS
on their registered phone number which needs to be entered on the keypad provided on the Product(s) for the Product(s) to
work. In case of any query, the Buyer can contact the Field Sales Executives (FSE) or visit the nearest Sun King Store.
The Buyer can also contact Greenlight's call center for FREE on 8001.

5. Risk in Goods: The risk in and control of the Product(s) shall pass to the Buyer once the Buyer takes possession of the
Product(s) The Buyer shall, therefore, be liable for loss or damage to the product to the full extent of the loss of damage
notwithstanding the full purchase price not being paid. However, the legal title to the Product(s) shall not pass to the
Buyer until Greenlight receives payment in full for the Product(s) in accordance with this agreement. All intellectual
properties in and to the Product would always belong to Greenlight.

6. Guarantee: The Buyer is eligible for replacements under Greenlight's warranty policy of within 2 years from the date of
retaining possession except the HomePlus Pro, Home 200X and 500X Products which have a 3-year warranty. The
warranty policy does not cover defects due to normal wear and tear and is void if the product has been tampered with,
abused, misused, damaged, or in case of fraud. All components are covered under the 2-year warranty period except for
accessories (radios, stoves, TVs) which have a 1-year warranty period.

7. Buyer's Obligations: The Buyer shall: (i) make all payments due in a timely manner; (ii) use the Product(s) in a careful
and proper manner; (iii) keep the Product(s) in good working order; (iv) not, whether by himself, his agents or any other
person acting under his authority, interfere with the functionality of the Product(s) before the Price is fully paid. and (v) be
responsible for ensuring the contact details held by Greenlight are accurate and remains current.

8. Buyer's Default: Notwithstanding anything to the contrary contained herein, the Buyer agrees that if he/she fails to
make payment on the due date and fails to remedy such breach within seven (7) days of being notified to do so, then,
without limiting any other right or remedy Greenlight may have, and in compliance with relevant laws and regulations; i.
Greenlight may at any time require the Buyer to return the Product(s) to Greenlight; ii. if the Buyer fails to do so
promptly, Greenlight may enter the premises of the Buyer or where the Product(s) is/are located in order to
recover/repossess them and shall refund the Buyer an amount 10% of the Deposit payment and the other 90% shall be
forfeited. Provided that if the product has been damaged, is missing components and/or has been tampered with in an
attempt to by-pass the electrical power switch, then the Buyer shall not be entitled to any refund whatsoever subject to the
Seller's right to claim for the damage occasioned to the product on account of the foregoing.

9. Reservations: In addition to the above, Greenlight also reserves all the rights and remedies, including specific
performance or any other equitable remedy, available to it under law or otherwise, to enforce the provisions of this
Agreement, more specifically for any breach or default by the Buyer, hereunder.

10. Carbon Credits: Carbon credits resulting from the sale under this agreement can be sold, assigned, or pledged at the
full discretion of Greenlight.

11. Use of information and personal data: The Buyer consents to, and authorizes, Greenlight Planet to collect, store, utilize
and/or report all personal data and payment history relating to the purchase and use of the goods and services sold. The
Buyer also consents that Greenlight may also use GPS or other location-tracking technology to determine product location
or any other activities related to monitoring the use and function of the product. Greenlight Planet will use personal data
collected solely for the purposes of selling to and servicing the customer, and if required, for reporting credit-related
information to an authorized credit reference bureau or collection agency. Greenlight also reserves the right to share
anonymized, aggregated data with third parties.

12. Dispute Resolution: This agreement and any dispute or claim arising out of or in connection with it or its subject
matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with
the laws of Zambia.

1. The parties shall endeavour in good faith to resolve any differences, disagreements, controversies and disputes that may arise from
and in connection with this agreement by way of discussions and negotiations.
2. Any dispute, difference or claim arising out of or in connection with this Agreement, including any question regarding its
existence, validity or termination, whether contractual or non-contractual ("a dispute") not resolved amicably through good faith
discussions and negotiations' within 30 days of arising shall finally be referred to arbitration for resolution by a single arbitrator
agreed upon the parties, in default of agreement appointed by the Chairman of the Zambia Institute of Arbitrators. The dispute
shall be referred to and finally resolved by Arbitration under the Arbitration (court proceedings) rules of 2001 of Zambia, statutory
instrument no. 75 of 2001, or the rules in force at the time, which are deemed to be incorporated into this agreement by reference
to this clause. The seat and venue of arbitration shall be in Lusaka. The language shall be English.

13. Binding Agreement: This agreement constitutes a valid and binding obligation of each Party and is enforceable against
it in accordance with its terms.

14. Transfer of Rights: Greenlight may at any time assign, charge, subcontract, delegate, declare a trust over or deal in any
other manner with any or all of its rights and obligations under this Agreement.

15. Buyer's Restrictions: The Buyer shall not assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over
or deal in any other manner with any of its rights and obligations under this Agreement, without Greenlight's prior written
consent.

16. Extent of Refund: Greenlight, at its own discretion, may process a deposit refund to the buyer if the product(s) is
returned within the period stipulated in the Greenlight policy subject to the returned product being complete and in good
working order after examination by Greenlight. The buyer shall however be fully liable for any damaged or missing
components when returning the product(s).

17. Limitation of Guarantee: For the product(s) containing TV and/or Radio, Greenlight does not guarantee content
availability or availability of any specific TV or Radio channels through the use of the product(s). Buyer is fully liable for
the legality of the content he/she accesses as well as any misuse of the product(s).
