1. Background
1.1 Party A and Party B have entered into a co-ownership agreement on [Date],
whereby they jointly invested in the establishment and operation of a branch of a Skin
Aesthetics Clinic (the "Clinic").
1.2 This Contract outlines the terms and conditions under which Party B is entitled to a
refund of their investment.
2. Refund Terms
2.1 Refund Amount: a) In the event that Party B wishes to terminate their co-ownership
and receive a refund of their investment, Party A shall refund Party B the initial
investment amount, which is defined as [insert investment amount in Philippine Pesos

2.2 Method of Refund

the Republic of the Philippines, without regard to its conflict of laws principles.
5.2 Any disputes arising out of or in connection with this Contract shall be submitted to
