MEMORANDUM RELATING TO DEPOSIT OF TITLE DEEDS
THIS MEMORANDUM is executed on this the day of 19th JUNE 2025,
Mr.V.ESWARAN (Aadhar No – 5298 5544 2739) (Mobile No.9976786687)
S/O.Mr.Vellu Pillai residing No.3C, Middle Street, Kudiyurppu, Tenkasi, Tamil
Nadu – 627 802. (hereinafter referred to as "the Mortgagors(s)" which expression
shall unless be repugnant to the context means and include my / our legal heirs,
representatives in interest, executors, administrators, successors and assigns) to
record the creation of mortgage by deposit of title deeds by me / us.
TO AND IN FAVOUR OF
NORTHERN ARC CAPITAL LIMITED a non-banking finance company incorporated
under the Companies Act, 1956, with Corporate Identity Number [CIN -
U65910TN1989PLC017021] and having its registered office at IIT-M Research
Park, Phase 1, 10th Floor, No.1, Kanagam Village, Taramani, Chennai – 600 113,
India (hereinafter referred to as "the Lender", which expression shall, unless it be
repugnant to the context or meaning thereof, be deemed to mean and include its
successors and assigns) AS UNDER:
1 That I/we am/are aware of the fact that pursuant to a loan agreement
dated the31stday of March2025(hereinafter referred to as "Loan Agreement"),
the Lender had granted / agreed to grant to the person(s) mentioned in Schedule
II hereto, hereinafter referred to as "the Borrower(s)", a loan facility of a sum
ofRs.2128344/-(RupeesTwenty One Lakhs Twenty Eight Thousand Three
Hundred and Forty Four Only) hereinafter referred to as "the Loan") on the
terms and conditions contained in the said Loan Agreement;
That on theLender", which expression shall, unless it be repugnant to the context or
meaning thereof, be deemed to mean and include its successors and assigns) AS
UNDER:

1 That I/we am/are aware of the fact that pursuant to a loan agreement
dated the 31stday of March2025. I / we, the Mortgagor(s) appeared in the office
of the Lender at Tirunelveli and deposited with the Lender, the title deeds,
documents and writings in original as described in Schedule III herein below
(hereinafter referred to as "Title Deeds"), which is valued approximately at
Rs.2128344/-(Rupees Twenty One Lakhs Twenty Eight Thousand Three
Hundred and Forty Four Only) as on 19.6.2025 as described in the Schedule IV
herein below (hereinafter referred to as "the Premises"), with the intent to create
equitable mortgage by deposit of title deeds in favour of the Lender over and in
respect of the Premises as security on charge basis, for the due repayment /
payment of the amounts payable under the Loan Agreement including principal of
the Loan, interest, liquidated damages, costs, charges and expenses and all other
monies whatsoever due and payable by the Borrower(s) to the Lender, whether
under the aforesaid Loan Agreement or otherwise (hereinafter collectively referred
to as "the Outstanding").
2 . That at the time of the deposit of Title Deeds relating to the Premises as
aforesaid, I / we, the Mortgagor(s) confirmed and declared the following:
a) That I / we am / are the absolute owner(s) of the Premises, that I / we have the
right to create aequitable mortgage over and in respect of the Premises, that
the Title Deeds, relating to the said Premises were the only documents of title
relating to the Premises, and that the same had been deposited with the
Lender, as aforesaid, and that they would remain as security till the entire
Outstanding secured by the said mortgage by deposit of title deeds are paid /
repaid to the Lender in full by the Borrower(s).
b) That I / we have clear and marketable title to the Premises.
c) That I / we have free, unencumbered peaceful possession of the Premises.
d) That no other person(s) other than me/us has/have any share, right, title or
interest of any kind or nature whatsoever in the Premises.

e) That no action, suit, proceeding or investigation is decided, disposed or
pending to my/our knowledge or threatened by/against me/us before any court
of law or other competent authority or body involving the Premises or which
might have any material effect on the Premises.
f) That no subsequent charge or encumbrance will be created on the Premises
without the prior written consent of the Lender.
g) That I/we undertake to indemnify the Lender against all claims and demands
whatsoever by any person claiming under me/us and by any other person
whatsoever lawfully or equitably.
