CONTRACT FOR SOFTWARE PROGRAMMING SERVICES

This agreement is made and entered into on this _____________, between Lunar Logic Polska, Sp. z o.o.
(hereinafter “CONTRACTOR”) And __________________________________
(hereinafter “COMPANY”).

NOW, THEREFORE, for and in consideration of the mutual covenants contained herein and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, COMPANY and
CONTRACTOR do hereby contract, covenant, and agree as follows:

1. CONTRACTOR hereby agrees to provide to COMPANY the following services:

• Software design, development, testing, and project management.

2. COMPANY hereby agrees to compensate CONTRACTOR at the following hourly rates (net) for services
rendered.

• Senior Programmer services - €

• Programmer services - €
• Software Testing - €
• Project Management – €

3. Such payment will occur within fifteen (15) days (“net 15 payment”) of receipt of CONTRACTOR’S monthly
invoice for completion of said services by CONTRACTOR.

4. CONTRACTOR retains the right to delegate performance of the work services and labor by agreement or
otherwise.

5. CONTRACTOR agrees it is not an employee of COMPANY for any purpose whatsoever.

6. CONTRACTOR agrees that it shall complete the work services or labor required under this Agreement in a
workmanlike manner and shall further keep all property of COMPANY free and clear of all liens and
encumbrances.

7. No waiver of any provision of this Agreement shall be deemed, or shall constitute, a waiver of any other
provision, whether or not similar, nor shall any waiver constitutes a continuing waiver.

8. All intellectual property created under this contract remains the sole property of COMPANY.

9. This contract encompasses the entire agreement of the parties and there are no other agreements, oral or
written.

10. This contract may not be modified or amended except in writing with the same degree of formality with
which this contract has been executed.

11. Should any part of this contract be adjudicated inoperative or invalid, the remaining provisions of this
contract will remain in effect and operate as if the invalid or inoperative provision had never existed.

12. The construction and interpretation of this contract and all transactions under it shall be governed by the
laws of Poland.

1. In this Agreement, words and expression shall assume the same meanings as
are respectively assigned to them in the Conditions of Contract hereinafter

of this Agreement.

2. In consideration of the payments to be made by the Employer to the Contractor

as indicated in this Agreement, the Contractor hereby covenants and agrees with
the Employer that the contractor shall execute and complete the Works and
remedy the defects therein in conformity in all respects with the provisions of the
Contract and shall undertake, ensure and process the completion of the Works
within the Time for Completion.

3. The Employer hereby covenants and agrees to pay the Contractor in

consideration of the execution and completion of the Works and the remedying
the defects therein, the Accepted Contract Amount or such other sum as may
become payable under the provisions of the Contract at the times and in the
manner prescribed by the Contract.

4. The contractor undertakes to execute and complete the Works within the Time for
Completion and to achieve the Milestones within the time prescribed thereof in
the Contract.

 5. The following documents shall be deemed to form and be read and construed as
integral part of this Agreement: This Agreement shall prevail over all other
Contract Documents.

a) the Letter of Acceptance, Invitation for bids

b) the Conditions of Contract, Part I- General Conditions of Contract (GCC)
c) the Conditions of Contract, Part II- Particular Conditions
d) Special Conditions of Contract (SCC) and Appendix to Bid
e) the Bid Form and Forms & Procedures
f) the priced Bill of Quantities;
g) the Technical Specifications (including criteria for measurement and
payments) and SJVN's Safety Manual
h) the Drawings;
i) Data Sheets
j) Any other documents forming part of the Contract.
