INSTRUCTIONS TO TENDERERS
1.    Tenderers are required to submit the completed Form of Tender, the Pricing
      Document and the other supporting documents required by these Instructions to
      Tenderers via the Corporation’s E-Tendering Website. All documents must be
      completed in English.
2.    Tenderers must complete the Form of Tender and the Pricing Document including the
      cost breakdown schedules using the file templates for the Form of Tender (FOT.xls)
      and the Pricing Document (BQ.xls) as included in the Tender Document. No
      alteration to the format of the templates is allowed. The completed Form of Tender
      and Pricing Document should be submitted through the E-Tendering Website with the
      file names unchanged and should not be compressed using any software utilities e.g.
      WinZip.
3.    The completed Form of Tender and Pricing Document should be submitted as the
      Financial Offer whilst all the remaining documents should be submitted as the
      Technical Offer through the E-Tendering Website.
4.    Tenderers should allow sufficient time to upload the tender submission via the
      Corporation’s E-Tendering Website before the tender closing time in order to avoid
      any unforeseen problems in the Internet.
5.    Tender submission must be completed before the tender closing time stipulated in the
      Invitation to Tender. Tenderers should note that:
      a.    An acknowledgement message will be displayed when a tender submission is
            completed.
      b.    If the submission end time of the tender is later than the specified tender closing
            time, the submission will be considered invalid and the tender will not be
            opened.
      c.    Submission without the duly completed Form of Tender will not be considered.
6.    All the items in the Pricing Document, including Provisional items, must be fully
      priced and extended and totalled. Should there be any items considered by tenderers
      as not appropriate to their tenders, tenderers shall clearly identify such items in their
      tender submissions. The Form of Tender must be fully completed, witnessed and
      dated. The Tender Sum and the Option Sums shown in the Form of Tender must
      agree with the respective totals shown in the Pricing Document. Should there be any
      discrepancy, the sums shown in the Form of Tender will take precedence.
7.    The financial ranking of the tenders for assessment and award purposes, will be based
      on the Tender Sum for the base contract of Contract C7635-23E, plus all the Option
      Sums of Contract C7635-23E.

10.   Tenderers shall not submit independent tenders for the Contract if they intend to act as
      a supplier, sub-contractor or sub-consultant for another tenderer, or if they are a
      partner of a joint venture established to tender for the Contract.
11.   Tenderers having linkage to each other, e.g. subsidiaries, holding or sister companies,
      shall not submit tenders for the same Contract, whether on their own or as a partner of
      a joint venture. “Sister companies” shall mean all companies which are subsidiaries
      of or otherwise belonging to the same holding company. The existence of a holding-
      subsidiary relationship shall be determined in accordance with the provisions in
      Sections 13 to 15 of the Companies Ordinance (Cap. 622) of Hong Kong. Tenderers
      having linkage to each other shall determine which company will submit a tender.
12. Tenders will be assessed on a financial and technical weighted assessment basis.
13.   No unauthorised alteration to the Tender Document is allowed and any tender
      containing any such alteration will be rejected.
14.   Tenderers shall submit compliant tenders without qualification. Alternative tender
      based on an alternative design necessitated by the tenderer’s proposed method of
      construction or manufacture and installation which shall meet the same essential
      criteria as those assumed or specified in the Tender Document will be considered
      provided that a compliant, unqualified tender is also submitted. In the event that the
      tenderer wishes to submit an alternative design as described above, he shall formally
      notify and discuss such alternative with the Corporation as early as possible during
      the tender period before his alternative tender is submitted.
15.   An alternative offer may be submitted in currencies other than Hong Kong dollars
      provided that:
      a.   the materials or equipment offered are manufactured overseas and the amount in
           any other currency exceeds HK$5,000,000.00 equivalent 10 days prior to the
           tender closing time.
      b.   local materials, equipment and labour are priced in Hong Kong dollars.
      c.   the currency quoted is a major freely convertible currency. United States Dollar,
           Chinese Yuan, Euro, Sterling Pound, Swiss Franc, Japanese Yen, Australian
           Dollar and Canadian Dollar are acceptable.
      d.   materials and equipment manufactured outside Hong Kong, which will receive a
           substantial amount of further processing in Hong Kong, are priced in Hong
           Kong dollars.
      e.   all items in the Pricing Document for preliminaries and general services,
           installation, site testing, commissioning and maintenance services are priced in
           Hong Kong dollars.

16.   Should there be any doubt as to the meaning of any part of the Tender Document or
      these Instructions to Tenderers or any other matter, tenderers must raise their queries
      not later than four weeks before the tender closing date. All queries will be responded
      to within one week after their receipt by the Corporation. No explanation given
      concerning any queries shall bind the Corporation or be used in interpreting or
      construing the Contract except insofar as the Tender Document may be amended by
      the Corporation with the issue of Tender Addendum, which will be issued to tenderers
      not later than three weeks before the tender closing date.
17.   Any query regarding the usage of the E-Tendering Website should be referred to the
      Corporation’s Help Desk at the telephone number : (852) 8109 1821 or email address :

      Any query regarding the Tender Document should be addressed in writing to Mr.
      Edmond Tsui, Senior Procurement & Contracts Manager, Procurement and Supply
      Chain Department, via the E-Tendering Website.
18.   In the event of a tenderer discovering a genuine mistake in his tender after despatch
      but prior to the tender closing time, the tenderer may draw attention to the error and
      submit an amendment via the E-Tendering Website. This may be accepted provided
      that it is received before the tender closing time.
19.   Tenderers may be required to attend a meeting with the Corporation’s Tender
      Assessment Team in Hong Kong during the tender assessment period in order to
      clarify their tenders. The tenderer’s nominated Project Manager together with any
      other senior members of the tenderer’s proposed project team will be required to
      attend such a meeting if it is considered necessary.
20.   Dependent upon the extent of clarification required during tender assessment, there
      may be a need for a Senior Management Meeting between the Corporation and each
      of the shortlisted tenderers before the award of the Contract. The Corporation
      reserves the right to award the Contract without such meetings if they are not
      considered necessary.
21.   Tenderers’ attention is drawn to the requirements of the Specification in respect of the
      Competent Person qualification. The Competent Person courses are generally held
      monthly for the duration stated in the Specification. Courses are conducted in
      Cantonese and by arrangement in English.
22.   Tenderers are required to complete and return the Safety Management Questionnaire
      contained in Appendix D. This must include an Outline Safety Management Plan for this
      Contract, which describes the proposed organization and arrangements for the execution
      of the Works. Tenderers’ attention is drawn to the requirements of the Specification in
      respect of Safety Management and in particular, to the successful tenderer’s obligation to
      provide a further, more detailed Safety Management Plan for the Contract. A copy of the
      Corporation’s Safety Policy Statement is contained in Appendix C.
23.   Tenderers are required to complete and return the Environmental Management
      Questionnaire contained in Appendix F. A copy of the Corporation Environmental
      Policy Statement is contained in Appendix E. Tenderers’ attention is also drawn to

24.   The Contract between the Corporation and the successful tenderer will be formed only
      by the Corporation’s Letter of Acceptance and the documents referred to therein.
      These Instructions to Tenderers will not be included in the Contract and no other
      document, from either the Corporation or the tenderer, will form part of the Contract
      unless specifically incorporated via the Letter of Acceptance or Letter of Clarification.
25.   The Corporation will arrange for Contractor’s All Risks and Third Party Insurance in
      accordance with the Conditions of Contract and the Appendix to the Form of Tender.
      Tenderers need not include the cost of such insurance in their tenders but should make
      an allowance to cover any excess. A Summary of Cover is contained in Appendix G.
26.   The successful tenderer will be required to provide Employees’ Compensation (EC)
      Insurance in accordance with the requirements as stated in Appendix H of these
      Instructions to Tenderers. Tenderers must provide with their tenders, satisfactory
      documentary evidence from their insurers confirming that EC cover as described will
      be provided or is already in force. If the tenderer comprises two or more companies
      and/or persons acting in partnership, joint venture or otherwise, then each such
      company or person must individually provide satisfactory documentary evidence with
      the tender as described above.
27.   The successful tenderers will be required to provide Professional Indemnity Insurance
      in accordance with the requirements as stated in Clause 26.3 of the Conditions of
      Contract. Tenderers shall sign and submit with their tenders a Letter of Undertaking
      for Professional Indemnity Insurance in the form annexed to the Form of Tender.
28.   The successful tenderer will be required to provide a guarantee in accordance with the
      requirements as stated in Clause 13.2 of the Conditions of Contract. In the event that
      the guarantee is provided by a company, which is not registered in Hong Kong or the
      People’s Republic of China, an independent legal opinion letter will be required to
      accompany with the guarantee confirming that:
      a. the company’s authorization of the signatory to execute the guarantee is valid; and
      b. the guarantee is duly executed and is legally binding on the company;
in accordance with the laws of the country in which the company is registered.
      In the event that the company is registered in the People’s Republic of China, the
      following support documents will be required:

      The notarial certificates for items a, b and c above should be in its original form, and
      issued not earlier than three months prior to the date of submission of the guarantee.
29.   Tenderers should examine the site and all relevant documentation prior to the
      submission of their tenders. Any request for a site visit or document inspection must
      be made in writing to Mr. Edmond Tsui, Senior Procurement & Contracts Manager,
      Procurement and Supply Chain Department, via the E-Tendering Website.
30.   Tenderers will be deemed to have carefully examined the site, the Tender Document
      and all relevant documentation, and to have satisfied themselves as to the correctness
      and sufficiency of their tenders and the risks and obligations that they have offered to
      undertake. The Corporation will not accept any claims arising from any oversight or
      misinterpretation of the Tender Document.
31.   The Corporation is not bound to accept the lowest or any tender received and reserves
      the right to reject any tender which does not comply with the requirements of the
      Tender Document and these Instructions to Tenderers.
32.   The offer of any advantage or any other inducement to any person with a view to
      influencing the placing of the Contract will result in the rejection of the tender. This
      may also be an offence under the Hong Kong Prevention of Bribery Ordinance and
      offenders may be subject to prosecution.
33.   Tenderer’s attention is drawn to the confirmation statements to be made in the Form
      of Tender. If any of such confirmation statements made by the tenderer turns out to be
      untrue, the Corporation shall reserve the right to terminate the Contract and to recover
      from the tenderer all direct, indirect, consequential costs and/ or losses which the
      Corporation may incur as a result of the tenderer’s failure to provide true confirmation
      statements.
34.   Tenderers must treat all documents and information supplied by the Corporation as
      private and confidential. If the tenderer should decline to tender or be advised that he
      has not been awarded the Contract, he shall, at his own cost, dispose of the Tender
      Document by a confidential method.
35.   This procurement is subject to the provisions of the World Trade Organisation
      Agreement on Government Procurement (GPA).

Tenderers must include the information as required in Sections I, II and III below in their tender
submission, whereas the information as requested in Section IV below is optional. Tenderers
shall also submit a table listing the file names in sequence, such as A01.pdf, A02.pdf and etc.,
with a brief description of the information contained in the respective files. Except the original
of the documents requested in Clauses 1 and 18.3 below, the information for the six Sections
below shall be submitted as the Technical Offer through the E-Tendering Website:
       (i)     Resolution of the Board of Directors’ Meeting and the specimen signatures of
               the authorized signatories in accordance with Clause 1 below;
       (iii)   Details and submission relating to the Joint Ventures in accordance with Clause
               17 below, if applicable;
(iv) The Letter of Indemnity duly signed in accordance with Clause 18.2 below;
(i) Spare parts, special tools and test equipment in accordance with Clause 3 below;
(iv) Information for Major Plant and Materials in accordance with Clause 6 below;

      (ix)    Confirmation letter(s) from the proposed supplier(s) of the Major Equipment and
              Software in accordance with Clause 15.2 below.
(vii) Details of software quality assurance in accordance with Clause 13 below; and
      (i)     Details including a Tender Programme of any Alternative Offer based on the
              tenderer’s alternative design in accordance with Clause 14 of the Instructions to
              Tenderers and Clause 16 below. The price of any submission under this Section
              shall be contained in the Financial Offer.

      Tenderers shall submit a certified true and correct copy of Resolution of the Board of
      Directors’ Meeting of tenderers, executed with the common seal of tenderers, authorizing
      member(s) of tenderers to sign and execute (specifying whether singly or jointly) the
      Contract and documents of the Corporation for and on behalf of tenderers. A copy of the
      specimen signatures of the authorized signatories is also required.
      For tenderers registered in the People’s Republic of China, the following documents
      instead of the above documents shall be submitted:
      The notarial certificates for items a, b and c above shall be in its original form, and
      issued not earlier than three months prior to the date of submission of the tender.
      In addition to submission of the above documents in electronic format, the original of the
      above documents in hardcopy shall be submitted to the Tender Box, which is located
      adjacent to the reception desk at the main entrance to the MTR Headquarters Building.
      The submission shall be enclosed in a plain sealed package with no visible name or mark
      to identify tenderers, and must be addressed as follows:
       2.1 Tenderers shall submit with their tenders a statement in the form shown in Appendix L
            to these Instructions to Tenderers, giving any changes that have occurred in respect
            of all the information which tenderers have previously supplied for the

            prequalification for the Contract together with their most recent audited financial
            accounts.
       3.1 Tenderers shall complete the list of spare parts, special tools and test equipment in the
            relevant part of the Pricing Document. The onus shall be on tenderers to ensure that
            this list is complete, and tenderers shall include in their tenders the spare parts,
            special tools and test equipment in accordance with Clause 12.4 of the Particular
            Specification. Tenderers shall include in their tenders their estimation of the annual
            consumption of the spare parts listed along with itemised delivery periods.
4.    Tenderer’s Method of Manufacture and Installation
       4.1 For all the clauses below referring to the standards such as BS or IEC, tenderers’
            response shall specify the standards, or their proposed equivalent, against the clause.
       4.2 Tenderers’ response to Clause 4.3 below shall be structured in sections and with
            reference to the corresponding sub-clause number and heading in Clause 4.3 below.
            Tenderers’ response shall be self-contained and cross-reference to any other
            information contained in other sections of the tender submission shall be avoided.
       4.3 Tenderers shall submit with their tenders a statement entitled “Tenderer’s Method of
            Manufacture and Installation” in which tenderers shall set out the method of design,
            manufacture and installation that tenderers consider necessary to carry out the Works
            in accordance with the requirements given below. This submission is required for
            the tender evaluation and shall not form part of the Contract unless specifically
            incorporated by the Corporation via the Letter of Clarification. For the purpose of
            technical evaluation, tenderers shall make reference to the available information
            including the drawings in Appendix R to the Instructions to Tenderers and Drawings
            given in the Particular Specification in the submission, which shall include the
            following items (a) to (n):
            (a) A Case Study exemplified by the Tin Hau Substation (THT) to detail the
                 following as a minimum:
                 (i)    Details and drawings as to how the existing equipment of 33kV, 415V
                        and 1500V d.c. systems and diode earth traction current return system
                        within the Substation will be replaced, changed over and migrated to
                        the new Power Supply System, sub-main Low Voltage Switchboards
                        (LVSBs), sub-main Motor Control Centres (MCCs) and floating
                        negative traction current return system as well as the necessary phasing
                        and interfacing activities involved in different stages of the Works,
                        without prejudice to the safe and efficient operations of train and
                        station services substantiating with the compliance of Railway Safety
                        Rules requirements.
                 (ii) Details and drawings as to how the temporary and new Power Supply
                        System, sub-main LVSB and sub-main MCC equipment will be stored,
                        delivered to and installed on site, and how the existing Power Supply
                        System, sub-main LVSB and sub-main MCC equipment will be
                        demolished on site, taking into account any brownfield site constraints.

      (e) The policy for allocation of works, computer and design resources, manning
          levels and responsibility for supervision.
      (f)   The method of management and co-ordination of interfaces between the
            Contractor, Designated Contractors, Interfacing Contractors and the
            Employer’s Interfacing Parties, and between the Contractor, subsidiaries and
            his sub-contractors and sub-consultants.        In particular the following
            interfaces shall be demonstrated as appropriate: Main Control System, Power
            Remote Control, Station Management System , ECS Control System, Works
            by the Phase 1 Contractor, Network, Tunnel Lighting System, Overhead Line
            System, Power Companies, Signalling System, Passenger Screen Door /
            Automatic Platform Gate System, Civil / ABWF Including Works on
            Signage and Advertising Panels, Power Supply System, Unified
            Communication System, Security and Access Management System,

                LVSBs and MCCs. Tenderers shall give a narrative if the alternative LVSBs
                and MCCs replacement workflow is evaluated as not justified in SWH after
                the detailed study.
           (n) Tenderers shall also extend the study for other locations if the LV
               replacement strategy in (m) is evaluated as technically applicable. The cost
               and programme benefits over the reference design given in the PS shall be
               submitted.
      5.1 Tenderers shall submit a statement on “Resources and Manpower Details” in which
           tenderers shall set out the resources and manpower that tenderers consider necessary
           to carry out the Works in accordance with the Tender Programme. This submission
           shall include the following information:
           (a) The proposed organisation chart for this Contract including the sub-
                consultants’ and sub-contractors’ organisation.          Details and written
                explanation of the organisation chart shall be submitted.
           (b) Typical generic job descriptions for each member of the team shown on the
                organisation chart.
           (c) Curricula vitae of each member of the team showing name, qualifications,
                responsibility, relevant experience, period of employment with the tenderer
                and availability of each member.
           (d) Curriculum vitae of the tenderer’s (including the local and overseas sub-
                consultants’ and sub-contractors’) key staff members for the Contract;
                including details of their relevant experience, manufacturing supervisors in
                charge of the overall field installation or workshop preparing or assembling
                all materials for the planned installation. The actual hands-on working
                experience should be elaborated, in particular for those projects which are
                similar in terms of volume of work, fast-track programmes and working
                environments similar to this Contract.
           (e) A manpower histogram which shall include the following:
                 (i) The levels and numbers of proposed staff in the tenderer’s team at each
                       stage of the Works. Staff shall be classified on the basis of the
                       following categories: project management, design, construction, testing
                       and commissioning, system integration and coordination, programming
                       and planning, system assurance, quality assurance and documentation,
                       network and software engineering, construction safety, environmental
                       engineering, engineering and maintenance support; and
                 (ii) Labour on a monthly basis broken down into on and off Site and into
                       the various trades or operative categories that the tenderer expects to
                       engage on the Works.
           (f) Proposed Manpower Resource Plan for directly or indirectly employed staff
                and manual workers to be employed on Site during the whole duration of the
                Contract using the proforma provided in Appendix M to these Instructions to
                Tenderers. Detailed information of the mobilization of establishment of the
                dedicated project team, availability of such manpower resources, the plan to
                secure them in the event that such resources are not currently available within

       6.1 Tenderers shall submit information for the major Plant and Materials listed below to
            demonstrate that the proposed manufacturers, or the tenderer if such Plant and
            Materials are manufactured or assembled by the tenderer directly, are capable of
            manufacturing the Plant and Materials in compliance with the requirements of the
            Specification and programme of the Works.
       6.2 Tenderers shall submit the Equipment Schedule in Appendix K for the proposed
            equipment and materials. Tenderers shall propose at least TWO suppliers for each
            type of equipment to be offered. Tenderers shall provide substantiation if only one
            supplier is proposed for particular equipment or material. Tenderers shall use a
            separate sheet for each supplier. Tenderers shall be fully aware that failure of
            compliance with major technical parameters as specified in the Specification may
            result in their tender being excluded from further consideration by the Corporation.
            Tenderers shall note that the Corporation’s acceptance of any information in their
            tender does not imply Approval of the equipment proposed, unless specifically
            incorporated by the Corporation into the Contract via the Letter of Clarification. The
            selection of the suppliers after award of the Contract shall be subject to the Approval
            process as specified in the Specification.

      6.3 Tenderers shall provide the following details for each of the proposed Plant and
           Materials:
           (b) job reference, test certificates and records of all a.c. and d.c. switchgear
               proposed for the Works;
           (c) job reference, test certificates and type test records for synthetic insulating
               fluid type services transformer;
           (d) job reference, test certificates and type test records for rectifier transformer
               and rectifier unit;
           (e) job reference, test certificates and type test records for all cables and joints
               proposed for the Works;
           (f) job reference, test certificates and type test records for overvoltage protective
               device and drainage diode equipment
           (g) details of the hardware and software configuration, job reference, test
               certificates, type test and operation records of the 61850 System;
           (h) details of the power inverter equipment including job reference and railway
               operation experience, test certificates and type test records;
           (i) details of the hardware and software configuration, job reference, test
               certificates, type test and operation records of the On-line Condition
               Monitoring Systems;
           (j) details of the hardware and software configuration, job reference, test
               certificates, type test if any and operation records of the Digital Twins System;
           (k) methodologies and details of the proposed software packages to be used for
               the design of the Power Supply System including load flow simulation studies,

          system (e.g. ISO);

          requirements in Clause 12 of the Particular Specification;

      6.4 Tenderers shall note that the successful tenderer shall be required to provide the
           proposed equipment with certification from the country of origin to authenticate the
           country of origin.
      6.5 Tenderers shall note that the acceptance of the names of the manufacturers, as
           specifically incorporated into the Contract via the Letter of Clarification, does not:
           b. relieve the successful tenderer of his obligation to obtain Approval for the items
              of equipment or materials and to demonstrate with sufficient Design Data that
              the items of equipment and materials will achieve the specified design criteria
              when installed in the system and when tested in accordance with the
              Specification.
      6.6 Tenderers shall identify in weeks the period of manufacture and delivery to Site
           following Approval of the equipment by the Engineer.
            6.7.1 Tenderers shall provide the predicted Mean Time Between Failures (in
                  hours) and state the data source. The preferred source is the actual in-
                  service statistics of similar or identical operating units.
            6.7.2 The equipment for which this information is required shall include the

7. Management of Manufacturers
            (a)   Policy and procedure for the selection of manufacturer, in particular the
                  manufacturers of the major Plant and Materials as listed in Clause 6.2 above;
            (c)   A proposed programme for manufacture and delivery of the Plant and
                  Materials. Tenderers shall describe the activities and schedule of
                  manufacturing and delivery of the Plant and Materials with detailed
                  information including peak resource requirement, time constraints, typical
                  cycle times, productivity outputs and logical interdependencies. The
                  proposed programme shall be in line with the programmes submitted under
                  Clause 10 below.

             (b)   A project specific Health and Safety Plan, which contains the following:
                   (i) A copy of the tenderer’s health and safety policy;
                   (ii) The safety organisation that the tenderer proposes for the Contract;
                   (iii) The Safety Management System that the tenderer proposes to
                         implement on the Contract to ensure a safe working environment which
                         achieves the highest possible safety standards; and
                   (iv) The methodology to enforce the health and safety policy.
            (c)    Relevant project experience of the tenderer in the past 5 years, stating the
                   names of the projects, providing a short description of the scope of the
                   projects, and provide, where a project had been undertaken by a joint
                   venture, the name(s) of the joint venture partner(s).
            (d)    Number of manhours and mandays worked for the whole company in the
                   past 5 years.
            (e)    Number of prosecutions for breach of health and safety legislation for the
                   whole company in the past 5 years.
            (f)    The number of fatal accidents that have occurred on sites under the
                   tenderer’s control, or part of a joint venture, in the last 5 years and the cause
                   of the fatality.
            (g)    The number of reportable accidents that have occurred on sites under the
                   tenderer’s control, or as part of a joint venture, in the last 5 years. A
                   reportable accident is an accident resulting in incapacity for above 3 days.
            (h)    The number of dangerous occurrences that have occurred on sites under the
                   tenderer’s control, or as part of a joint venture, in the last 5 years.
        8.2 Tenderers shall provide the information for Clauses 8.1 (d) to (j) by using the

       8.3 The details to be submitted under Clauses 8.1 (c) to (j) shall not be limited to

            Instructions to Tenderers.
9.    System Assurance
      9.2       Tenderers shall make reference to the General Specification and the specific system
                assurance and risk management requirements in the Particular Specification, and
                submit with their tenders, the following system assurance and risk management
                documentation:
                (a)     The name and experience of the responsible party competent for system
                        assurance and risk management activities (i.e. fulfilling the roles of system
                        assurance and risk management manager and risk review leaders).
                (b)     An outline of system assurance and risk management plan including the site
                        arrangement for site staff including those from sub-contractors, as well as a
                        schedule for the project, showing target dates of conducting system

      10.1 Tenderers shall submit with their tenders a Tender Programme for the Execution of
           the Works. The Tender Programme shall include activities relating to all phases of
           the Works including design, procurement, construction, testing and commissioning
           and statutory inspection. The Tender Programme shall be developed using critical
           path method network techniques and shall show all major activities which make up
           the Works of the Contract from start to completion and their logical
           interdependencies. The duration of all activities shall be expressed in Days. No
           single activity shall extend beyond 13 weeks.
      10.2 Key Dates and Completion Obligations shall be an integral part of the network and all
           activities, sequencing and interrelationships required to achieve each of these dates
           shall be shown. The critical path or paths shall be clearly identified on the Tender
           Programme and fully described in the accompanying programme narrative.
      10.4 Tenderers shall submit a programme narrative that describes the basis of the Tender
           Programme, the critical path and provide details of daily working hours, shift
           patterns where applicable, holidays, peak resource or time constraints, typical cycle
           times, and assumed track possession availability and productivity outputs in terms of
           quantity and manpower/plant resource for all major activities and areas of work.
      10.5 The project management software to be used for the project shall be Primavera
           Project Planner version 6.0 as manufactured by Primavera Systems Inc. The Tender
           Programme shall be prepared and submitted in the file format of Primavera Project
           Planner version 6.0. A copy of the Tender Programme in portable document format
           (pdf) shall also be submitted.

      11.1   Tenderers must submit with their tenders the following quality management
             documentation:
             (a)   A detailed organisation chart showing how the quality function is organised
                   within the organisation of the tenderer, which shall identify the
                   responsibilities, authority and interrelation of all personnel, including the
                   quality manager, who will manage, perform and verify work affecting
                   quality. The organisation chart shall be specific to this Contract.
             (d)   A copy of the quality plan for a comparable project recently undertaken by
                   the tenderer.
             (f)   A typical inspection and test plan implemented by the tenderer on any
                   previous contract of nature similar to this Contract.
             (g)   A typical design plan describing design review, verification, validation and
                   change control activities for a comparable project recently undertaken by
                   the tenderer.
       12.1 Tenderers shall submit with their tenders the following environmental management
            documentation:

             (d)   Details of any environmental related fines or legal proceedings in the last 5
                   years.
       Where the tenderer is a joint venture, the details submitted under sub-clause (d) shall be
           submitted in respect of each of the joint venture partners.
       13.1 Tenderers shall submit a software design process plan describing the complete
            software design cycle starting from functional requirements preparation to
            verification and testing. Tenderers’ experience in software development process and
            configuration management and any awarded software quality certification shall be
            described in the plan.
       13.2 Tenderers shall indicate the extent of usage of commercial off-the-shelf software
            packages and custom-made software for the Contract. For each commercial off-the-
            shelf software package to be used, tenderers shall submit the following details for
            technical evaluation:
             • Name, version and developer of the software package;
             • Major functionalities offered by the software package and its intended usage;
             • Degree of customization required for achieving the requirements in the
                 Particular Specification;
             • Licensing requirements and restrictions on usage; and
             • Reference of use of the commercial off-the-shelf software package.
       13.3 Tenderers shall also indicate the extent of usage of self-developed software package
            proposed to be used for the Contract. For each custom-made software proposed to be
            used, tenderers shall submit the following details for technical evaluation:
             • Name of custom-made software;
             • Major functionalities offered by the software for achieving the requirements
                 specified in the Particular Specification; and
             • Name and version of the software development kit, compiler and the
                 programming language.
14. Sub-contracting
      14.1   If the tenderer wishes to sub-contract parts of the Works or temporarily engage the
             services of individual specialists, the tenderer shall state in Appendix O to these
             Instructions to Tenderers those parts together with the name or names of the sub-
             contractors/sub-consultants or others the tenderer wishes to employ and supply

      15.1 Tenderers shall, by submitting their tender, confirm their understanding of the
           requirements of the Contract and that the equipment and systems offered are in full
           compliance with the Specification. Tenderers shall complete the Statement of
           Compliance in Appendix I to these Instructions to Tenderers.
      15.2 In order to demonstrate compliance with the new Clause 106 and Appendix H of the
            Conditions of Contract as added in the Appendix to the Form of Tender, tenderers
            shall submit confirmation letter(s) from the proposed supplier(s) of the Major
            Equipment and Software confirming their agreement to enter into Support
            Agreement(s) with the Corporation in the event that the Contract is awarded to the
            tenderer.
      15.3 In order to demonstrate compliance with the new Clause 5.7 and Appendix I of the
            Conditions of Contract as added in the Appendix to the Form of Tender, tenderers
            shall submit confirming letter(s) from their proposed sub-contractor(s) / supplier(s)
            of the Major Plant and Materials in Clause 6 above, except building services
            equipment, together with the following software confirming their agreement to
            provide the domestic sub-contractor warranty in the event that the Contract is
            awarded to the tenderer.
           Software
      The software provided with the 61850 System, On-line Condition Monitoring System,
           Digital Twins System and the systems, equipment and devices in Clause 6 above.
16. Alternative Offer
      16.1 In the event of any alternative offer, tenderers shall submit full details of each
           deviation from the specified requirement, making reference to the relevant clauses
           and sub-clause numbers, in the format in Appendix J to these Instructions to
           Tenderers.
      16.3 In the event that the tenderer wishes to submit an alternative design as described in
            Clause 16.2, the tenderer shall formally notify and discuss such alternative with the
            Corporation as early as possible before the tender closing date and such discussions
            will be treated as confidential. The Corporation will make available a copy of the
            relevant Design Standards Manuals and/or Functional Requirements Manuals, if
            applicable, to the tenderer to be returned subsequent to such discussion. In the event
            that an alternative offer based upon an alternative design is submitted without prior

           formal notification and discussion, the alternative offer may not be considered for
           acceptance.
      16.4 Alternative offers shall be accompanied by all drawings, specific data, detailed
           calculations and other supporting evidence necessary for the Corporation to fully
           evaluate the offers. The tenderer shall prepare and submit a fully priced relevant
           Pricing Document and such additions or amendments to the Specification as may be
           relevant to such offers together with a Tender Programme and details of any
           consequent effects on the Tender Programme. Should any such offers submitted by
           the tenderer be accepted by the Corporation, the submitted Pricing Document, and
           additions or amendments to the Specification shall (subject to any agreed
           amendment) form part of the Contract by inclusion in the Letter of Clarification.
      16.5 Should the tenderer elect to offer an alternative offer in accordance with Clause 16.2
           above, the tenderer shall submit additional Form of Tender and Pricing Document
           for the alternative offer. The corresponding templates for the Form of Tender and
           Pricing Document will be issued to the tenderer via the E-Tendering Website.
      16.6 Discussions before the tender closing date which demonstrate the general
           acceptability of any proposed alternative design for a proposed method of installation
           will not necessarily mean either that the details developed later will also be approved,
           or that the later development will not invalidate the acceptance of the offers. In the
           event of an alternative design of the whole or any part of the Works being accepted
           by the Corporation, such alternative design shall be entirely subject to the approval
           of the Engineer under the Contract.
      16.7 Tenderers who do not normally manufacture to the international or national standards
           nominated in the Specification may offer Plant and Materials in accordance with
           other recognised international or national standards provided that:
            (a) they supply with their tender 2 copies of such standards in the English
                language; and
            (b) they list out and describe the effect of any significant differences between
                their nominated standards and the specified standards.
      17.1 The tenderer in the form of Joint Venture shall submit the Joint Venture Agreement
           for the Corporation’s review by 19 August 2023 before execution and submit a copy
           of such Joint Venture / Consortium Agreement with their tenders.

             (c) The legal form of the Joint Venture, including details as to the authority,
                 responsibilities, method of resolving disputes between the parties, degree of
                 participation and powers of each party to the Joint Venture, including where
                 appropriate, the name of the Lead Party or Sponsor;
             (d) The operational structure of the Joint Venture as it relates to the Contract;
                 and
             (e) Details of any indemnity provision and any other detail that will help clarify
                 the position of the Joint Venture with regards to obligations arising from the
                 Contract.
       17.2 In the event that the Joint Venture has not yet been entered into, the tenderer shall
             include with their tender either a copy of the pre-bid agreement or some other
             evidence showing how the formal commencement of the Joint Venture / Consortium
             will be arranged with effect from a date no later than 7 days prior to the date for
             Commencement of the Works. Unless it is apparent from other documents
             submitted with the tender, clear documentary indication as to who is to lead the Joint
             Venture / Consortium during the tender assessment together with appropriate written
             authorities shall also be submitted.
       17.3 The tenderer should note that the Corporation will require the parties comprising the
            Joint Venture to accept joint and several liability for all contractual undertakings
            arising from the Contract and that each Joint Venture partner will be required to
            provide a joint and several (parent) company guarantees to the Corporation.
       17.4 The Corporation reserves the right to reject any tender where it is of the opinion that
            the Joint Venture arrangements are not satisfactory.
       17.5 The Corporation may require the tenderer at any time prior to the award of the
            Contract to produce further details or submit further documents related to the Joint
            Venture Agreement as he deems necessary.
18. Copyright
      18.1   The documents, plans, drawings or other materials forming part of the Tender
             Document shall only be used by tenderers or any person authorized or licensed by
             tenderers for the purpose of preparing their tenders. All other rights in the aforesaid
             materials are reserved by the relevant copyright owners. The tenderer shall be liable
             to the Corporation for breach of the foregoing by any such person as if the breach
             was committed by the tenderer.
      18.2   The tenderer shall indemnify and keep indemnified the Corporation against all losses,
             liabilities, damages, costs, legal costs, professional and other expenses of any nature
             whatsoever incurred or suffered by the Corporation whether direct or consequential
             arising out of any disputes or other claims or proceedings against the Corporation by
             any third party by reason of any breach of Clause 18.1 above by the tenderer or any
             person authorized or licensed by the tenderer. In this connection, tenderers shall
             submit with their tenders a Letter of Indemnity in the form set out in Appendix P to

      18.3 In addition to submission of the Letter of Indemnity in electronic format, the original
            of the Letter of Indemnity in hardcopy shall be submitted to the Tender Box together
            with the original of certified true and correct copy of Resolution of the Board of
            Directors’ Meeting in accordance with Clause 1 above.
      19.1 Tenderers shall provide details of their proposals for electronic data transfer of
           drawings, text and programme information in accordance with the requirements of
           the General Specification.
20. Confidentially
      20.1 Tenderers shall treat all documents or information supplied to them by the
           Corporation for the purposes of submitting a tender and the details of their tender as
           private and confidential.
      20.2 Tenderers shall at their own expense dispose the Tender Document in a secure
           manner on being advised that the Contract is not awarded to them.
21. Pre-award Audit on Manufacturers of Major Plant and Materials
      21.1 The Corporation may carry out a pre-award audit of tenderers and/or the proposed
           manufacturers of the major Plant and Materials in order to verify the information
           provided in accordance with Clauses 6.1 and 6.2 above to be assured that tenderers
           and/or the proposed manufacturers are capable of manufacturing and testing the
           Plant and Materials to meet the quality and programme requirements as specified in
           the Contract.
22. Tender Briefing and Site Visit
      22.1 The briefing session will be held with all tenderers and the objective is to provide a
           forum for the Corporation to give an overview of the scope of the Works and the
           tender submission requirements. The exact schedules of the tender briefing will be
           confirmed by the Corporation to tenderers at a later date.
      22.2 Tenderers shall satisfy themselves with the extent of the Works and all the site
           conditions before the submission of their tenders. Tenderers are advised to attend
           site visits to Tin Hau Substation (THT), Sai Wan Ho Station (SWH), Tai Wo Hau
           Station (TWH) and Tsuen Wan Depot (TWD) in August 2023 tentatively. The exact
           schedules of the site visits will be confirmed by the Corporation to tenderers at a
           later date.

      22.3 Besides the site visits to THT, SWH, TWH and TWD as stated in Clause 22.2,
           tenderers shall also inform the Corporation of any specific areas they wish to visit.
           Such request shall be made one week in advance in writing to Mr. Edmond Tsui,
           Senior Procurement & Contracts Manager, Procurement and Supply Chain
           Department, via the E-Tendering Website.
23. Tenderer Workshop
      23.1 Tenderers will be invited to attend a workshop at their own cost with the Corporation
           in Hong Kong, tentatively in August 2023. The exact time and venue will be
           confirmed by the Corporation at a later date.
      23.2 The workshop will be held with each tenderer individually and the objective is to
           provide a forum for the Corporation and the tenderer to discuss and clarify the
           system requirements and tender submission requirements.
24. Inspection of Documents
      24.1 Other documents, drawings and information not included in the Tender Document,
           but are available for inspection by tenderers during the tendering period by prior
           appointment with the Corporation are listed below. Tenderers are advised to examine
           all relevant documentation prior to the submission of their tenders.

The tenderer shall provide documentary evidence from its insurer that its Employees’
Compensation Insurance Policy conforms to the following:
1.    The Contractor and MTR Corporation Limited shall be named as the Insured in the
      Schedule to the Policy. To meet this requirement, the Corporation’s name must be
      included in the paragraph describing the identity of the Insured. Merely being named as
      Principal is insufficient. The following is a suggested wording for Insured under the
      Policy
      “MTR Corporation Limited and/or the Principal Contractor and/or all Sub-Contractors
      of every tier and/or Consultants of every tier employed by the Principal Contractor all
      for their respective rights and interests.”
      For the purposes of this policy and for the avoidance of doubt, the term “Sub-
      Contractors” shall be deemed to be any organisations, consultants or suppliers whether
      corporate or sole proprietors who fall within the scope of sub-contractors under the
      Contract.
2.    Exclusion clauses which explicitly exclude any person (such as self-employed persons,
      partner or sole proprietor) from the cover of the Policy are not allowed.
3.    Endorsement W204 and Endorsement W348 in the following words shall be endorsed
      on the Policy.
(a) W204
            “It is hereby understood and agreed that the indemnity herein granted is extended
            to indemnify the Insured against liability at law (including liability under the
            Legislation set out in the Schedule) to employees in the employ of sub-contractors
            performing work for the Insured while engaged in the Business in respect of
            which this Policy is granted.
It is further understood and agreed that Exception (a) of this Policy is deleted.
(b) W348
            “It is hereby understood and agreed that the witnessing clause of this Policy is
            deemed to be deleted and replaced by the following:

            ‘Now this Policy witnesseth that if any employee in the immediate service of any

            accident or disease caused during the Period of Insurance and arising out of and in
            the course of his employment by the Insured in the Business.’
It is further understood and agreed that Exception (a) of this Policy is deleted.
            “All employees of the Insured employed about the Business are insured under this
            Policy notwithstanding that their wages, salaries and other earnings may not have
            been included in the estimated amount of wages, salaries and other earnings on
            which the Premium is based as recorded in the Schedule. The wages, salaries and
            other earnings of such employees shall be advised to the Insurer at a time to be
            mutually agreed between Insured and Insurer but not later than one month from
            the expiry date of any Period of Insurance when the Premium will be adjusted in
            accordance with this Policy.”
            “Notwithstanding the provisions of Endorsement W348 this Policy does not insure
            any employee of the MTR Corporation Limited.”
      (c)   Cover for Employees whilst Proceeding to and from Work During
            Extraordinary Weather Conditions
            “In the event of any employee of the Insured whose attendance at his place of
            employment is required by the Insured during extraordinary weather conditions
            being injured or killed whilst proceeding directly to his place of employment or
            returning therefrom, such injury or death shall be deemed to have arisen out of or
            in the course of the employee’s employment for the purposes of this Policy.”
