Commercial Terms and Conditions for Contracts:
1. Payment Terms
50% with you acceptance
40% on receipt on intimation from us that Erection process completed.
10% on intimation to you of the physical completion of installation after one month.
Irrespective of any delay in building completion, availability of permanent power supply or by
any cause beyond our control, the final N10% will be due to us within 60 days from the
date of our intimation that material is at warehouse.
2. Taxes and Duties
Quoted price are Inclusive of GST and duties prevailing on the date of this proposal.
3. Price Variation
The Price quoted is based on the raw materials / components and labour costs as on the date
of this proposal. Should the market price of principal raw materials of the contractual
goods increase during the period between the signing of this contract and the delivery
date, we shall have the right to adjust the contract price accordingly. The increase in price
of principal raw material like mild steel, stainless steel, aluminum, bronze and copper etc
will be determined by the wholesale price Index (WPI) for Metal Products as published by
the Reserve Bank of India in its monthly bulletin. The method adopted for calculation of
Price variation will on the basis of percentage increase over last six months and average of
this increase would be used to calculate price variation.
4. Warranty
The Warranty is for a period of 18 months from date of intimation from us that material is at
warehouse or 12 months from the intimation to you of the physical completion of
installation which ever is earlier.
The Warranty covers component defects and does not intend to cover at any time any
damages caused by vandalism, negligence, rain, theft, fire, riots, acts of nature and God,
absence of stable and permanent power supply according to Indian Standards 14655 (Part
2 / Sec 1) : 2000 Clause 5.2, improper use, use during construction, or any cause beyond
AE Control, except for normal wear and tear. AE will not be liable tot he owner or any
other person whomsoever in respect of any loss or damage or delay cause, including
liquidated damages.
5. Free maintenance
The free maintenance is for the period of up to 12 months and will commence from the date of
intimation to you of the physical completion of installation or will commence 180 days from
the date of intimation from us that material is at warehouse which ever is earlier.
The date of commencement of free maintenance will remain unchanged, irrespective of any
delay in building completion, availability of permanent power supply, inspection taking
over, or commencing use of the elevator.
6. Statutory permissions from various authorities
All Statutory permissions for starting / executing, completing and handing over the works
from various authorities will be obtained by you and from your side required documents
have to submit. Fees or any other payment required to be paid, for concerned liaison for
getting above work done will be paid directly by you. While we will coordinate for
inspections required as per statutory requirement as applicable on the date of this order,
Fees charges, pertinent license inspectorates and incidental charges for getting work
certified and out of pocket expenses will be born by you.
7. Validity
This offer is not subject to any variation and is firm and valid for your acceptance within 30
days of this offer date.
The contract is valid upto 15 days from the issuing of quotation, price and delivery terms
must be renegotiated; if no agreement is reached in 90 days, and termination clause is
applicable.
8. Preparatory work
All Civil electrical preparatory work will remain in your scope. You will be responsible to
provide:
Cleaning down, renewal of replacement of lift equipment damaged by dust due to dry
grinding of mosaic of other builders work.
Provision of safe access to machine room or lift well to our requirements.
Bed blocks and buffer blocks are to be provided as per our drawings wherever
necessary.
Builders work such as forming lift well, pit and machine room which shall be dry and
free from dust with necessary access according to local regulations and all minor
builders work, such as cutting pockets, grouting guide brackets, grouting rag bolts,
grouting landing push boxes indicator boxes, providing bed blocks and buffer
blocks ,CHEMICALS FOR BRACKETS BOLTS etc.
Any types of wiring (including concealed wiring) whatsoever in the lift shaft walls are
strictly prohibited.
In case of existing lift wells, prior intimation should be given to us with regard to
concealed wiring in the lift shaft walls and the concealed wiring path should be
marked in red before commencement of Installation.
Our erection crew will not take over the lift well unless this is strictly addressed to
Machine room floor including any reinforcement necessary for load bearing.
Lifting beams / hooks in machine room wherever necessary.
Any necessary tanking lining of reinforcement of the pit.
Dividing beams for multiple wells and inter-well pit screens guarding of openings.
Scaffolding, Planks and ladders to our requirements.
Provision of safe access to machine room or lift well to owner require.
Storage of materials, tools and clothing in a suitable locked, dry ventilated and
illuminated storage space protected from theft and damage.
Working lights and temporary and permanent electricity supplies.
Wiring of main and earth wires from the source of supply to the machine room
terminating in 1 No. 32 Amps. 415 V-4 Pole ELCB with 4 Breakers Main switch unit for
lift motor and 1 No, 5 Amps., 230 V-Single - Phase iron clad switch fuse unit for fan
and light. Also 1 No.5 Amps for bulked lighting. 3 Pin Power plug with switch for use
of power tools to erectors requirement.
Fees for inspection for he lift inspector or electrical inspector or any other fees
charged by the survey or Corporation or Municipality or other Government Agencies.
Suitable lighting of the shaft way and machine room.
RSJ for supporting the winding machine
Architraves to the landing entrances.
Cost of electricity for erection and testing.
9. Deliveries and Installation
Delivery of material will be 20 days from approval of layout, technical specification, and full
compliance of contractual payment terms whichever is later. In the event the site is not
made ready, we reserve the right to defer the date of dispatch of material and subsequent
activities. You will have to pay us demurrage of Rs. 30,000/- per week in case the material
is not accepted at sire due to reasons beyond our control. In such an event, a fresh
completion date will be established depending upon the minimum installation period.
Installation will be completed in 4 weeks from delivery of material and subject to full
compliance of contractual terms of payment and site readiness as defined by the Indian
Standards 14665:2000. The completion period is also subject to your handing over to us
uninterrupted use of clear dry elevator pit, shaft and machine room in all respects as per
our approved drawing along with preparatory work and power supply before the beginning
of installation.
10. Penalty for Delayed Payment
We will be charging Interest @ 18% per annum on all overdue invoices lying unpaid for
greater than 15 days, from the date of invoice. We reserve the right to dispose our
elevator material or to discontinue our work or to withhold the release of competed
elevator(s), at any time until the overdue payments, with interest, shall have been made
as per the terms and conditions and we have assurance satisfactory to us that the
subsequent payments will be made on time as they fall due.
11. Transfer of Property
The elevator shall remain our undisputed property till receiving the full payment as per the
terms of the contract. In case the payment is not made as per the terms of contract we
have the right to dismantle our elevator and take the material supplied back in our
possession. This will be without prejudice to our right to recover the unpaid amount and
interest by any means or process of proceedings whatsoever. We shall be entitled to
recover from you legal expenses incurred in collecting payments hereunder. We shall be
entitled to recover from you cost incurred in dismantling the elevator, logistics cost of
moving the same, labour cost arising with such dismantling / moving and all the applicable
taxes / duties / cess. We are not bound to furnish any document in support of such
recoveries. The depreciation in the value of the material / release value shall also be
taken into account.
Any unutilized material; packing material etc. remaining after completion of job shall remain
our property. We have the right to take such material supplied back into our possession.
12. Intellectual Property Rights.
All intellectual property rights in the Equipment including in the control software that enables
routine operation, maintenance and repair of the equipment (“Control Software”) remain
the property of AE. AE hereby grants a non-exclusive license to the customer (and
contract on behalf of the Customer) to use the control software to operate the Equipment
for its own purpose, but the Customer shall have no other right or interest in the Control
Software, and save only as required by law, no right to reproduce, reverse engineer or
deal in the Control Software. This license can be assigned to a new owner of the
Equipment.
13. Remobilization & Reconditioning Charges
In case the elevator installation work is stopped for more than 4 weeks in between due to
unavailability of power supply etc., remobilization charges of 5% of total contact value per
elevator will be charged additional over the contract value, whenever we are asked to
start the work. This would need to be paid before we restart any site activity. We would
need 4 weeks to remobilize and restart the work. In case of material not in workable
condition or pilferage, recondition or replacement cost will be to your account.
14. Withholding Tax
Any deductions made from the payment on account of tax deduction at source or works
contract tax should be intimated at the rime of payment. In case of non-receipt of the
deduction certificates during the financial year, we have the right to debit the deducted
amount back to your account. We will not accept the deduction certificate once the
financial year has elapsed. Your account will only be cleared on clearance of cheque in our
account.
15. Termination of Contract
In the event of cancellation we will be charging from you as follows :
15% of the Contract Value plus all applicable taxes before approval of drawings,
30% of the Contract Value plus all applicable taxes after approval of drawings,
60% of the Contract value plus all applicable taxes after our intimation of material ready at
warehouse. 90% of the contract Value plus all applicable taxes after the material is
dispatched and not installed, 100% of the Contract Value plus all applicable taxes if
installation has started.
16. Indivisible Works Contract
The breakup of contract price into various components at any stages does not signify any
divisibility of this contract, so as to involve sale of immovable property at any state. The
same is done for the facility of recovering advances or adjusting the price of the entire
contract. The contract shall be deemed to be an indivisible works contract.
17. Right to use
You are not entitled to use the elevator under any of the following circumstances. Any usage
of our elevator, for any purpose whatsoever before the formal handover to you. Without
making the full and final payment. Building constructions not ready.
Any unauthorized use or attempt of unauthorized use shall render the warranty and free
maintenance period null and void.
18. Payment and Free maintenance for Multiple Units
Every elevator in a contract of multiple units will be considered as individual equipment. The
commencement of free maintenance and final payments for each elevator will not be
linked to any other elevator of the group or of the contract. We will be entitled to demand
payment and commence free maintenance period as when each elevator is physically
complete. We will have the right to stop our installation for other units in the group, due
to physically complete. We will ha e the right to stop our installation for other units in the
group, due to delay in the final payment of the earlier elevator. We also have the right to
change the delivery and installation schedule of the full project if the payment is not
received as per terms of the contract. We will not be responsible for any delay due to
above circumstances.
