TRUSTDEED

1) This deed of trust made on 25th day of may 2025 by Manoj Kumar s/o late
shri Gaurav Kumar R/o 108 shastri nagar, jalandhar,Punjab, hereinafter
called the author of the trust which expression unless repugnant to the
context or meaning thereof includes there heirs , executors and
administrators, etc., whereas author of the trust is possessed of and
otherwise well and sufficiently entitled to the sum of 80,00,0000( eighty
lakh rupees only) hereinafter reffered to as said property whereas authors
of the trust desires to irrevocabaly endowing the said founds upon trust for
public, educational and cultural , purposes, hereinafter expressed and
contained in this presents and in pursuance of such desires has already
transferred paid and handed over the trustees mentioned below
(i) WHEREAS it is the desire of the authors of the trust that
the corpus of the trust may be further augmented from
time to time by flow of funds and other assets including
moveable and inmovable and any other kind by way of
gifts , donations , acquisitions , allotments , grant exchange
or otherwise etc. ,
(ii)WHEREAS the following persons are appointed to be
trustees for holding the said property in trust for the
purposes detailed in this trust deeds

4) NOW THIS DEED OF TRUST WITNESSETH AS FOLLOWS :-


5) The trust hereby established shall be named as- (GK Play and learn
School) Trust
6) Office of the trust shall be established at Hamidra Complex Jalandhar or
at such other place in india as the trustees may from time to time think fit
7) The objects for which the trust is founded are
8) To establish , maintain and run schools ,colleges , social service centre and
industrial training centre
9) To establish training centre and allied education institutions
10) To establish, cultural, and social institutions
11) To spread for promotion of education and learning in all branches more
specifically in science and literature
12) To advance Indian culture and literature, service of this country for the
benefit of our nation
13) To train teachers and workers in ideals and practice of true spirit of
education and learning through technological advancements
14) To establish research and training centres for the furtherance of
education leanrning in its various fields and branches
15) To undertake propaganda training and education of the masses either of
its own or in cooperation with similar agencies and institutions working for
similar causes of all round development of the society
16) To function as a non- communal trust and as a secular organization
17) To establish centres for employment generation
18) To confer title on eminent personality in the field of science, education,
literature and technology etc.
19) To establish colleges to impart education in the aea of higher education
especially emerging fields like electronics, anthropology, bio- technology
and other allid fields

20) The trust shal be an irrevocable public educational, cultural trust for the
benefit of all persons belonging to whatever community irrespective of
caste, creed or religion, the trustees shall stand possessed of the said
amount of corpus endowed by the authors of the trust and such other
properties ( both movable and immovable) as may be acquired from time
to time by the trust, by purchase exchange, grant, allotment, subscription,
endowment, donation or contribution or in any mannr to whatsoever on
the trust herein mentioned ( all ofwhich shall be designed as trust
propertires)
21) The number of trustees including the author of the trustees shall not be
less than 1 and not more than 4 persons. The board of trustees shall
nominate and invite persons to be other trustees for such period, as they
may deem fit and proper
22) These trustees shall hold office for such duration as may be specified
by board of trustees
23) There shall be a president for the administration of this trust, nominated
by the board of trustees, who shall be oone amongst trustees as specified in
para 4 above for such period as decided by other members

24) The day-today administration of the trust shall be looked after by the
managing trustee under the guidance, control and supervision oftheboard
of trustee s.

25) The board of trustees shall nominate one amongst the trustees as
specified in para (4) above to be the managing trustee, who shall hold
office for such period,as may be decided by the board of trustee s.

26) The managing trustee shall per for mallfunctions, discharge such duties
as or specifically entrusted to him/her in writing by the board of trustee s.

27) Any vacancy among the Members of the Board of Trustees maybe
filled by the trustees as specified in para(4) above or their successors and
they shall holdoffice for such durationas maybe specified by the Board of
Trustees

28) Trusteeshallceasetoholdoffice:

30) Ifheresigns,

31) If he is adjudged insolvent or found guilty of an offence involving


moralturpitude.
32) Ifheisfoundtohaveactedagainsttheinterestofthetrust.

33) Ifitisunanimouslydecidedbythetrusteesspecifiedinpara(4)above that his


continuation in the Office is against the interest of the Trust.

34) Upon expiry of the period up to which the Board of trustees


havenominatedthetrustee.

35) Thetrusteesshallordinarilymeetoncein 6
monthsorasoftenasmaybenecessaryforthesatisfactoryconductoftheaffairsoft
hetrust.

36) 30 days’ noticeshallordinarilybegiveninwritingforameetingofboard of


trustee .

37) The Quorum for the Meeting of the Board of


Trustees shall be
38) 2 numbersquorum is required for a meeting
adjourning for want ofquorum.

39) Aminutebookshallbekeptbythemanagingtrustee.Minutesofentryintotheo
fficeofeverynewtrusteeandofallproceedingsofthemeetingofthe

hallbeenteredintheminutebookandshallbesignedbythepresidentofthemeeting.

41) Decisionsoftheboard of trustee maybemadeatameetingorbycirculation of papersto them.


Normal matters of routine nature may be circulated and decision obtained. The important
matters are to be decided at the meeting. Allmatters arising for disposal shall be decided by a
majority of the Board of Trusteespresent at the Meeting. The President of the Board of
Trustees shall have a castingvoteintheeventofequalityofvotes,inadditiontohisown.

42) All property of the Trust Movable or Immovable or of any other


kind,shallvestintrust,thetrusteesshallmanagethewholepropertyandaffairsofthetrustandshallhav
eallpowers,dutiesandfunctionsnecessaryproperandincidentaltothepromotionandcarryingoutof
theobjectsofthetrust.

43) In particular and without prejudice to the generality of the foregoing the trustees shall for
the purposes of this trust have the following powers, duties andfunctions:

44) To acquire by Gift, Grant, Purchase, Exchange, Lease, or otherwise,


lands,buildings,orotherimmovablepropertiesandalsoanymovableproperty.

45) To construct and maintain buildings, to alter, to demolish or


improvethemandequipthemsuitably.

46) Toacceptgifts,donations,endowmentandcontributionsforthetrustandshallbetreatedastheinc
omeofthetrust.

47) (a)Toraiseloans,toreceivemonies,securitiesorothermovablepropertyonbehalfofthetrust.

48) Toacceptanytrust,trustfundorendowmentsolongastheprovisionsofsuchtrustorendowmentar
einconsonancewiththeobjectsofthistrust.

49) To award scholarship and make donations calculated to promote theobjectsofthetrust.

50) (a)Toenterintocontracts,orengagementsonbehalfofthetrust
51) (b)toconsidersuchproposalssubmittedbysub -committeeappointed by
this trust and allocate such funds if necessary
asdeemednecessaryfortheimplementationoftheprograms.

52) Tomake,signandexecuteallsuchdocumentsinstruments,asmaybenecessar
yorproperforcarryingonthemanagementofthepropertiesandaffairsofthetrust.

53) To invest such monies and such funds of the trust and to vary
theinvestmentasandwhenitmayseemnecessaryorproperprovidedthatsuchinv
estmentsshallbemadeonlyuponimmovablepropertiesor upon securities as
the board of trustee may deem fit, under section20oftheindiantrustact,1882.

54) To sell, transfer or otherwise dispose of any immovable property ofthe


trust provided all the trustees unanimously resolve that it is in theinterest
of the trust to do so to sell or lease, mortgage or otherwisedispose
ofanymovableandimmovablepropertiesofthetrust.

55) To appoint a Committee/Committees of management for such terms


and with such powers as may be specified from time to time,
forcarryingontheroutinemanagementoftheaffairsofthetrust.

56) Toappointsuchemployeesonsuchtermsandconditionsasthetrustees may


deem fit for carrying out the work of the trust
andexercisecontrolallsuchemployeesincludingthepowerofsuspension,dismi
ssalandremoval.

57) Todelegatetothemanagingtrusteeoranyappointedcommitteesuchpowers,
dutiesandfunctionsasarevestedinthetrustees.

58) To frame Bye-Laws and such other regulations as are required


forachievingitsobjectives.
59) Out of the income of the trust property the trustee shall be entitled
tospendorincurthefollowingexpensesnamely

60) Allrates,taxes,cess,assessments,duesanddutiesifanypayable to the


government to any municipal or other
publicbodiesinrespectthereoforanypartthereof.
61) The premium for the insurance of the buildings or any otherinsurable
property movable or immovable for the time
beingformingpartofthetrustproperty.
62) Thecostsofordinaryrepairs and for providing any amenitiesto the
buildings for the time being forming part of the trustproperty.
63) Thecostofmakingsuchadditions/alterationsorimprovements to or in the
buildings forming part of the trustproperty,asthetrusteesshallthinkfit.
64) Wagesandsalariesofanymanager, supervisor,accountant,clerk, servant or
other employees employed by the trustees inthecarryingoutofthistrust.
65) Costandexpensesofkeepingthetrustpropertyingoodcondition.
66) Costandexpensesforinstallingandrenovatingtheelectricalandotherinstalla
tionsinthebuildingforthetimebeingformingpartofthetrustproperty.
67) The architect’s fee and legal charges and fee payable to
otherprofessionals engaged in the course of administration of thetrust.
68) All other costs, charges and expenses of and incidental to
themanagementandadministrationofthetrustpropertyinaccordancewiththeob
jectsandpurposeshereoforwhichmaybeincidentalthereto.

69) Afterdeductingthecostschargesandexpensesincurredbythetrustee’sasafor
esaidoutofthetotalgrossincomereceivedbythemfromthetrustpropertythebala
ncethatisthe net income will be utilized for the objects of the trust
asdecidedbytheboard of trustee .

70) BOOKACCOUNT:

i) Theboard of trustee
mayopensuchbankaccountoraccountsinanyofthebanksinthenameo

trustsuchaccountsshallbejointlyoperatedbythepresidentandmanagingt
rustee.

71) Thetrustmayopenbankaccount/sinthenameofinstitution/
organizationfoundedbythetrust.suchbankaccountsshallbeoperatedbysuchpe
rsonsasauthorizedbytheboard of trustee fromtimetotime.

72) APPLICATIONOFTHEPROPERTIESOFTHETRUST:
73) The properties and funds of the Trust shall be applied only for the
purpose of thetrust and for the due administration of its business affairs
and properties providedhowever that this shall not preclude payment of
any remuneration or allowance or
givingofresidentialaccommodationoranyperquisitestoanytrusteeinconnectio
nwiththeworkcarriedoutbyhim/herforthepurposeofthetrust.
74) ACCOUNTS:

75) The Trustees shall maintain a true and correct record of the receipts, paymentsincomes
and expenses and transactions of the Trust. The Books of Account of
thetrustshallbeauditedbyaqualifiedauditororacharteredaccountanteveryyeari.e.,commencingfr
om1stapriltothe31stmarchofnextyear.

76) DEFECTSOFPROCEDUREIMMATERIAL:

77) No act of Trustees shall be invalidated by reason only of any vacancy in the Boardof
Trustees or any irregularity in the proceedings of the Board of Trustees or
anycommitteethereof

78) In the event of dissolution of winding up of the rust the assests of the trust remaining ob
thedate of dissolution shall unddr no circumstances be distributed among the trustees but the
same shall be transferred to other trust, society association or institution whose objects are
similar to this trust
