Dear Dr Shivangi,
SUB: Contract for the Position of Consultant – Obstetrician and Gynecologist
This has reference to our discussion regarding your contract as full time Consultant – Consultant
Obstetrician and Gynecologist in our “Jaipur MultiSpecialty Hospital, Kaithal (Haryana)”.We are pleased to
engage your services with effect from 12th September,2022 on the following terms and conditions as
mutually decided and agreed upon.
In consideration of the services rendered by you as per your commitment and assurance,
→ you will be entitled to get INR 1 lac Per Month as Minimum Assured Guarantee which will be expandable
upto 1.5 lacs/month on the condition if Net Revenue* generated is more than 1 lac from the Obstetric cases
which will include NVD, C-Section, MTP in a month and
→ 50% share above 3 lacs of Net Revenue of Obstetric Department.
→ In addition to this INR 2000 will be paid to you for each Gynecology procedure that will be done
independently.
* Net Revenue include OPD, IPD & Procedure charges generated from the patients admitted under you. It
Excludes Pharmacy & Consumables, Incentive, Anesthesia charges, Lab Investigaions, Diagnostics & External Visit.
1. You will be liable to serve at least one year as per contract of Employment. In case, you decide
to leave before one year of continuous service then you need to serve one month notice or
surrender one month salary because the Minimum Guarantee is being paid to you on the basis
of your commitment of one year period working with us.
2. You would provide services and consultation to the patients in the Hospital in accordance with
the clinical practices in the respective specialty. You would be required to comply with all
applicable policies and procedures issued from time to time by the Management.
3. You would provide Out Patient consultations to the patients at the Hospital. General OPD timings
are 9:30am – 2:00pm and 5pm-7pm with morning, afternoon and evening rounds of inpatients.
Morning and evening round on Sundays and OFF days are mandatory. However, the same are
subject to change at the discretion of the Management.
4. You can also utilize day care services for providing treatments.
5. You will also provide your services to the Hospital, In Patients and Emergency Patients.
6. You will also participate in committees & audits related to NABH, keep tracks of Multi-disciplinary
coordination with other staffs, attending all the inhouse trainings (Drills, Policies, NABH),
maintain compliances of your respective departments with regard to NABH and taking consents
and ensuring completeness of files.
7. You will also provide timely educations to patients and family members.
8. You will also ensure that the plan of care are properly filled as per guidelines and writing
medications in Capital Letter with name, signature, time wherever required.
9. You will ensure to follow up the guideline provided by NABH.
10. You will be provided consultation room facility at the Hospital based on the schedule as
applicable.
11. All payments will be collected by the Management and would be reimbursed to you by the 15th
day of the following month subject to deduction of TDS.
12. You shall not receive any payments directly from the Patients and shall follow the guidelines laid
down by the Hospital for billing of the patients.
13. You agree that during the subsistence of your service, you shall not, either directly or indirectly
solicit or attempt to solicit the service of any professional or technical employee of the Hospital
to another medical practice.
14. You agree that during the subsistence of your service, you shall not solicit, divert or attempt to
solicit-or divert for your benefit or on behalf of any other person, firm, corporation, partnership
or any other entity, either directly or indirectly (including solicitation through a managed care
plan) any patient for whom the Hospital has performed any services during the period of your
service with the Hospital.
15. You acknowledge that the law governing restrictive covenants is based on particular facts and
circumstances in the event that court or arbitrator to which a dispute over these restrictions
overly broad or unreasonable in any way, you authorize such court or arbitrator to enforce the
restrictions to the greatest extent deemed reasonable.
16. The decision of the Management on any clinical or commercial matter shall be final and binding
on the concerned department.
17. This agreement can be terminated with one months notice from either side after completion of
stipulated period of agreement.
18. You acknowledge and agree to maintain strict confidently of any information furnished to you
including patient details and agree that such information is the sole , exclusive and extremely
valuable property of the Management .Accordingly ,you agree not to (i) use, disclose or
reproduce any of the confidential information without the applicable prior written consent of the
Management, (ii) use the Confidential information except in the performance of your services
under this Agreement (iii) disclose all or any part of the bona fide information in any form to any
third party ,either during or after the term of this agreement.
19. Your services can be terminated on gross misconduct without any notice by the Management
without any notice or payment in lieu thereof.
20. You will employ yourself efficiently to the best of your ability and will devote your particular time
mention in clause No. 3 to the work of the Management and will not engage yourself directly or
indirectly either honorary or on remuneration for such particular timings.
21. You will be entitled for 15 days leave on annual basis on pro rata basis but not more than 05
(five) days at a stretch. Grant of leave will depend on the exigencies of work and shall be at the
discretion of the Management. Before proceeding on leave, you will have to apply for leave 10
days in advance to the appropriate authority and seek the prior sanction of leave. (excluding
emergency situations) Similarly, for extension of leave, an application will have to be made in
advance so has to reach positively before the expiry of leave originally granted. Mere submission
of application will not mean that the leave has been sanctioned.
22. You are not supposed to leave the working station during off day without permission due to
the exigency of the work and in case you are not available to attend emergency in the Hospital
during the off day, your non availability will be counted as leave.
23. You will be bound to rules and regulations enforced by the Management, from time to time in
relation to conduct , discipline , leave, holidays or any matter relating to service conditions which
will be deemed as rules , regulations and orders in the part of these terms of employment. The
Management reserves the right to modify, alter or delete the existing service rules or to
introduce fresh service rules which will be binding upon you.
24. The appointment is based on the information given by you to us in your employment /personal
data form and otherwise, and shall be considered null and void if a material error/ suppression or
false detail is discovered therein at anytime. In that eventuality, the Management can recover the
payment made to you towards your remuneration during employment.
25. Any difference or dispute arising out of or relating to this agreement will be referred to the sole
arbitrator duly appointed by mutual consent of both the parties. The arbitration proceedings will
be regulated in accordance with the provisions of the Indian Arbitration Act & the rules framed
there under. The hearing before the arbitrator shall be made at any mutually agreed upon place.
All suits & proceedings relating to this agreement shall lie exclusively in the jurisdiction of the
Delhi courts having jurisdiction under the provisions of the law.
26. As a token of acceptance of the above terms and conditions, please sign the duplicate hereof and
return to the undersigned.
