After discussion, the two parties agree to sign the Sales Contract with the following specific
terms:
ARTICLE 1: OBJECT OF CONTRACT
The Buyer agrees to buy and the Seller agrees to sell the following goods, subject to the terms
and conditions as stipulated hereinafter.

ARTICLE 3: TERMS OF PAYMENT
The total Contract value is USD 4,250.00 (In words: US Dollars Four thousand, two hundred
and fifty only).
o 50% advance by T/T after signing of this Contract.
o 50% of the Contract value shall be paid by T/T before shipment.

All bank charges in Vietnam shall be borne by the Buyer.
ARTICLE 4: DOCUMENTS
The document provided by the Seller shall consist of the documents follow:
+ Signed commercial invoice (01 original);
+ Packing list (01 original);
+ CO form … free trade area preferential tariff Certificate of Origin
(01 original);
+ Certificate of Warranty issued by Seller (01 original);
+ Test of Inspection (if any);
+ Relevant documents (if any).

ARTICLE 5: WARRANTY
The Seller guarantees these pieces of equipment offered are free from defects in design,
material, and workmanship.

The warranty of 12 months against the manufacturing defects only from the date of Invoice. The
warranty does not include wear & Tear and the consumables (like- fuses, SPDs Diodes etc.).
According to the manufacturer’s issued standard.
ARTICLE 6: FORCE MAJEURE
The Seller shall not be responsible for any delay in delivery or non-delivery of the goods due to
flood, heavy fire acid, earthquake, tsunami, or plague. Force Majeure and other accidents on
both sides. However, the Seller shall advise the Buyer immediately of such occurrence days
thereafter, shall send by airmail to the Buyer for their acceptance a certificate issued by the
competent government authorities of place where accident occurs, however, The Seller is still
under the obligation to take all necessary measures to proceed the delivery of the goods.
ARTICLE 7: ARBITRATION
Any dispute arising under this contract shall be priority settled amicably. In case the dispute
cannot be settled, the dispute will be justified by the law of the Singapore Court. The sentence of
the court shall be deemed as final for both parties. The loser shall be in charge of all arbitration
fees.
ARTICLE 8: OTHER CONDITIONS
Any change and/or amendment to this contract shall be made in writing (including fax) and
subject to agreement. Such change and/or amendment shall constitute an integral part of this
contract.
In case of doubt as to the interpretation of commercial terms contained in this present text, both
parties shall refer to the International Commercial Terms (Incoterms 2010).
This contract is signed through telefax and comes into effect from signing date, any amendment
only if an additional clause to these conditions shall be valid and made in written form duly
signed by both parties.
