LETTER OF APPOINTMENT

Dear Hitesh,

With reference to your application and subsequent interview(s) with us, we are pleased to offer you a letter of appointment with
Incedo as per the below terms and conditions.

Total Cash Compensation: Your total cash compensation will be Rs. 1,000,000.00 /-per annum. Please refer Annexure “A”
for details
Joining Bonus: You shall also be paid one-time Joining Bonus of an amount Rs. 50,000.00 /- if you join on or
before August 8, 2025. The joining bonus will be paid post completion of three months from
your date of joining.

This appointment shall commence from your date of joining, i.e., on or before August 8, 2025 provided that you indicate your acceptance
within Fifteen (15) days from the date of this letter of appointment. In case, you have any objection to the terms and conditions of this letter
(refer Annexure "B" for details), we advise you to discuss the same with us within 15 days from the date of this letter and prior to your
tendering us your acceptance to the same.

As we progress further, our HR team will assist you with the pre-joining formalities, which includes submission of mandatory

Additional Benefits:

1. Your eligibility and the final pay out of any gratuity amount will be determined as per the Payment of Gratuity Act.
2. You and your family (Spouse and upto 3 children) are covered under the Group Mediclaim Insurance Policy through
Oriental Insurance Company limited. Total sum insured is Rs. 5,00,000/- (Rupees Five Lakhs Only) per family. In
addition, you can cover your parents/parent’s in-law in this family floater policy by paying subsidized premium. For
parents, the sum insured is capped at Rs. 2,50,000/- (Rupees Two Lakhs Fifty Thousand Only). Details w.r.t. additional
benefits and enrollment will be shared post your joining.
3. You are covered under the Group Personal Accident Insurance Policy through Oriental Insurance Company Limited.
Total sum insured is Rs.10,00,000/- (Rupees Ten Lakhs only).
4. You are covered under the Group Term Life Insurance Policy through Bajaj Allianz Life Insurance Company Ltd. The
total sum insured is 1.5 times of annual fixed salary, subject to minimum Rs. 25,00,000/- (Rupees Twenty-Five Lakhs) &
maximum Rs.1,00,00,000/- (Rupees 1 Crore only), whichever is lower.

Notes:

1. Your salary is strictly confidential, and you should not disclose it to anyone without prior permission of the Company in
writing.
2. The variable amount is discretionary. In the event of any change of role that involves a change in variable payout
scheme, the payments shall be prorated and adjusted to reflect the change in role. The amount shall remain indicative
at all times across the roles. The variable payout shall be finally determined entirely at the behest of Incedo
management’s discretion on factors such as your performance, performance of business unit you are part of the
Company’s overall performance and macro-economic factors impacting Incedo. You should be active on the payrolls
of the Company on the date of disbursal to be eligible to receive variable.

3. Your salary and other benefits, if any, shall be subject to the deductions of all Government and local taxes,
contribution(s), etc. as required to be made under the prevailing laws of India and shall be further subject to deductions
on account of any unauthorized absence, authorized absence for any period beyond the leave entitlement, damage to
any property of the Company and all other matters as governed by the Company's policy.
4. Your contribution towards EPF is mandatory.
5. In the event of cessation of employment for any reason prior to completion of eighteen months (18) work experience
with the Company, Company reserves a right to deduct OR demand any other amount paid to you; OR reimbursed to
you; OR spent on your behalf or has been committed to any third party under partial OR non-refundable provision, in
excess to the agreed compensation between you and Incedo under any agreement.

ANNEXURE B: TERMS & CONDITIONS OF EMPLOYMENT

1. PROBATION & CONFIRMATION

You shall be on probation for an initial period of 6 Months. The probation period may be extended or shortened at the discretion
of the management. A confirmation letter shall be issued to you after satisfactory completion of probation period, at the sole
discretion of the management.

2. PLACE OF POSTING & WORKING HOURS

a) Presently, you shall be posted at our Office in Gurugram .

b) Your place of work may change in case of any relocation of the Company's offices. You are further liable to be transferred to
any part within the Country OR to an Overseas location as decided by the Management in the interest of the Company. The
Company reserves the right to revisit and revise your remuneration necessitated as a result of your geographical transfer and
relocation.

c) Standard work hours in the Company are 9 hours on a working day. We encourage flexible work timings and work hours,
basis business need and as per mutual agreement between you & your manager.

d) All costs/expenses incurred outside the scope of prevailing Company policy requires express authorization.

3. CONDUCT & DISCIPLINE

a) Official e-mail id shall be communicated to you after joining. All official correspondence with the Company is expected from
your official e-mail ID.

b) You shall at all times comply with the Company’s policies. These are available at the public folder on our Company internal
portal. Management reserves the rights to amend or modify the existing policies as required, at its sole discretion, any time
during the year, with or without notice.

c) As a Company personnel, you are a full-time employee and will not undertake any other part time or a full-time job, business,
work, or public office, honorary or remunerating post/assignment whether with or without consideration except with the written
permission of the management in each case.

4. CONFIDENTIALITY

a) You will not divulge to any unauthorized person(s) other than Company, nor use for any purpose save for official purposes,
during the period of your employment with us, or thereafter by word of mouth or otherwise, any information concerning the
Company's (or its associate's) operations, plans, know-how etc., that you may come to have known as an employee of the
Company. Non-compliance of this clause shall subsist the termination of the employment.

b) Any work/project/assignments handled/developed by you individually or as a group during your employment with the
Company, will be the exclusive property of the Company and you will not have any rights on it, whatsoever. You shall execute all
such documents as may be required from time to time to secure this right of the Company.

c) Violation in any manner of the above-mentioned terms and conditions will be dealt under Intellectual Property Laws of India,
as prevailing from time to time.

5. NON-SOLICITATION,NON-DIVERSION & NON-COMPETE

a) You understand and agree that as a condition of termination for any cause, it will not, directly or indirectly, through an affiliate
or otherwise, in India or anywhere else where the Company conducts or is planning to conduct business, during your
employment or for a period of two (2) years following the termination of employment with the Company (regardless of the reason
for such termination), (a.) form, engage in, render services for, or have an ownership or other interest in any business that
competes (or is expected to compete) with the Company, including but not limited to any business that is a direct competitor of
the Company or which provides or engages in similar services or businesses as the Company. (b.) (i) solicit, induce, encourage,
or assist any Company’s employee to resign from or otherwise leave the Company, or (ii) solicit, hire, recruit, employ, engage, or
retain any person who is a Company employee or who was a Company’s employee within the two (2) year period preceding
such solicitation, hiring, recruitment, employment, engagement, or retention, to work or provide services for any person or entity
other than the Company, (c.) (i) induce, encourage, or assist any customer of the Company to cease doing business with, or
reduce the amount of business it does with, the Company, or (ii) solicit or seek to sell or provide services or products to any
customer of the Company or any person or entity that was a customer of the Company within the two (2) year period preceding
such solicitation or other effort (in each case, other than on behalf of the Company), (d) use, disclose, or share any of
the Company’s confidential information or trade secrets, or fail to return all originals and copies of such information to the
Company immediately following your termination of employment, or (e) aid, assist, or encourage any other person or entity to do
any of the foregoing.

b) You hereby stipulate that a breach of the provisions of this section will result in irreparable damage and injury to the
Company for which no money damages could adequately compensate it. If you breach the provisions of this Agreement, in
addition to all other remedies to which the Company may be entitled, the Company shall be entitled to an injunction to enforce
the provisions of this Agreement, to be issued by any court of competent jurisdiction, to enjoin and restrain you and each and
every person concerned or acting in concert with you from the continuance of such breach, and shall be entitled to an award
including the recoupment of its attorneys’ fees and costs from you in connection therewith. You further expressly waive any
claim or defense that an adequate remedy at law might exist for any such breach.

c) If, at any time of enforcement of these above-mentioned clauses, a court or an arbitrator holds that the restrictions stated
herein are unreasonable under circumstances then existing, the parties hereto agree that the maximum period, scope or
geographical area reasonable under such circumstances shall be substituted for the stated period, scope or geographical area
and that the court or arbitrator shall be allowed to revise the restrictions contained herein to cover the maximum period, scope
and geographical area permitted by law. Nothing herein contained shall be construed to require the commission of any act
contrary to law, and whenever there is a conflict between any provision of this Agreement and any law contrary to which the
parties have no legal right to contract, the latter shall prevail, but in such event the provision of this Agreement so affected shall
be curtailed and limited only to the extent necessary to bring it within the legal requirements.

6. GENERAL RULES

a) In all matters including those not specifically covered by this letter, such as but not limited to incentives, allowance etc. will be
governed as per the rules of the Company.

b) You will intimate in writing to the Management any change of address within a week from the change of the same, failing that
any communication sent on your last recorded address shall be deemed to have served on you.

c) You will hand over the charge, the property, and the material etc. of the Company in your possession at the time of cessation
of your employment with the Company. Your complete full and final settlement is contingent on your compliance with this clause.

d) In the event of a merger, acquisition, or a transfer of business, Incedo reserves the right to move employees to the
resulting entity post which term and conditions of employment shall be governed by that of the resulting entity.

e) You will be liable to pay damage(s) to the Company for the loss caused by you directly or indirectly, in addition to other legal
remedies, which may be required for violating any of the provisions of this letter of appointment/agreement etc. and the Courts at
New Delhi will have exclusive jurisdiction over the appointment consequent to this letter and all matters arising there from.

f) You can be furloughed under extraordinary circumstances as determined by Incedo management.

7. CESSATION OF SERVICE

a) In case an employee, whether on probation or confirmed, decides to leave the employment of the Company by way of
resignation or otherwise then he/she shall be required to serve a prior notice of 90 Days from date of such resignation and
acceptance by the approving authority. In alternative, he/she may be required to make payment equivalent to 90 Days basic
salary and/or the period of notice not served upon, in lieu of such notice at the discretion of the Company, if an employee,
whether on probation or confirmed, leaves the employment of the Company without following the above specified process, in
such events the Company would be within its Rights to forfeit the sum(s) due to the employee, if any, and shall be also at liberty
to take appropriate action including but not limited to termination and/or to claim damages(s) and/or loss(s) from said employee..

b) The management reserves the right to terminate your services by giving 90 Days or 90 Days' notice pay in lieu thereof. The
notice pay shall mean only the basic salary and does not include cash equivalent of any allowances, etc. Notwithstanding the
above, the management reserves the right to terminate your services as per the termination policy of the Company in the event
of non-performance or misconduct which includes but is not limited to negligence of duty, disloyalty, dishonesty,
misrepresentation, indiscipline or any other indulgence of excess or any impropriety in complying with the terms of this letter or
any action detrimental to the interests of the Company.

c) You shall not be eligible for payout of retention bonus/performance bonus if you resign from the services of Company or if
said component paid to you before the due date.

d) You will automatically retire from the services of the Company on attaining the superannuating age of 60 years.

e) If you absent yourself without leave or remain absent beyond the period of leave originally granted or subsequently extended,
you shall be considered as having voluntarily terminated your employment without giving any notice unless you:

i. Return to work within three days of the commencement of such absence, and
ii. Give an explanation to the satisfaction of the management regarding such absence.

f) The management shall have the right to ask you to get yourself medically examined, vaccinated, or inoculated by any
registered medical practitioner at any time when the management feels it necessary. Your service will be liable to be terminated
on being found physically or mentally unfit by a registered medical practitioner, nominated by the Company.

8. VERIFICATION AND BACKGROUND CHECK

a) This letter of appointment is issued to you on the basis of your candidature, eligibility and on grounds of information/
documents provided by you to the Company and representations made by you during the hiring process, which is the basis of
our offer to you. This offer can be withdrawn, without prejudice, anytime even after your joining if any document submitted or
representation made is discovered or reported to be false. Further, if you are not an Indian Citizen by birth, please support your
candidature and eligibility to join us with necessary details and documentation, as per the prevailing provisions of law of India.

b) The Company may, at its sole and absolute discretion, conduct background checks prior to or after joining or at any time in
future, to check but not limited to your identity, the address provided by you, your education background and past work
experience, past antecedents, drug tests and/or any other test or verification. You expressly consent to the Company
conducting above checks. You are required to furnish the documents listed in the "Appointment Letter", "Background Verification
Form" or any other document as may be required.

If the Company, is not satisfied, in its sole and absolute subjective discretion, with the outcome of the aforesaid checks, the
Company may (I) Reserve the right to withdraw the Offer made to you without any notice and Compensation (II) Or may treat
your appointment as null and void ab-initio (III) Or it may take such other appropriate action as may be advised.

c) When a background check raises any concerns regarding any of the details furnished by you and the Company feels the
need to further validate such facts, the Company may at its sole discretion, ask you for further information, to substantiate the
details that you have earlier provided to the Company, before initiating appropriate action.

d) You shall disclose any restriction placed on you regarding, including but not limited to, non-solicitation, IPR, confidentiality,
work restrictions etc. to Incedo along with your acknowledgment of this letter.

9. ARBITRATION, GOVERNING LAW & JURISDICTION

a) You agree that all and any dispute arising out of or in connection with any agreement between you and Incedo (“Parties”),
including but not limited to the employment agreement, what-so-ever arising between the Parties, shall be first referred to and
finally resolved through Alternative Dispute Resolution (ADR) i.e. Mediation, Conciliation or/and Arbitration as Institutional
Arbitration - On-Line or Conventional Method in Delhi/New Delhi in accordance with the Arbitration Rules of the Construction
Industry Arbitration Council 2013 with Amendments or onward which are. ("here in after called Arbitration Rules") in force at the
commencement of the arbitration, which rules are deemed to be incorporated by reference in this clause, and the award made in
pursuance thereof shall be binding on the Parties. Arbitration shall be presided by a single arbitrator appointed by Incedo in
accordance with the Arbitration Rules. Proceedings of the arbitration shall be conducted in English.

b) Injunctive Relief You acknowledge and agree that a violation of the terms, covenants, and obligations under any agreement
between the Parties, including and not limited to this agreement, will cause Incedo irreparable injury for which adequate
remedies may not be available at law. Therefore, you agree that Incedo shall be entitled to seek an injunction, ex parte
restraining order or other temporary or permanent equitable relief restraining you from committing any violation of the covenants
and obligations contained herein. These injunctive remedies are cumulative and are in addition to any other rights and remedies
Incedo may have at law or in equity.

c) This agreement shall be construed, interpreted and governed and enforced in accordance with the laws of India.
