Introduction:
Stock Exchange market is a vital component of a stock market. It facilitates the
transaction between traders of financial instruments and targeted buyers. A
stock exchange in India adheres to a set of rules and regulations directed by
Securities and Exchange Board of India or SEBI. The said authoritative body
functions to protect the interest of investors and aims to promote the stock
market of India.
What is the Stock Exchange?
The stock exchange in India serves as a market where financial instruments like
stocks, bonds and commodities are traded. It is a platform where buyers and
sellers come together to trade financial tools during specific hours of any
business day while adhering to SEBI’s well-defined guidelines. However, only
those companies who are listed in a stock exchange are allowed to trade in it.
Stocks which are not listed on a reputed stock exchange can still be traded in
an ‘Over The Counter Market’. But such shares would not be held high in
esteem in the stock exchange market.
How Does it Work?
Mostly, a stock exchange in India works independently as no ‘market makers’ or
‘specialists’ are present in them. The entire process of trading in stock
exchange in India is order-driven and is conducted over an electronic limit
order book. In such a set-up, orders are automatically matched with the help of
the trading computer. It functions to match investors’ market orders with the
most suitable limit orders. The major benefit of such an order-driven market is
that it facilitates transparency in transactions by displaying all market orders
publicly. Brokers play a vital role in the trading system of the stock exchange
market, as all orders are placed through them. Both institutional investors and
retail customers can avail the benefits associated with direct market access or
DMA. By using the trading terminals provided by stock exchange market
brokers, investors can place their orders directly into the trading system.
HISTORY OF THE STOCK EXCHANGE:
The beginnings of lending were in Italy in the late Middle Ages. In the 14th
century, Venetian lenders would carry slates with information on the various
issues for sale and meet with clients, much like a broker does today. Venetian
merchants introduced the principle of exchanging debts between
moneylenders. these lenders also bought government debt issues. As the
natural evolution of their business continued, the lenders began to sell debt
issues to the first individual investors. The Venetians were the leaders in the
field and the first to start trading securities from other governments, yet did
not embark on private trade with India. Nor did the Italians connect on land
with the Chinese Silk Road. The first book in history of securities exchange, the
Confusion of Confusions, was written by the Dutch-Jewish trader Joseph de la
Vega and the Amsterdam Stock Exchange is often considered the oldest
"modern" securities market in the world. On the other hand, economist Ulrike
Malmendier of the University of California at Berkeley argues that a share
market existed as far back as ancient Rome, that derives from Etruscan
"Argentari".
INDIAN STOCK EXCHANGE:
Bombay Stock Exchange:
Bombay Stock Exchange was started by Premchand Roychand in 1875. While
BSE Limited is now synonymous with Dalal Street, it was not always so. In the
1850s, five stock brokers gathered together under a Banyan tree in front of
Mumbai Town Hall, where Horniman Circle is now situated A decade later, the
brokers moved their location to another leafy setting, this time under banyan
trees at the junction of Meadows Street and what was then called Esplanade
Road, now Mahatma Gandhi Road. With a rapid increase in the number of
brokers, they had to shift places repeatedly. At last, in 1874, the brokers found
a permanent location, the one that they could call their own. The brokers
group became an official organization known as "The Native Share & Stock
Brokers Association" in 1875.
The Bombay Stock Exchange (BSE), Asia’s oldest stock exchange, was
established in 1875 when twenty-two brokers formed "The Native Share &
Stock Brokers’ Association" to formalize securities trading in India. Initially
operating with basic systems, the BSE gradually became a central platform for
Indian companies to raise capital during the colonial period. Its importance
grew as key industries such as railways, textiles, banking, and insurance
expanded, leading to increased listings and investor participation. Despite the
lack of regulation and widespread speculative practices, the exchange played a
vital role in mobilizing funds during significant events like World War I and the
Swadeshi movement.
Following India's independence in 1947, the government took steps to regulate
the financial markets more formally. In 1956, the Securities Contracts
(Regulation) Act (SCRA) officially recognized the BSE and provided a legal
framework for stock exchanges in India. This led to the creation of several
regional stock exchanges in cities such as Calcutta, Madras, and Delhi. However,
trading across these platforms remained manual and inefficient, relying on
open outcry methods. While participation slowly increased, the market
remained underdeveloped and lacked the transparency and broad investor
base seen in more advanced economies.
National Stock Exchange:
The National Stock Exchange of India (NSE) is one of the largest and most
advanced stock exchanges in India and the world. Established in 1992 and
commencing operations in 1994, NSE was created to bring transparency,
efficiency, and technology-driven trading to the Indian financial markets. It was
the first exchange in India to offer a fully electronic, screen-based trading
system, replacing the traditional open outcry method that was common at the
time. Headquartered in Mumbai, the NSE has played a pivotal role in
modernizing the Indian capital market.
NSE provides a platform for trading in equities, derivatives, debt instruments,
and mutual funds. It is known for its flagship benchmark index, the NIFTY 50,
which represents the performance of 50 major Indian companies across key
sectors. With advanced risk management systems, robust clearing and
settlement mechanisms through its subsidiary National Securities Clearing
Corporation Limited (NSCCL), and depository services via NSDL (National
Securities Depository Limited), NSE has become a cornerstone of India’s
financial infrastructure. It has significantly contributed to increasing market
accessibility, investor confidence, and the overall growth of India's economy.

Functions of Stock Exchanges:
1. Role of an Economic Barometer: Stock exchange serves as an economic
barometer that is indicative of the state of the economy. It records all the
major and minor changes in the share prices. It is rightly said to be the
pulse of the economy, which reflects the state of the economy.
2. Valuation of Securities: Stock market helps in the valuation of securities
based on the factors of supply and demand. The securities offered by
companies that are profitable and growth-oriented tend to be valued
higher. Valuation of securities helps creditors, investors and government
in performing their respective functions.
3. Transactional Safety: Transactional safety is ensured as the securities that
are traded in the stock exchange are listed, and the listing of securities is
done after verifying the company’s position. All companies listed have to
adhere to the rules and regulations as laid out by the governing body.
4. Contributor to Economic Growth: Stock exchange offers a platform for
trading of securities of the various companies. This process of trading
involves continuous disinvestment and reinvestment, which offers
opportunities for capital formation and subsequently, growth of the
economy.
5. Making the public aware of equity investment: Stock exchange helps in
providing information about investing in equity markets and by rolling
out new issues to encourage people to invest in securities.
6. Offers scope for speculation: By permitting healthy speculation of the
traded securities, the stock exchange ensures demand and supply of
securities and liquidity.
7. Facilitates liquidity: The most important role of the stock exchange is in
ensuring a ready platform for the sale and purchase of securities. This
gives investors the confidence that the existing investments can be
converted into cash, or in other words, stock exchange offers liquidity in
terms of investment.
8. Better Capital Allocation: Profit-making companies will have their shares
traded actively, and so such companies are able to raise fresh capital
from the equity market. Stock market helps in better allocation of capital
for the investors so that maximum profit can be earned

Common Stock Market Terminology:
Stock/Share: A unit of ownership in a company.
Bull Market: When stock prices are rising or expected to rise.
Bear Market: When stock prices are falling or expected to fall.
IPO (Initial Public Offering): The first time a company sells shares to the public.
Dividend: A portion of a company’s profits paid to shareholders.
Market Capitalization: Total value of a company’s shares (price × number of
shares).
Volume: The number of shares traded in a day.
Blue Chip Stocks: Shares of large, well-established, financially sound
companies.
Index: A group of stocks representing a market segment (e.g., Nifty 50, Sensex).
Bid Price: The highest price a buyer is willing to pay.
Ask Price: The lowest price a seller is willing to accept.
Order Types: Market order (buy/sell immediately) and limit order (buy/sell at a
set price).
Volatility: The degree of price fluctuations in a stock or market.
Stop Loss: An order to sell a stock when it reaches a certain price to limit loss.
Security and Exchange Board of India:
The Securities and Exchange Board of India (SEBI) is the regulatory body for
securities and commodity market in India under the administrative domain of
Ministry of Finance within the Government of India. It was established on 12
April 1988 as an executive body and was given statutory powers on 30 January
1992 through the SEBI Act, 1992.
- Organisational structure of SEBI: SEBI India follows a corporate structure.
It has a Board of Directors, senior management, department heads and
several crucial departments.
- To be precise, the structure of SEBI comprises over 20 departments, all
of which are supervised by their respective department heads, which in
turn are administered by a hierarchy in general.
- The hierarchical structure comprises the following 9 designated officers –
- The Chairman – Nominated by the Indian Union Government.
- Two members belonging to the Union Finance Ministry of India.
- One member belonging to the Reserve Bank of India or RBI.
- Other five members – Nominated by the Union Government of India.
Objectives of SEBI:
1. Protecting Investor Interests:
SEBI works to safeguard investors from fraudulent and unfair trading practices.
It ensures investors receive accurate and timely information about securities.
SEBI enforces regulations to prevent insider trading, which would give unfair
advantages to those with access to non-public information.
2. Regulating the Securities Market:
SEBI regulates the functioning of the Indian capital market, including stock
exchanges, intermediaries, and listed companies. It formulates regulations and
guidelines to promote fair and transparent practices. SEBI oversees the
operations of various market participants to ensure compliance with rules and
regulations.
3. Promoting Market Development:
SEBI aims to develop a healthy and efficient capital market that can attract
investment and facilitate economic growth. It fosters fair practices and
promotes a high standard of integrity in the securities market. SEBI also
encourages innovation and the development of new investment products.
Purpose of SEBI:
The purpose for which SEBI was setup was to provide an environment that
paves the way for mobilisation and allocation of resources. It provides
practices, framework and infrastructure to meet the growing demand.
It meets the needs of the following groups:
1. Issuer: For issuers, SEBI provides a marketplace that can utilised for raising
funds.
2. Investors: It provides protection and supply of accurate information that is
maintained on a regular basis.
3. Intermediaries: It provides a competitive market for the intermediaries by
arranging for proper infrastructure.
Reasons for Fluctuation In Price Of Stock:
1. Company Performance
The financial health of a company greatly impacts its stock price. If a company
reports strong earnings, launches a successful product, or shows consistent
growth, investors gain confidence and buy its shares — pushing the price up.
On the other hand, poor results, losses, or negative news (like fraud or
leadership changes) can lead to selling and a drop in price.
2. Demand and Supply:
The basic rule of economics applies here: when more investors want to buy a
stock (high demand), the price rises. When more people want to sell (high
supply), the price falls. Demand and supply are influenced by investor
perception, news, market trends, and overall sentiment.
3. Economic Factors
Interest rates, inflation, GDP growth, and currency value all affect stock prices.
For example, rising interest rates make loans more expensive, which can
reduce business profits and investor spending, leading to lower stock prices.
Similarly, high inflation can reduce consumer demand, impacting company
earnings and market confidence.
4. Global Events
Indian stock prices are sensitive to international events such as oil price
changes, US Federal Reserve decisions, global recessions, wars, or geopolitical
tensions. Since foreign investors play a big role in Indian markets, any global
uncertainty can lead them to withdraw funds, causing price drops.
5. Government Policies and Political Climate
Decisions related to taxation, trade, subsidies, or reforms (like GST or
privatization) can impact sectors or the entire market. Additionally, political
stability or election outcomes can affect investor confidence. Markets prefer
stable, growth-oriented governments with pro-business policies.
Steps Of Trading Procedure:
The trading procedure involves the following five steps:
1. Selecting a Broker: The stock market involves trading through only
authorised brokers. These brokers can be individuals, companies, or even
partnerships. To begin the trading process, one should select a registered
broker.
2. Opening a Demat Account: De mat is short for dematerialised. The
Demat account is opened with the help of depositories, which include
brokers and banks. It is through this account that trading activities take
place. This is an electronic system. The depository helps keep the
investor or account holder informed about their transactions and the
status of their investments.
3. Placing an Order: Once a Demat account is opened, investors can place
orders in different ways, such as through brokers or themselves. The
order comprises the buying and selling of shares in the stock market.
4. Execution of the Order: Once an order is placed, it is executed by the
broker. Once executed, a contract note is issued, which informs the
investor of all transaction details or orders, such as date, time, and
amount.
5. Settlement: This is the final step in the trading procedure. It involves the
actual transfer of securities between the buyer and the seller. This also
needs to be carried out by the broker. The two main kinds of settlement
are On-the-spot settlement, where funds are immediately transferred
and exchanged on the second working day of the transaction, and
Forward settlement, which implies that the transfer or exchange will be
carried out at some point in the future.
