Sub:― OFFER LETTER.

We are glad to give this offer of engagement with our organization M/s Sybex Support Services Pvt. Ltd., in the
capacity of “TEAM LEADER O&M (UPE)” for a period of one year (Contractual) on purely temporary
basis at our esteemed client’s HSRC INFRA SERVICES LIMITED, for working on the project of the work of Project
Management Consultancy for “Development (Creation, upgradation and Operation & Maintenance) of
Middle Mile Network of BharatNet on Design on Design Build Operate and Maintain (DBOM) Model
(Package:3, UP East)” executed by RVNL.

You are required to report at HSRC INFRA SERVICES LIMITED head office (Phone Number: 9870304803; E-Mail:
SYBEX.HSRC@GMAIL.COM) for submission of documents through e-mail within week from the date of issue of
this letter. After submission of documents, you will have to report for duty to Mr. A.K. Singh, Project Director
(UP East) at office address Lucknow Rail Vikas Nigam Limited North West Block, 2nd Floor, PICUP
Bhawan Vibhuti Khand Gomti Nagar Lucknow – 226010 (Contact: +918595381482) within 15 days, failing
which and this offer shall stand withdrawn. (However in special case further extension of 15 days can be
considered if applied.)
1. You will be required to render service with our client HSRC INFRA SERVICES LIMITED (herein after
referred to as Client) as per their requirement. You will report for providing required services at
HSRC INFRA SERVICES LIMITED as per the requirement of their client.
2. If your performance is noticed “not meeting the work requirement of our client” or “not-satisfactory”,
you shall stand disengaged without any advance notice.
3. Your place of present deployment will be communicated to you at the time of joining.
4. You can be posted anywhere in the project Circle at any time of your employment as per the project
requirement.
5. Your total monthly remuneration would be Rs. 68,650/– (Sixty Eight Thousand Six Hundred and
Fifty Rupees Only/–) inclusive of all statutory contribution.
6. Deduction of Income Tax, Professional Tax, Provident Fund, ESIC & other statutory deductions shall
be made as per the requirements.
7. The Agency reserves its right to vary the terms of your engagement for the Fixed Term period project,
after giving you notice as may be and if required under existing rules or law.
8. The agency has the right to position you to any office / branch of the client likely anywhere in India, in
the interest of the client’s business or projects. You shall be governed by the conditions of service or
rules and regulations that may be prevailing in the place to which you will be deployed.
9. You may be required to travel for official duties outside your place of work (project site) and may be
entitled to payment of travel and travel related costs as per the norms of the client.
10. You will be responsible for maintaining the secrecy and confidentiality and shall not disclose to any
one the information of the client projects etc, which you may access during the course of executing
your fixed term period.

11. You shall disclose to the organization any act of bad faith committed by a fellow colleague or any such
act or omission which comes to your knowledge and which you consider to be detrimental to the
interest of your organization’s / Clients business.
12. You will make your own arrangements for accommodation, local transport, etc. and you will not be
eligible for any additional reimbursement in this regard.
13. You can be disengaged and / or replaced with a better substitute without prior notice and inquiry,
under the following conditions:-

a) In case your performance is found to be unsatisfactory, or you are found violating any prescribed
norms of the organization or our client.
b) Remaining absent from duty without proper approval from the competent authority.
c) In case the client project / process / Line of business / Business Unit / Business Activity comes to
an end.
d) In the event of rejection by the client for any dishonesty, disobedience, absence from duty without
permission, performance not being up to the mark or satisfactory or any other act considered
detrimental to the interest of the organization / client, or violation of one or more terms of this
appointment for fixed term period. For the purpose, your work performance shall be received
every six month and you shall be disengaged and replaced with a person having better skills, if
your performance is not found satisfactory.
e) Any activity leading to formation of groups / Union which the organization may feel that such
groups may hamper the work, peace and general client relationship.
f) Any activity resulting in loss of work at our organization or its client premises or purposive delay
of work, at an individual capacity or in conjunction with other colleagues, will be treated as an act
of indiscipline and may result in withdrawal of your deployment without prior notice or inquiry,
with immediate effect.
g) In case any information / particulars provided to our organization or client during and after your
appointment for fixed term engagement project is found false and misleading.
h) In case of any Criminal Record or Criminal Proceedings initiated against you.

14. No retrenchment compensation / or any compensation will be payable to you on termination of the
contract / otherwise.
15. You shall observe the standards of cleanliness, decorum, safety; general discipline laid down by the
organization or client. You will follow the applicable safety rules of our client and be responsible &
liable for the security and protection of our client’s materials and equipment from loss or damage.
16. You will comply with our Client’s rules and regulations including any subsequent changes or
instructions whenever applicable as may be issued from time to time concerning health, safety and
welfare.
17. In case, you commit any act of Omission / Commission which amounts to misconduct / indiscipline /
incompetence, we will be liable to take appropriate legal action against you, including removal from
site of work, if so required.
18. You agree to defend, indemnify and hold M/s Sybex Support Services Pvt. Ltd and the Client harmless
from any and all claims, damages, liability, attorneys fees and expenses on account of your failure to

satisfy any of your obligations under this work assignment letter or form is conduct or for violation of
any law or creation of any legal liability by you.
19. Any dispute between you and M/s Sybex Support Services Pvt. Ltd shall be referred to as arbitrate or
appointed by M/s Sybex Support Services Pvt. Ltd. The arbitration shall be conducted in English
language, in accordance with the Arbitration and Conciliation Act 1996. This Engagement Letter shall
be governed by the laws of India.
20. Any dispute arising out of this Offer Letter shall be subject to exclusive jurisdiction of the Delhi Courts,
only.
21. You shall not perform any service for the client while under the influence of alcohol or any un-
prescribed controlled substance. The possession of alcohol, un-prescribed controlled substance, drug
or paraphernalia, firearms, explosives, weapons and other hazardous substance or articles are
prohibited on the client’s premises. In case you are found in possession of any of the above mentioned
substances, you will be liable to be dismissed with immediate effect, without any prior notice and
legal action may be taken.
22. You are expected to remain with the Client for the full period of engagement as mentioned in the work
assignment. By signing this agreement/engagement letter, you acknowledge that a breach of any
clause or condition of this agreement will result in irreparable harm to both the Client and our
organization, for which damages alone may not be an adequate remedy. Therefore, in the event of
such a breach, in addition to any legal rights and remedies available under the law, both the Client and
our organization shall have the right to recover the damages caused through legal proceedings.
23. Any damage caused by you at client’s place or organization intentionally / unintentionally resulting in
damage / loss of property or equipment or any tangible / intangible items / assets etc. will be dealt
severally and you will be liable for damage or loss.
24. Your nature of relationship with M/s Sybex Support Services Pvt. Ltd will be that of contract of service
for a fixed period. By executing this letter neither do we offer you employment with M/s Sybex
Support Services Pvt. Ltd. nor you will claim for any form of employment with our client or us
directly / indirectly or through any legal / or ill-legal source. Neither there will be Employer-
Employee relationship nor the Principal-Agent relationship between you and the Client i.e. HSRC
INFRA SERVICES LIMITED.
25. In the event of you not being able to perform our assignment due to a disability or any other reason;
you will be required to return to our organization, at the discretion of the Client’s management.
26. On or before joining you must furnish the followings documents:

(a) Your complete bio-data.


(b) Attested copy of the Certificates and documents showing age, educational Qualifications and
experience.
(c) Certificate of verification of antecedents of persons by local police authority.
(d) Aadhar card of the candidate.
(e) Medical Fitness certificate from registered Medical Practitioner (format enclosed)
(f) Affidavit on a stamp paper of Rs 100/- duly signed by the candidate & attested by notary public
(format enclosed)
(g) Any other document required by HR through e-mail.

27. In case you decide to leave the organization, you have to give prior notice of 45 days in writing to the
agency under intimation to the client. Period of notice will be reckoned from the date of acceptance of
resignation letter in writing. If you leave without notice, the agency is at liberty to recover from you a
sum equivalent to your one month CTC.

28. Please note that you have been engaged by M/s Sybex Support Services Pvt. Ltd. for deployment
with our client organization to provide required services. You shall not engage in any direct
correspondence or shall not canvass in any manner with the management of the client for any service
related or any other ancillary matter.

In case, the above terms and conditions are acceptable to you, please sign at appropriate place on a copy of this
offer affixed term period engagement, in token of you having understood, accepted and agreed to the same. In
case we do not receive your acknowledgement copy within a period of 15 days from the date of joining, your
deployment with our client shall stand withdrawn automatically.
