NON DISCLOSURE AGREEMENT
This AGREEMENT is executed at Mumbai on ______________________Between Jaro Institute of
Technology, Management & Research Ltd, a company incorporated under the provisions of the
Companies Act, 1956, having address at 11th Floor Vikas Center, Opposite Borla Society, Chembur (E)
(hereinafter referred to as “Jaro/Company” which expression shall unless repugnant to the context or
meaning thereof, mean and include its successors, administrators and assigns) of the ONE PART
and______________________________________,

referred to as “Employee”, which expression shall, unless repugnant to the context or meaning thereof,
be deemed to include his/her successors, legal heirs and permitted assigns) of the OTHER PART.
(Jaro and Employee are hereinafter referred to individually as a "Party" and collectively as the "Parties")
NOW IT IS AGREED by and between the Parties hereto as follows:
1. The Employee has joined the services of the Company vide Appointment Letter
dated___________________________.
2. Company has received an acknowledgement from Employee who has accepted the terms and
conditions of the Company.
3. Employee hereby warrants that he/she has received assets by the Company, in good condition and the
said employee is in possession of the same. The employee further warrants that all property or documents
of the Company in his/her possession, custody or under his/her control, including, without limitation,
property or documents belonging to the Company or relating to the Company or its business contacts in
whatever form including the Company credit card, keys, security pass, identity badge, mobile telephone,
laptop, books, documents, papers, computer disks, correspondence notes, records, reports, letter heads,
visiting cards, memory sticks and other media or any other documents and any copies or reproductions
thereof in any medium whatsoever, and all other Confidential Information, where or not the property
which is supplied to employee by the Company shall be returned back to the company in good condition
upon exit.
4. Employee shall, before the Release Date, erase irretrievably any information relating to the business or
affairs of Jaro or its business contacts from computer and communications systems and devices owned or
used by him/her outside the premises of the Company, including such systems and data storage services
provided by third parties (to the extent technically practicable).
5. Employee agrees to keep the Confidential Information pertaining to the Company, its clients and their
data, confidential, and agrees not to disclose the same or any part of it to third parties at any instance prior
or post the termination/expiration of this Agreement. Employee further agrees to maintain safeguards and
take proper precautions to protect such data against unauthorized access, damage, use, modification,
disclosure or impairment by third parties
6. Employee shall not:
a. sell, assign, license or otherwise provide confidential information of the Company to third parties by,
for or without any consideration;
b. Commercially exploit confidential information.

7. Employee hereby agrees that it shall not, either directly or indirectly, make any false, disparaging or
derogatory statements to any media outlet, industry group or person, current, former or potential future
client/partner, patrons of the Company, regarding the Company or any of Company‘s officers, directors,
employees, shareholders, attorneys and/or representatives, or about Company’s business affairs or
financial conditions. Employee shall maintain the confidentiality of the terms and contents of this
agreement to the extent permitted by law. Accordingly, he/she shall not voluntarily disclose the terms and
contents of this Agreement to any third party other than attorneys or accountants in connection with the
rendering of professional services or as required by law.
8. Employee represents and warrants that he/she will not directly or indirectly approach the employees,
consultants, associates, free lancers of the Company with any employment offer. Employee shall also not
approach any of the existing customer or client of the Company, unless asked to do so by the
management.
9. Employee warrants and represents to Jaro that he/she has not breached any terms of his/her
employment with the Company.
10. The Parties confirm that they have kept and agree to keep the existence and terms of this Agreement
confidential, except where disclosure is made to the Party’s directors or professional advisors who also
treat this information as confidential.
11. This Agreement may be executed in separate counterparts, any one of which need not contain
signatures of more than one Party, but all of which taken together will constitute one and the same
Agreement. Signatures transmitted via facsimile shall be deemed the equivalent of originals.
12. The Parties further understands and acknowledges that in the event of any breach or alleged breach of
any of the terms of this Agreement, the aggrieved Party shall have, in addition to (and not in lieu of) any
other rights and remedies available to it, the right to seek and obtain injunctive relief (without any
requirement for proof of special damages or the like) in order to prevent or to restrain any such breach or
alleged breach by the other Party, any of its Personnel, Affiliates, associates, advisors, or any other
persons or entities directly or indirectly acting for, on behalf of or with consent of the such Party. The
Parties further agrees to indemnify and hold the other harmless from any and all costs (including
attorney’s fees) incurred by the other Party from obtaining such injunctive relief.
13. The validity, the performance and the interpretation of this Agreement and all actions related hereto
shall be governed by the Laws of India and Courts of Mumbai shall have exclusive jurisdiction in respect
of any matters arising under or in relation to this Agreement.
