Subject: Letter of Appointment

Dear Sonu,

Subsequent to our discussions we are pleased to offer you an appointment as Survey Engineer - 3 in
SAI Consulting Engineers Pvt. Ltd., a Systra Group Company (“Company”) on the following terms and
conditions.

You are required to join your duties on or before February 18, 2022 and your appointment shall be
effective from the date of your joining.

1. Place of Work
Your normal place of work will be Systra Project Office for KSTP: Construction Supervision of
Road Works: Climate - Resilient Reconstruction after Flooding in Kerala which is currently
located at Amritha Niwas, Near Khadar's Shop, Chelakode, Thrissur, Kerala - 680587. However,
the Company may shift the place/ places of working or transfer or assign you to work in any
other business unit, department or legal entity within the Company or group or the clients’
office(s) anywhere in India or abroad, whether in existence or which may come into existence
hereafter, in future depending on the business requirements with or without any change in
the terms & conditions of the employment.

2. Reporting
You will be reporting to Team Leader, Subhramanyam Tummi or a designee for your day-to-
day work.

3. Remuneration
The remuneration payable will be as mentioned in Annexure-I

4. Statutory Deductions and Income Tax Deductions


Statutory deductions, if any, will be made from your remuneration as per the prevailing laws
and regulations. At the end of each financial year, if applicable, the Company will provide you
the tax deduction certificate However, for filing of your income tax you will be personally
responsible.

5. Social Security Benefits


You shall be eligible for social security benefits, as applicable, in line with The Employees'
Provident Funds and Miscellaneous Provisions Act, 1952 and The Payment of Gratuity Act,
1972.

6. Confirmation of Employment
You will be on probation for a period of six (06) months from the date of your joining the
duties. The probation period can be extended further if your performance /conduct is not
satisfactory. You will continue to be on probation until confirmed.
7. Notice Period

7.a. Notice Period under Probation

Either party can terminate this employment by giving 30 days’ notice in writing during
probation period by paying salary for the balance/ shortfall in notice period, in lieu thereof,
however the final decision shall be at the sole discretion of the management. Accordingly,
employee shall be required to serve the complete notice period, as applicable.

7.b. Notice Period after Confirmation

Either party can terminate this employment by giving 90 days’ notice in writing after
confirmation by paying salary for the balance/ shortfall in notice period, in lieu thereof,
however the final decision shall be at the sole discretion of the management. Accordingly,
employee shall be required to serve the complete notice period, as applicable.

During probation/ post confirmation, the Company will be well within its rights to immediately
terminate the employment and will not be required to give any notice or salary/
compensation on account of any event/ act like indiscipline, insubordination, unsatisfactory
performance, unauthorized leave, absence from duty without prior approval of the competent
authority, furnishing of incorrect particulars/information during interview or post
appointment, in the event of violation of Company’s Code of Conduct, intimation from the
client asking for your demobilization or termination etc.

8. Service Conditions
Your appointment is based on the information provided by you in your application/CV which
forms a part of your employment and in case of any omission, exaggeration, concealment, or
misrepresentation in the said application or in documents submitted, your employment can
be terminated without making any reference to you, without any notice or compensation, in
lieu thereof and in that event, you shall have no claim, whatsoever, against the Company or its
Directors of any kind.

You shall be governed by the policies, rules & regulations enforced by the management that
are in operation or as may be framed by the Company from time to time relating to service
conditions and which will be deemed as rules, regulations, and orders in the part of these
terms of employment. The management reserves the right to modify, alter or delete the
existing service rules or to introduce fresh service rules which will be binding on you.

Your employment is subject to you being medically fit throughout the employment period.
The Company may ask you to undergo a medical examination periodically, before any
competent doctor or panel of doctors, if required, during your employment with the
Company. In case you are found medically unfit to continue with the job, you will have no
right to claim the employment.

9. Insurance
You shall be covered under the Group Term Life insurance [GTL] and Group Mediclaim Policy
[GMP] as per Company rules/ policy, as applicable.

10. Company Leave Policy


You will be entitled to the leaves as per the Company leave policy in force or operation and as
amended from time to time by the management during the Employment period.
11. Code of Conduct and Business Ethics Policy
You will be required to read, sign, and abide by Company’s “Code of Ethics & Business
Principles” which will be shared with you upon your joining along with joining documents/
handbook. You are expected to maintain the highest standards of personal conduct &
integrity; hence you are required
to keep yourself informed of and comply with all Company policies & procedures and
modifications therein from time to time. It is mandatory to take online anticorruption and
ethics test within first week of your joining.

12. Acceptance of any other Employment


During your employment with the Company, you will devote your full time & attention to the
duties assigned to you from time to time, you shall not supplement the remuneration you are
entitled to, by virtue of your services with any other organization, by part-time employment in
any other capacity, with or without remuneration. You will not engage in any other activities
that conflict with your obligations to the Company.

13. Conflict of Interest Policy


You will not engage yourself directly or indirectly in any activities or business/ commercial
conduct or transactions that may create or appear to create a conflict between the interests
of the Company and of an employee.

14. Company Policies, Procedures, and Prevalent Practices


Your Employment with the Company shall further be governed by all other applicable policies
in force/ operation or as may be introduced freshly or amended from time to time and you
will abide the same.

15. Business Critical Information


Business critical information includes information relating to the business of the Company
learned or acquired by employee during the term of employment, any or all technical or non-
technical including knowledge, know-how, without limitation. In case you are found to be
violating the same, appropriate action will be taken against you which including termination of
employment as the case may be. The Company will not be liable to pay any notice pay or
compensate in any manner whatsoever in such situation and will have the right to recover
from you an amount equivalent to damages suffered by the Company, or take any other legal
action against you, as deemed appropriate. This clause shall survive for 2 years even after the
expiry/termination of the Employment.

16. Company IT Policy


Access of internet must be done in a judicious manner with abundant caution. Your actions as
an employee should be in compliance with applicable guidelines. No information document
can be used in any way other than work related to the Company. If the same is violated, it will
be construed as misconduct resulting in suitable disciplinary action. No unlicensed software is
permitted to be used or loaded on the system provided by the Company. The employee will
be held personally liable for any legal action which may come out of such an activity.

In addition to any other available remedies, the Company may proceed against you to recover
an amount equal to the loss incurred by the Company apart from cost, expenses that the
Company may incur in this regard. You are requested to refer the Company’s IT Policy.
17. Intellectual Property and Rights
All Intellectual Property Rights related to, directly or indirectly or created in the course of
employment shall vest with Systra group. You shall share and assign promptly to the company
any or all ideas, concepts, inventions or discoveries design or patents, which relate in any way
to the business of the Company, or which are suggested as a result of any work that you
perform on behalf of the Company. No work product created while employed by the Company
shall be claimed, construed, or presented as your property during employment or after
employment with the Company has been terminated, you shall assign any Intellectual
Property that does not automatically vest with the Company, in perpetuity to the Company
throughout the world, on demand.

The documents and drawings created out of the assigned work will remain the sole property
of the Company and Company will be free to use the same in any matter deemed fit, Including
in electronic form whatsoever code, and/or any other intellectual property.

18. Copyright
You shall waive all statutory rights provided under the Indian Copyright Act, 1957 or any other
applicable law and to any work created in the course of your employment with the Company
in
India or abroad.

19. Protection of Company Property


You will be responsible for safekeeping and return of Company assets given to you, in good
condition and in working order which may be in your use, custody. Withholding of Company
property/ assets upon separation is not permitted.

20. Prevention of Sexual Harassment at Workplace


The Company has in place a policy on “Prevention of sexual harassment at workplace” which
is in accordance with the “Prevention of sexual harassment at workplace, Act 2013”. You are
expected to comply with the provisions of the same. Any employee found to be violating any
of the provisions of this policy shall be liable for strict disciplinary actions, including
termination, as the case may be, upon conducting the enquiry and based on the
recommendations of the enquiry committee.

21. Anti-solicitation
The appointment is subjected to the condition that in the event of relinquishment of the post
either on retirement or resignation or otherwise, you shall not accept any employment or
position or provide your services, either part time or full time, within Six (6) months, to any of
our current or previous clients, or associate/ joint venture partner of the Company wherein
you have been directly/ indirectly involved in the past failing which, due legal action as
deemed appropriate can be taken.

22. Retirement
You will automatically stand retired from the employment with the Company on your
attaining age of 65 years (“Superannuation”). In case the age of superannuation is different as
per client contract conditions, the mode of engagement shall be revised post superannuation
from the Company. Your date of birth as mentioned in Matriculation/ Higher secondary
certificate will be considered as final & conclusive proof of your age for all related decisions.
No request for change in the date of birth will be entertained by the Company in any
circumstances.
23. Submission of Joining Kit Documents
At the time of your joining the Company you will be given forms, documents to be filled-in and
signed by you to authenticate and validate the correctness of the information. Any lapse on
such submission shall be treated as withholding of information and gross misconduct
subsequently Company may take suitable action against you.

24. You will keep the management informed in writing of any change in your residential address,
contact details and other personal details, which may be necessary for the information of the
Company. Otherwise, all communication intended to be served on you will be sent on the last
address given by you and it shall be deemed to have been delivered to you and responsibility
for non-receipt of them by you will be yours.

25. Your level/designation/ title is subject to change depending upon your assignments given to
you by the Company or other contingencies like reorganization/ restructuring of the Company
from time to time.

26. Jurisdiction
For all purposes, the jurisdiction shall be Ahmedabad.

27. Arbitration
Any dispute, controversy or claim arising out of or relating to this Contract or the breach,
termination, validity thereof shall first be settled amicably between the parties within a period
of 45 working days or such extended period as may be agreed upon between the parties. In
the event, the dispute cannot be settled amicably, the same shall be referred to a sole
arbitrator to be appointed by the company, only for arbitration, whose decision shall be
binding and final on the parties to this contract. The arbitration shall be held / conducted in
accordance with the provisions of the Arbitration and Conciliation Act. 1996. The venue of
arbitration shall be Ahmedabad and this contract shall remain enforceable at Ahmedabad.

28. Waiver
The failure to enforce any provisions of this Agreement shall not be deemed a waiver or a
continuing waiver of the same or other provision of this Agreement unless such waiver is in
writing and signed by the Party to be charged. The said policies are subject to amendments,
alteration, modification or addition, based on various statutory amendments, changing
business strategies and other consequent reasons. Therefore, any such policies with its
amendments /alterations/ modification/ addition shall apply to you unless specified
otherwise.

Notwithstanding anything contained herein, the Company reserves the right for immediate
termination of the contract along with any other action, legal or otherwise it may deem fit,
if the documents, information submitted/ furnished by you in lieu of your appointment are
found to be false/fabricated.
We wish you best wishes for a long and mutually beneficial association with the Company.

Please sign and return a copy of this letter in acceptance of the terms and conditions stated
therein.
