THE GROUP CONSTITUTION
1. NAME OF THE GROUP
The name of the group will BWASETI SELF HELP GROUP hereinafter called “the Group”
2. VISION:
To create an enabling environment for enhancing poverty eradication through education and
agricultural activities aimed at improving the living standards of the members.
3. MISSION:
To mobilize the communities, organizations and individuals to share and participate in all aspects
of education, health and poverty reduction in the sub location
4. AIMS AND OBJECTIVES
To create a platform for members to access credits through table banking.
To uplift member’s capital base in diversity business ideas such as through agribusiness
To create an integrated framework of addressing issues affecting the youth in our
community.
Offer an opportunity for people to acquire the knowledge and skills to improve their
livelihoods.
To acquire property and chattels and do such other things as may be approved by
members.
To raise or borrow money for all or any of the foregoing objectives in such manner and
upon such security as may from time to time be determined by the Group.
To do all such other things as are incidental or conducive to the attainment of all or any
of the foregoing objectives
5. INCOME GENERATION
The group shall establish income generating projects with an aim of empowering other people
in the community and promote self-growth.
6. MEMBERSHIP
• Must be a Kenyan citizen above 18 years
• Must be morally upright and have outstanding moral values
• Must comply with the group constitution and meeting resolutions. ▪
• Must be willing to work together and support others where need be.
• Every member of the Group shall, on becoming a member, pay the Group anon-refundable
registration fee of Kshs 200 or such other fee as may be prescribed.

• Every member will be required to pay a monthly contribution of not less than Kshs. 200 or such other
fee as may be determined by the General Meeting of the Group from time to time
• ▪
Every member, on being accepted for membership, shall notify the Group of his/her NEXT OF KIN
and the next of kin shall be responsible for the debts and be entitled to the rights, privileges,
Obligations, emoluments and dividends of the DECEASED MEMBER.
7. TERMINATION OF MEMBERSHIP
• Official resignation from the group
• Failure to comply with the constitution and other regulations made by the group
• Any member desiring to resign from the Group shall give a one-month written notice of
the intended resignation to the Secretary and the resignation shall take effect from the
date of expiry of the notice, provided that the member has cleared all outstanding loans
and other commitments made by him/her to the Group and has handed over all the
properties of the Group in his/her possession during the period of notice.
• If any of the shares of a member desiring to resign have been invested in land, buildings
and other immovable property, the resignation shall only be effective when another
member of the Group has bought such invested shares.
• Any member who falls into arrears with his/her annual subscription for more than one year
shall automatically cease to be a member and his/her name struck off the register of Group
members
• If a member dies
7.1 A person expelled from membership of the Group may re-apply for membership provided that such
a person shall only be re-admitted as a member with the authority of a special resolution adopted by
the Annual General Meeting.
8. OFFICIALS OF THE GROUP
The group shall have the following offices, whose bona fide holders shall be elected either in the
general meeting or appointed in acting capacity to fill vacant positions
• Chairperson
• Vice chairperson
• Secretary
• Vice Secretary
• Treasurer
9. ROLES OF OFFICE
BEARERS Chairperson
• Arrange for and call for all group meetings.
• Chair all group meetings.
• Maintain law and order in the meetings.
• Represent the group in other meetings where the group is invited.
• Be a signatory to the group bank account.
• Handle all the group expenditures
• Shall be the executive head and spokesperson of the group.
• The Chairman shall provide leadership to the Group and shall, unless prevented by illness or
sufficient cause, preside over all meetings of the Executive Committee and at all General
Meetings.
• Organizes meetings (agenda) and summarizes them at the end,
• Encourages Participation by all members represents the group at meetings with others. The
Chairman shall have a casting vote.
Vice Chairperson
• The Vice-Chairman shall perform such duties as may be specifically assigned to him/her
• Is the principal assistant of the chairperson
• Performs all the roles of the chairperson in his absence
• In charge of members welfare
Secretary
• In charge of the group records and minutes.
• Write all meetings minutes.
• Be a signatory to the group bank account.
• Send and receive letters of the group.
• Maintain group records and inventories.
Vice Secretary
• The principal assistant to the groups secretary •
Performs all roles of the secretary in their
absence.
Treasurer
• In charge of all the funds coming to the group
• Maintain financial records of the group
• Be a signatory to the group bank account
• Advise the group on financial matters.
• Handle all the group expenditures
Be responsible to the Executive Committee and to the members that proper books of
accounts of all moneys received and paid out by the Group are written up, preserved and
available for inspection and audit
10. MEETINGS
a. General meetings
Should be held once yearly to review the group financial state, amend the group constitution and
election of office bearers.
b. Executive meeting
Executive meetings will be held by the elected officials and 2 other members to deliberate on the
consistent emerging issues within the group. The meetings can be called anytime by the group
chairperson
c. Group meetings
Will be conducted on a monthly basis with two thirds (2/3) quorum for it to proceed. The meetings will
be chaired by the group chairman and in his absence one of the executive
11. ELECTIONS
• Elections should be conducted after every three (3) years to elect / reelect group officials or if
official(s) steps down from the position before the election time.
• A third party will preside over the election.
12. BANK ACCOUNT SIGNATORIES
The following officials will be bank signatories to the group accounts.
• The Chairman
• The Secretary
• The Treasurer
Any two can transact on behalf of the group.
13. FINANCES
• All group monies should be banked except petty cash of less than 10000/=.
• High degree of financial discipline must prevail to propel the group to higher economic growth.
• The Group funds shall be sourced from:
• Members registration fees and subscriptions o Donation s
o Fundraising o Investments
o Support from Group’s friends and
well-wishers
o Members contributions o Any other
source approved by members
13.1 USE OF THE GROUP FUNDS
• The group funds shall only be used on ventures agreed upon by the executive committee
and approved by all members in a general meeting.
14. AUDIT
An auditor shall be appointed for the following year by the Annual General Meeting
from among members of the Group. All the Groups accounts, records and documents
shall be open to the inspection of the auditor at any time.
The Treasurer shall produce an account of his/her receipts and payments and a
statement of assets and liabilities made up to a date which shall not be less than four
weeks and not more than eight weeks before the date of the Annual General Meeting.
The auditor shall examine such annual accounts and statements and either certify that
they are correct, duly vouched and in accordance with the law or report to the Group
in what respect they are found to be incorrect, unvouchered or not in accordance with
the law.
The group’s books of accounts will be open for self-audit by group members and
external audits by any other responsible authority.
15. AMMENDMENT OF THE CONSTITUTION
During the annual general meeting the member can amend the constitution or when
need arise with a quorum of 2/3.
16. GROUP DISSOLUTION
If two thirds of the members resolve to dissolve the group they MUST do so through
writing to the Social Services. If no quorum is obtained, the proposal to dissolve the
Group shall be submitted to a further General Meeting, which shall be held within one
calendar month. Notice of this meeting shall be given to all members of the Group at
least14 days before the date of the meeting. The quorum for this second meeting shall
be the number of members present
Provided, however, that no dissolution shall be effected without the prior consent in
writing of the official(s) in the relevant Social Services Department, obtained upon
application to him/her made in writing and signed by three office bearers
17. DECLARATION
We the group members wholly agree to adopt the tenets of this group constitution as
our guiding principles
