This deed of conveyance is made on this day of                  May, 2025 .

   (1) Sri Swapan Kumar Das, (PAN- ADVPD7998J) S/O Late Makhan Lal Das
   (2) Smt. Sabari Das, (PAN- ALUPD5238L) W/O Sri Swapa Kumar Das
   Both by faith - Hindu, by occupation- Service & Housewife respectively,
   Nationality- Indian, residing at A/6 Keshoram Rayon Staff Colony, Post-
   Nayasarai, P.S- Mogra, Disrtict- Hooghly hereinafter referred to as the OWNERS
   / VENDORS (Which term or expression shall unless excluded by or repugnant
   to the context be deemed to mean and include their heirs, executors,
   administrators, legal and / or assigns) of the FIRST PART.
                                        AND
   (1) Sri Pranoy Pandit, (PAN – BDWPP0547B) Son of Prasanta Pandit,
   (2) Smt Parbati Pandit, (PAN – EUVPS5464M) Wife of Sri Pranoy Pandit,
   Both by faith Hindu, by Nationality - Indian, by occupation : service and
   Housewife respectively, residing at Permanent Address – Vill- Bahirgachi, P.O.
   – Hat Bahirgachhi, P. S. – Dhantala, Dist. – Nadia, Pin 741501, herein after
   called and referred to as the ‘PURCHASERS’ (Which term or expression shall
   unless excluded by or repugnant to the context be deemed to mean and include
   their heirs, executors, administrators, legal and / or assigns) of the SECOND
   PART.
WHEREAS The VENDORS bought all that piece and parcel of a self-contained flat
being No. “B/1” in the First Floor Facing North-East under the name and style of
the building “DUTTA APARTMENT” having super-built up area 1068 sq. ft.
Covered area 821.5 sq.ft. tiles floored on a piece of land measuring 3 Cottahs 0
Chhatak 27 sq.ft. or 2187 sq.ft. or more or less 05 decimal of Bastu Land lying
and situated at Mouza Mallickerbag, being J.L. No. 1, R.S. No. 34, Touzi No. 2462,
2463 hal 1, Dag No. R.S. 63, L.R. 307, under Khatian No. R.S. 925, L.R. 4222,
being specific portion of Holding No. 11/9/43, Bag Station Road, Ward No. 01,
within the municipal limits of Halisahar, Police Station Bizpur, Dist. North 24-
Parganas From Satyndra Nath Dutta by the means of registered Deed of

Conveyance registered at A. D. S. R. Naihati, recorded in Book – I, vide Deed No.:
5975 on 30/07/2014.
WHEREAS the VENDORS after buying the abovementioned Flat by the above
mentioned means took over the possession of the same and having a rightful
marketable title deed has been in peaceful possession of the same Flat.
AND WHEREAS the Vendors offering to sell and the purchasers have agreed to
purchase all that a self contained and independent flat identified North-East
Facing, Flat no.- B/1 on the First Floor of the said multistoried G+4 storied
building of DUTTA APARTMENT measuring a having super-built up area 1068
sq. ft. Covered area 821.5 sq.ft. Carpet Area 660 Sq. Ft. tiles floored be the
same a little more or less details of which have been described in the “2nd
SCHEDULE” along with the undivided proportionate share of land of the said
building, herein after called “the said FLAT” together with the undivided
impartiable proportionate share of the first schedule land together with all
common amenities, facilities available to the said building AND WHEREAS the
Vendors on being become the absolute owner of their name mutated and has been
paying rent and taxes with the authority concerned of Naihati Municipality:
AND WHEREAS the vendors after taking over the possession of the said flat has
been in peaceful possession since then and has a rightful marketable title deed
over the same.
AND WHEREAS The Vendors herein being approached and requested by the
Purchasers has agreed to complete the transfer by executing and registering this
presents in respect of the said one a self contained and independent flat
identified North-East Facing, Flat no.- B/1 on the First Floor of the said
multistoried G+4 storied building of DUTTA APARTMENT measuring a having
super-built up area 1068 sq. ft. Covered area 821.5 sq.ft. Carpet Area 660 Sq.
Ft. tiles floored be the same a little more or less Consisting of 2 bed room, 1
drawing and dining, 1 kitchen, 2         toilets and 2 balcony along with the
undivided proportionate share of land of the said building and mentioned
schedule B together with common parts and portions together with proportionate
share of interest in the land described in the    schedule A written here above

mentioned and the said Apartment, common parts and common areas constructed
and completed in the manner as specified herein for the consideration of of Rs.
33,00,000/- (Rupees Thirty Three Lakh) Only which free from all sorts of
encumbrances.
NOW THIS INDENTURE WITNESSTH:
1. That in pursuance of the said agreement and in consideration of sum of of Rs.
33,00,000/- (Rupees Thirty Three Lakh) Only which free from all sorts of
encumbrances paid by the Purchasers to the Vendors one or before the execution
of these presents (the receipt whereof the Vendors doth hereby admit and
acknowledge and also by the following memo of consideration written hereunder
and the Vendors do hereby release and discharge the properties sold by these
presents and also the Purchasers the Vendors doth hereby sell, transfer, grant,
convey, assign and assure and the Vendors assures and confirms unto and to the
use of the said Purchasers free from all encumbrances and without any defects in
title of the said building known as " DUTTA APARTMENT" built and constructed
on the land of the said premises and the said flat is more fully and particularly
described in the Second Schedule written hereunder and the said flat is also
delineated in the map or plan annexed with this deed and bordered in Colour 'Red'
thereon ALONG WITH the proportionate and impartible share in the land of the
said premises (which are more fully and particularly described in the First
Schedule hereinunder written ALONG WITH common rights in the common areas
and facilities of the said building and the said premises which are morefully and
particularly described in the Third Schedule hereunder written (all hereinafter
collectively referred to as the 'Said Properties) together with and all estates, rights,
title, interests, claim and demand whatsoever of the Vendors on the said
properties in law and equity TO ENTER UPON AND TO HAVE, HOLD, OWN AND
POSSESS the same to the unto and to the use of the Purchasers, absolutely and
forever.

THE VENDORS DOTH HEREBY COVENANT WITH THE PURCHASERS
THAT as follows:-
a) That said Flat and other rights which are hereby granted shall quietly and
peacefully entered into and upon and hold and enjoy by the Purchasers without
any lawful eviction, hindrance and interruption, disturbances, claim or demand
whatsoever from or by the Vendors or any person claiming through or under then
or in trust for them.
b) The Vendors will at the cost of the Purchasers requiring the same to do and
execute all such assurances of things necessary for further and more perfectly and
fully assuring the Flat to the Purchasers as may reasonably be required.
c) The interest hereby transferred subsists and the Vendors have absolute power
to sell the same.
d) The property hereby sold is free from all sorts of encumbrances, attachments
and charges.
e) The Vendors further covenant that then and any person claiming through them
shall keep the Purchasers harmless and indemnified of and from or against all
former and other taxes, liens, encumbrances, attachments, whatsoever made done
or suffered by the Vendors or any person claiming through them.
f) The Vendors as well as the Developers shall execute all sorts of documents
whatsoever necessary for individually mutating the same of the Purchasers by
local municipality or for obtaining electric connection in individual name of the
Purchasers form the competent authority.
g) The purchasers should not claim of any other Vendors portion except of their
purchasing portion of Second Schedule.
THE FOLLOWING TERMS AND CONDITIONS WILL BE OBSERVED BY THE
PURCHASERS:-

a) That the Purchasers shall maintain at his own costs the unit hereby sold and
conveyed in good conditions. The Purchasers shall keep the walls of the said unit
and partition walls, sewers, drains, pipe and other fittings and fixtures
appurtances thereto belonging in good tenable repair and conditions in
particularly so as to support, shelter and protect and parapets and other portion of
the building beside the said unit.
b) That the Purchasers shall not at any time demolish or cause to be demolished,
damage or cause to be damaged.
c) That the Purchasers undertakes that he will not change the basic structures
partitioned wall in respect of the flat room hereby transferred and conveyed.
d) That the Purchasers undertakes that he will bear proportionate cost in respect
of the common areas and common things attached to the said Flat using or for the
benefit of the Flat Owners as stated in the Third Schedule.
e) That the Purchasers has absolute right to sell, mortgage, gift, lease, or any kind
of transfer the said Flat hereby sold, conveyed, granted and transferred. That the
Purchasers prior to purchasing of the Flat has thoroughly inspected by himself as
well as through his expert regarding the construction and being satisfied about the
quality of the construction is purchasing the Flat.
g) That the Purchasers shall not store or allow being stored any explosive
inflammable and combustible articles in the said unit and not to create any
nuisance which may cause disturbance to the other occupiers.
h) That the Purchasers will be a member of the Society/ Association which will be
formed by the Flat Owners/Shop Owners as per rules and regulations and will
obey the decisions for maintenance etc.
i) The Purchasers shall at his own costs and expenses fix separate meter or meters
in the Said Premises for electricity power of the said unit.

j) That the Purchasers shall not construct new structures or make any
addition/alteration in the R.C.C. structure and or masonary work of their flat of
the building.
k) That the Purchasers has no grievance against the Vendors regarding the
standard of the Said Flat, quality of the Doors, Windows & other fixtures either at
present or in future.
l) That the Purchasers shall pay the proportionate share towards all outgoings in
respect of the Said Flat and also the proportionate share of monthly maintenance
charges and for services and maintenance of common parts, common amenities,
commons easements, etc. as mentioned in the Fourth Schedule hereto and also
pay the proportionate share separately or any other taxes or outings to the said
unit.
m) That the Purchasers shall pay proportionate share of the Municipal Taxes,
Rents, Surcharges, if any assessed on the Said Property so long the Said Premises
shall not be separately assessed for Municipal Taxes, Rents, Surcharge, if any,
assessed on the Said Property and the building thereon.
n) That the Purchasers will not make any complaint regarding the quality of the
Said Flat to any authority either in present or in future.
o) That the Purchasers shall have the absolute right to sell, mortgage, gift, lease or
any kind of transfer the said flat hereby sold, conveyed and transferred including
the proportionate share in the land and the covered space specially mentioned in
the building sanctioned plan of the authority concern.
p) That the Purchasers shall not be entitled to raise any objection to the Vendors
as well as the Developers for selling the rest of the building of the premises.
q) That the Purchasers shall be able to enjoy all the common areas and facilities
mentioned in the third schedule, bear all the common expenses as mentioned in
the fourth schedule and abide by all the decorum as mentioned in deed no.:
5975/2014.

               THE SECOND SCHEDULE ABOVE REFERRED TO
                      (DESCRIPTION OF THE SOLD FLAT)
All That one a self contained and independent flat identified North-East
Facing, Flat no.- B/1 on the First Floor of the said multistoried G+4 storied
building of DUTTA APARTMENT measuring a having super-built up area 1068
sq. ft. Covered area 821.5 sq.ft. Carpet Area 660 Sq. Ft. tiles floored be the
same a little more or less Consisting of 2 bed room, 1 drawing and dining, 1
kitchen, 2 toilets and 2 balcony along with the undivided proportionate share of
land of the said building and mentioned schedule A together with common parts
and portions together with proportionate share of interest in the land described in
the schedule A written here above mentioned and the said Apartment, common
parts and common areas constructed and completed in the manner as specified
herein and the Apartment is delineated in Red Border in the Map or plan annexed
hereto.

13. Water supply Pump operated under ground tank will be utilized for water
supply and overhead reservoir will be provided on ultimate roof.

reserved at the Ground floor of " DUTTA APARTMENT".

      FOURTH SCHEDULE ABOVE REFERRED TO (COMMON EXPENSES)
1. All expenses for maintaining, white wash, painting repainting and all repairing
the common parts including the outer walls of the building and common area
electric charge with maintaining pump motor.
2. Salary of the Security Guard and Sweeper charge.
3. Establish and all other expenses of the association including the formation
Office establishment misc expenses.
4. All charges and security nominees to be deposited for the common facilities.
5. Costs and charges for maintenance of the building.
6 All other expenses and outgoing as are deemed be necessary or incidental for
protecting the interest and the the purchasers on and after purchase and delivery
physical possession.
The Annexed Site Plan and annexed sheets containing Photographs and
Signatures along with finger impressions of the Vendors and the Purchasers as a
part of this documents.
The said Flat is depicted and delineated in the map or plan hereto annexed and
made part thereof and shown within RED Border lines

                    MEMORANDUM OF CONSIDERATION

consideration from the above named Purchasers in respect of said property
mentioned in SCHEDULE hereinabove as per memo below:-
