1. Purpose of Agreement
This Agreement outlines the terms and conditions under which Otium Funding will provide financial support to the Project
Company for its operations and project development.
Deal Memo:
This agreement involves funding in USDT (Tether, ERC-20), which will be used for the project and subsequently converted to
cash (USD) via bank transfer. The specific terms, including the discount for each tranche, will be determined on the day the
funds for that tranche are received.
The USDT will be transferred from an off chain wallet to a hot wallet (BITLARCK.CO) before being transferred to your local
wallet for monetization.
Otium Funding is not simply looking to invest in projects and receive returns. The primary goal is to identify project owners
who require funds and are also able to help convert USDT into cash. In this arrangement, Otium will provide 100% of the
funds, and the project owner will return 50% of the funds through a bank transfer. The remaining 40% is to be used as project
capital.
Background:
In 2014, Otium adapted to regulatory changes following the cryptocurrency ban in Bolivia by ceasing all cryptocurrency
activities. In response to these changes, Otium Consulting Company, now a stock exchange and financial services provider, is
seeking project owners who can receive and convert cryptocurrency assets into traditional currency, in compliance with
current regulations.
Despite challenges from regulatory shifts, Otium remains committed to transparency, integrity, and responsible financial
practices while continuing to provide financial services, including holding and stock exchange operations, to its clients.
2. Funding Amount
Otium Funding agrees to provide the Project Company with a total funding amount of USD 1,000,000,000 (One Billion
United States Dollars) in cryptocurrency, specifically USDT.
3. Return of Funding
The Project Company reserves the right to repay 50% of the funding amount in cash via wire transfer, at its discretion and
based on available resources. The repayment must be made to Otium Funding within 8 working days from the date the funds
are received.
4. Transaction Confirmation
Once the cryptocurrency (USDT) has been transferred, Otium Funding will provide the Project Company with the transaction
hash to confirm the funds have been successfully sent.
The Project Company is required to ensure that all funds received are utilized solely for lawful and legitimate business
activities.
5. Force Majeure
In the event of a natural or man-made disaster, such as a flood, earthquake, tsunami, or act of bio-terrorism, that results in
global or local lockdowns, the timeline for the return of funding will be suspended for the duration of the disaster.
6. Proof of Funds
Before initiating the transaction, Otium Funding will provide the Project Company with proof of available funds from its
wallet to confirm the legitimacy of the funds.

PAYMENT GUARANTEE:
I, the Capital Receiver, with (country) Passport No. , hereof, without duress
and acting with full responsibility, hereby instruct all payments received by sender hereof be settled
according to this Agreement without any protests or notifications, without prejudice, recourse or
delay, and further, I do hereby and herewith instruct that all funds received by the SENDER shall be
delivered to the PAYOUT BANK ACCOUNT and further disburse balance of the funds from each
and every tranche. I, the receiver and my
financial partners take responsibility to manage all necessary communications between the
paymaster and the parties herein. Through Party A’s paymaster, the receiver will manage all
distributions from its financial partner and sender with the receiving bank coordinates. The receiver
takes full responsibility to distribute the hypothecated proceeds to the Sender and appropriate
representatives by direct wire transfer. The Receiver also takes responsibility to cover all legal fees
by the Paymasters listed within this agreement.

In any transaction involving a third party, it is stipulated that said third party shall be entitled to receive a 5% allocation of the
transaction amount. This provision holds true regardless of whether the third party comprises an individual entity or a collective
group of individuals. However, in scenarios where no external third party is involved in the transaction process, the designated
receiver shall inherit the entire 5% allocation, resulting in a total share of 50% of the transaction amount. This protocol ensures
that all parties involved in the transaction are duly compensated and that the distribution of funds adheres to the established
guidelines and procedures governing such transactions.
