e*e'tion of this a&reement# hand o%er to the -r'hasersD Ad%o'ates and
So(i'itors a(( ori&ina( do'ments and tit(e deeds re(atin& to the said +ro+erty
in e*'han&e of an a''onta$(e re'ei+t of the -r'hasersD Ad%o'ates for
ena$(in& the -r'hasersD Ad%o'ates and So(i'itors to in%esti&ate the
4endorDs tit(e to the said +ro+erty1 The -r'hasers sha(( administer
reAisitions to the 4endor within a +eriod of two months from the date of
re'ei+t of s'h ori&ina( do'ments and tit(e deeds and if within the said
+eriod of two months no reAisitions are re'ei%ed $y the 4endors# the
4endors sha(( +resme that the -r'hasers ha%e a''e+ted the 4endorDs tit(e
to the said +ro+erty and the -r'hasers sha(( not $e entit(ed to administer
any reAisition on tit(e of the 4endor to the
said +ro+erty1

a(( en'm$ran'es# do$ts and '(aims and sha(( at his own 'osts and
e*+enses &et in a(( otstandin& estates and '(ear a(( defe'ts in the tit(e
en'm$ran'es and '(aims $y way of sa(e e*'han&e# mort&a&e# &ift# trst#
inheritan'e# +ossession (ease# (ien# easement or otherwise1

transfer of the said +ro+erty to the names of the -r'hasers or their
nominee or nominees and in the (atter e%ent the -r'hasers sha(( 7oin

howsoe%er on the said +ro+erty and the said +ro+erty is not s$7e't to

$y any Cort or Athority and the 4endor here$y de'(ares that he sha((
hereafter not 'reate any third
+arty ri&hts of whatsoe%er natre in res+e't of the

or written with re&ard to the sa(e of the said +ro+erty. and
)e, There are no +ro'eedin&s institted $y or a&ainst the 4endor in res+e't
of the said +ro+erty and +endin& in any Cort or $efore any athority
and the said +ro+erty is not nder any lispendens1

ser%ed +on or re'ei%ed $y the 4endor or his a&ent or any +erson on his
$eha(f and that a(( +re%ios noti'es and reAisitions ha%e $een d(y

If any s'h noti'es other than a noti'e for a'Aisition# reAisition or set9
$a'6 is hereafter issed to# ser%ed +on or re'ei%ed $y the 4endor or any
+erson on his $eha(f in res+e't of the said +ro+erty $efore the 'om+(etion
of the sa(e herein# the 4endor sha(( forthwith &i%e noti'e thereof to the
-r'hasers and sha(( 'om+(y with the same at his own 'osts and e*+enses1
If $efore the 'om+(etion of the sa(e herein any noti'e for reAisition or set9
$a'6 is issed to# re'ei%ed $y or ser%ed +on the 4endor# it sha(( $e at the
o+tion of the -r'hasers to determine this A&reement and +on s'h
determination of this A&reement the 4endor sha(( forthwith retrn to the
-r'hasers the earnest money $t withot interest and ea'h +arty sha((
$ear and +ay a(( 'osts of and in'identa( to the sa(e in'rred $y them +to
the date of s'h determination1 If the 4endor sha(( ha%e wi((f((y 'on'ea(ed
any noti'e issed# ser%ed or re'ei%ed as aforesaid the -r'hasers wi(( $e
entit(ed to a(( 'osts 'har&es and e*+enses of and in'identa( to the
A&reement for sa(e in'rred $y them +to the date of s'h determination1
If any noti'e is issed# +$(ished ser%ed $y Go%ernment or any (o'a( or
+$(i' athority for a'Aisition of the said +ro+erty or any +art thereof )for
any +arty other than the -r'hasers, this A&reement sha(( at the o+tion of
the -r'hasers to $e e*er'ised within ;F days of the 6now(ed&e of s'h
noti'e $e n(( and %oid and the %endor sha(( there+on forthwith retrn to
the -r'hasers the earnest money and a(( other moneys re'ei%ed herender

the +art of the -r'hasers# the 4endor sha(( ha%e the ri&ht to reAire
s+e'ifi' +erforman'e $y the -r'hasers of this A&reement or a(ternati%e(y to
forfeit the earnest money and to reAire the -r'hasers to +ay to the
4endor the 'osts in'rred $y the 4endor from the 'ommen'ement of the
ne&otiations of the sa(e of the said +ro+erty ti(( the date of the 'an'e((ation
$y the 4endor of this A&reement $t no frther or other dama&es sha(( $e
