Partnership Agreement

This agreement establishes a partnership between a game producer and contractor to develop a game over less than one year. The contractor will provide programming services and may assist with marketing. Both parties must respond to work emails within 48 hours. The producer retains ownership over game materials and the contractor's code. Either party can terminate the partnership at any time before completion. Upon termination, the contractor cannot share game materials or concepts or use the producer's designs for other projects. The producer may hire another partner if the contractor terminates. 1.DETAILSOFPARTIES

2.NATUREOFWORK

ProgrammingserviceswillbecarriedoutbythenamedContractorappointed.The
Contractormayalsobeaskedtoassistwithwordofmouthmarketing.

IftheProducerisnotsatisfiedwiththeContractorswork,theProducermayrequestforthework
tobealteredorredoneuntiltheworkisdeemedacceptable.

TheProducerwillbehandlingthemajorityoftheproduction,design,sound,graphics,quality
assurance,andmarketingtasks.TheContractoriswelcomeandencouragedtoshareopinions
onthegameandofferconstructivecriticism.

3.TIMETABLE

Developmentofthegamewillbeginonoraround<date>.Thegamedoesnotcurrently
haveafinalreleasedate,butthedevelopmentperiodisexpectedtobelessthanoneyear.The
numberofhoursanddaysworkedeachweekarenegotiableandaredependentuponthe
ContractorandProducersneedsandavailability.

TheProducerandContractorwillrespondtoallworkrelatedemailswithin48hoursunlessan
exceptionismade,suchasintheeventofapersonalhealthissueorotheremergency.

IftheProducerdoesnotfeelthattheContractoriscompletingtasksinatimelymanner,the
Contractorsservicesmaybeterminated.

4.NONCOMPETEandCOPYRIGHT

GamematerialsmaynotbesharedwiththepublicwithoutpriorconsentoftheProducer.This
clausestillappliesintheeventofthegamescancellationand/orterminationofthepartnership
betweentheContractorandProducer.Likewise,theProduceragreestonotshareordistribute
theContractorscode.

Iftheaforementionedtermsareviolated,bothpartiesagreetoprovidepersonallegalfeesinthe
eventofalawsuit.Thewinningpartywillcoverthecostoflawyerfeesforbothparties.

ThegamewillbelistedundertheCattailGamesbrandinallplacesthegameisdistributed,and
allindividualswhodirectlycontributedtothegamesdevelopmentwillbecreditedappropriately
intheCreditssection.

5.TERMINATION

EithertheProducerortheContractormayterminatepartnershipatanytimeforany
reasonbeforethegamescompletion.

IftheProducerinstigatesthetermination,theContractoragreesnottoshareordiscussthe
gamesmaterialswithuninvolvedparties.Additionally,theContractorwillnotusetheProducers
designmaterialsorconceptsonanotherproject(see4.NONCOMPETEforlegal
repercussions).

IftheContractorinstigatesthetermination,theProducerwillnotusethecodeprovidedbythe
Contactorbutmayhireanotherpartnertoprovidenewcodeforthegame.

6.FEESANDPAYMENT

TheProducerwillshareapercentageofthegamesrevenuewiththeContractorfora
negotiatedamountoftime.Thepercentageofrevenuesharedandtheamountoftimethe
revenuewillbesharedforwillbenegotiatedbetweentheProducerandContractorbeforethe
contractissigned.Thecontractwillbeupdatedwiththefinalpercentagetoreflecttheamount
agreedupon.

Eachpartnerwillcovertheirownpersonalequipmentexpenses,includingsoftwareand
hardware.TheProducerwillprovidefundsfortheAppStorefee($100annually)andtheGoogle
Playfee(aonetimefeeof$25).
