Dear Mr, Tapanes:
(On January 28, 2018, Grand Station Partners, in accordance with Florida
Statutes §287.05712 and Resolution #14-02 of the City of Miami Department of
Off-Street Parking ("DOSP”), submitted to the Miami Parking Authority that certain
Unsolicited Proposal for Redevelopment of Parcel B Located at the Intersection of North
Miami Avenue and Northwest Third Street, Miami, Florida, 33128 (the “Unsolicited
Proposal"), Since that time, Grand Station Partners has had the opportunity to further
assess and refine the overall concept, development goals, and financial structure of
the proposed project. Accordingly, this submission is intended to supplement and
supersede the Unsolicited Proposal, and is being made pursuant to Resolution #14-02.
‘This proposal is for a mixed-use project containing a new expansion of the
existing parking facility known as the Courthouse Center Garage (also known as G1)
and a high-rise residential apartment complex located at the intersection of North Miami
‘Avenue and NW Third Street. This parcel (identified by folio no. 01-4137-058-0010)
is currently owned by the DOSP. The easter half ofthe parcel, which is presently
undeveloped and underutilized. is ideally situated to accommodate the planned
expansion and new high-rise residential apartment tower, and its close proximity to
‘Miami's public transportation hub, government buildings, and downtown corridor make it
a prime target for the proposed public-private partnership outined herein.
‘This Resolution provides, in elevant part: “The private ent or consortium of private ents submiting
the original unsoistd proposal may eubmit a more dead proposal in response to DOSP's notice. The
timeframe fr alloning thor proposals shal be no fewer han 14 days but no more than 120 days after
the intial date of pubeation”Grand Station Partners intends to cultvate a strong collaborative relationship with
the DOSP to accomplish the goals and objectives of this proposed mix-use project. Set
forth below ate the salient deal terms and proposed framework of the project
+ Grand Station Partners will design, construct, develop, and deliver to the DOSP
‘an expansion of the existing parking garage known as the Courthouse Center
Garage (also known as G1) (the “Parking Facility”). The Parking Facility will
be comprised of approximately 350 parking spaces. For clatity, upon delivery,
DOS? will retain all ownership and aperatinnal rights to the Parking Fait, free
and clear of any and all liens and/or encumbrances whatsoever. The Parking |
Facility is identfied in the drawings attached hereto, which are subject to further
‘modification and clarification during the design, development, and permitting
process. The DOSP will have no funding obligations whatsoever with respect to
the design, construction, or development of the Parking Facil
 
 
+ Imexchange, and as full and complete consideration for delivery of the Parking
Faclity, the DOSP shall grant to Grand Station Partners a 99-year ground lease
to allow for the construction, operation, and control ofa high-rise residential rental
‘tower above the Parking Facilty (the “Residential Tower"). The Parking Facility
will nt be subject to the ground lease, The ground lease wil contain the right for
cone automatic renewal
+ DOSP shall have sole management and maintenance responsibilities for the
Parking Facility. DOSP, in its sole good faith discretion, may offer residents of
the Residential Tower a parking fee arrangement for parking located within the
expanded Parking Facility or any other parking garage in the general area that is
‘owned or operated by the DOSP.
+ If, during the term of the ground lease, the Residential Tower is sold and the
{ground lease rights are assigned by Grand Station Partners, the DOSP will
receive a disposition fee of one and a half percent (1.5%) of the gross revenue
after deducting commissions, if any, and standard closing costs for the sale of lke
or similar projects in Miami-Dade County, Florida.
It this proposal is approved by the DOSP, the terms and conditions of this deal will
be appropriately documented by suitable legal counsel for both patties.
The proposed project fully complies withthe letter and spint of the “qualifying
project” definition under Florida law. Consistent with the benefits derived from the
existing parking garage known as the Courthouse Center Garage (also known as
G1), the planned Parking Facilty will be used by the public at large and will ofer an
alternative to the sparse availability of street parking in the area. The continual revenue
stream derived from the Parking Facility, and cost savings realized by the DOSP from
the design, construction and development costs being absorbed by Grand Station
Partners, will far offset any standard arrangement typically paid under any ground lease
for lke oF similar projects. Additionally, the Residential Tower component of the projectwill create a captured market for the Parking Faecity, or any other parking garage
‘owned by the DOSP in the general vicinity, because the residents wil likely enter into
parking arrangements, if offered, in a DOSP owned or operated parking garage.
Pursuant to Resolution #14-02, we welcome the opportunty to further discuss
the details regarding this proposal. The principals of Grand Station Partners have the
Insight and experience to ensure the success of this project and anticipate a successful
