MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:


This Memorandum of Agreement, entered into this 20 th day of October 2017 in Iloilo
City, Philippines by and between; Days Hotel a domestic corporation duly organized and
existing under the laws of the Republic of the Philippines, with address at the Bonifacio
Drive-Gen. Luna Streets, Iloilo City hereinafter referred to as the FIRST PARTY, duly
represented by its Officer In Charge Mr. Jorge Immanuel Wong, of legal age, Filipino,
and a resident of Boracay, Malay, Aklan.

UNIVERSITY OF SAN AGUSTIN, INC., a non-stock, non-profit educational corporation


duly organized and existing under the laws of the Republic of the Philippines, with office
at General Luna Street, Iloilo City, hereinafter referred to as the SECOND PARTY, duly
represented by the President of the University of San Agustin, Rev. Fr. Frederick C.
Comendador, OSA, of legal age, single, Filipino, and a resident of Iloilo City;

WITNESSETH
WHEREAS, the Second Party has developed a curriculum leading to the degree of Bachelor
of Science in Accounting Technology which includes a practicum program of 250 hours designed to
respond to the manpower requirements of the industry;

WHEREAS, the First Party has been chosen by the Second Party to serve as a practicum
venue where the students can put into practice the theories and principles they have learned in
the academe;

WHEREAS, the First Party shall have no obligation to provide the practicum students the
honorarium/salary given to its regular employees;

NOW THEREFORE, for and in consideration of the foregoing premises, the parties agree as
follows:

A.) RESPONSIBILITIES OF THE PARTIES:

a. The FIRST PARTY shall:

1. provide practical and effective training to qualify the students for manpower needs of
the industry.
2. work out a program and schedule of activities for the students participating in the
practicum program with the Training Coordinator of the First Party.
3. expose the practicum student into the basic work experiences in the various areas of
the establishment’s operations.
4. evaluate the work performance of the students.
5. issue certificates of completion to students who finished the practicum training.
6. conduct an orientation about the SOP’s of the establishment.
7. introduce the student to the staff of a department where the student will be assigned.
8. confer with the Training Coordinator regarding students’ performance.
b. The SECOND PARTY shall:

1. design a standardized training program specifying the knowledge and skills that the
practicum students shall have ideally acquired in the course of the practicum.
2. conduct an orientation seminar prior to the practicum proper.
3. provide a mechanism for the evaluation of the program as well as its participants.
4. monitor the activities and performance of the practicum students through the Training
Coordinator.

B.) RESPONSIBILITIES OF PRACTICUM STUDENTS:

1.) To observe the rules and regulations of the FIRST PARTY.


2.) To apply classroom theories and principles to actual situations.
3.) To comply with all the requirements of the practicum program.

C.) AMENDMENTS CLAUSE:

No amendment, modification or alteration of this agreement shall be valid and


binding unless expressed in writing and executed with the same formalities as this
Agreement.

D.) EFFECTIVITY:

This agreement shall be valid and effective upon the date of this agreement and
shall continue to be valid hereafter until written notice is given by either party thirty (30)
days prior to the date of intended termination.

IN WITHESS WHEREOF, the parties have hereunto set their hands at the place and date first
mentioned above.
