1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use VocalLab AI (the "Service"). By using the Service you represent that you meet these requirements and that all information you provide is accurate.

2. Acceptance of These Terms

These Terms & Conditions ("Terms") are a binding agreement between you and VocalLab AI, an Israeli sole proprietorship (Osek Patur) operating the Service at https://vocallab.ai ("VocalLab," "we," "us"). By creating an account or using the Service you agree to these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Service.

3. Accounts & Security

You are responsible for your account and for all activity that occurs under it. You agree to:

• Keep your login credentials confidential and not share your account with others.
• Provide accurate, current information and keep it up to date.
• Be responsible for all use of the Service and all content generated under your account.
• Notify us promptly at support@vocallab.ai of any unauthorized use or security breach.

We may refuse registration, reclaim usernames, or close accounts that we reasonably believe are fraudulent, abusive, or in violation of these Terms.

4. Subscriptions, Billing & Auto-Renewal

Paid plans are billed on a recurring basis through our payment processor, Lemon Squeezy, which acts as our authorized merchant of record. By purchasing a subscription you authorize recurring automatic charges until you cancel.

• You may cancel at any time; access continues until the end of the current billing cycle.
• Prices are exclusive of any applicable taxes (e.g., VAT or sales tax), which may be added at checkout.
• We may change plan prices or features on a going-forward basis with reasonable advance notice.

Refunds are governed solely by our Refund Policy, which is incorporated into these Terms and controls over any general statement about refunds.

5. Lifetime Deals & AppSumo Purchases

"Lifetime" access refers to the operational lifetime of the VocalLab AI service, not the purchaser's literal lifetime. Lifetime and promotional deals (including those purchased via AppSumo) are subject to the following:

• One license code activates one account. Using one code across multiple accounts, or reselling, transferring, or sharing codes, is prohibited.
• Lifetime access covers the feature set associated with your tier as it exists from time to time. New features, models, or add-ons may be offered separately as paid upgrades and are not automatically included.
• Monthly generation allowances tied to a lifetime tier do not roll over and are subject to the Acceptable Use and usage terms below.
• Refunds for AppSumo purchases are handled exclusively by AppSumo under AppSumo's refund policy (including its money-back guarantee period) and are processed through AppSumo, not by VocalLab. After AppSumo's refund window closes, the purchase is final.
• We may adjust or retire plan tiers with at least 60 days' notice, and may suspend or terminate a lifetime account that violates these Terms without any refund obligation.

6. Credits, Points & Usage Allowances

Generation is measured in points (1 point = 1 second of audio). Plan allowances reset each billing period and do not roll over. Credit top-up packs are one-time purchases, do not expire, and are non-refundable.

Abnormal, automated, or excessive usage, or usage that places a disproportionate load on the Service or our upstream providers, may trigger throttling, rate-limiting, temporary suspension, or account review. Commercial resale of generated audio at scale, or use of the Service to build or train a competing product, is prohibited.

7. Acceptable Use

You agree not to use the Service, and not to permit anyone using your account to use it, to do any of the following. This list is the basis on which we determine violations, and is not exhaustive:

• Clone, imitate, or generate the voice or likeness of any real person (including public figures) without that person's documented, verifiable consent, or in any way that infringes rights of publicity or privacy.
• Create deepfakes, impersonate any person or entity, or generate audio intended to deceive others about its authenticity or source.
• Generate content for fraud, scams, phishing, social engineering, or financial deception of any kind.
• Use the Service for unsolicited automated calling, robocalls, telemarketing, or any communication that violates applicable telecommunications or anti-spam laws (including the U.S. TCPA, CAN-SPAM, and equivalents).
• Generate, distribute, or facilitate non-consensual intimate or sexual content, content sexualizing minors, or any content exploiting or endangering minors.
• Create election disinformation, hate speech, harassment, threats, or content that incites violence or discrimination.
• Infringe any copyright, trademark, trade secret, or other intellectual-property or proprietary right.
• Reverse-engineer, scrape, decompile, circumvent rate limits or security, or access the Service through unauthorized automated means.
• Resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan, or use it to develop a competing service.
• Violate any applicable law, regulation, or third-party right.

We may determine, in our sole discretion, whether your conduct violates these Terms. We may investigate suspected violations, remove or disable content, preserve records, and cooperate with law enforcement. Violations may result in immediate suspension or termination without refund.

8. Voice Cloning — Consent & Your Warranties

Voice cloning carries heightened legal responsibility. By uploading any voice sample or creating any voice clone, you represent and warrant that:

• You own the voice, or you have obtained the explicit, documented, and verifiable consent of the person whose voice is used, sufficient under all applicable laws (including biometric-privacy laws such as the Illinois BIPA and similar regimes).
• Your use does not and will not violate any person's rights of publicity, privacy, or data-protection rights, or any intellectual-property right.
• You will retain evidence of consent and provide it to us promptly on request.

You are solely responsible for every voice clone you create and for all audio you generate from it, and for the consequences of distributing or using that audio. We may remove any voice clone or generated content and suspend your account if we reasonably believe consent is lacking or the law is being broken. We may report suspected illegal use to the appropriate authorities.

9. Your Content, Ownership & Licenses

As between you and us, you retain ownership of the text you input and, subject to your compliance with these Terms and payment of applicable fees, of the audio you generate. You grant us a limited, worldwide, royalty-free license to host, process, transmit, and store your inputs, voice samples, and generated audio solely to operate, secure, and provide the Service (including transmission to our voice-generation provider).

We do not use your private input text, uploaded voice samples, or generated audio to train our own or third parties' AI models. If you submit feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

10. AI Output; No Reliance

The Service uses third-party AI models and may produce output that is inaccurate, unexpected, or unsuitable for a given purpose. Output is provided for your review. You are responsible for evaluating output before relying on, publishing, or distributing it, and for ensuring its use is lawful and appropriate. We do not warrant that output will be error-free, original, or fit for any particular purpose.

11. Intellectual Property

The Service, including all software, branding, designs, and underlying technology, is owned by VocalLab or its licensors and is protected by law. Except for the limited rights expressly granted to you, no rights are transferred. You may not reproduce, redistribute, or create derivative works from the Service without our written authorization.

12. Suspension & Termination

We may suspend, restrict, deactivate, or terminate your account and access to the Service at any time, with or without notice, and with or without cause, at our sole discretion — including where we reasonably suspect fraud, abuse, a violation of these Terms or the Acceptable Use section, a payment dispute or chargeback, harm to other users or to the Service, or unlawful activity.

Upon termination: (a) your license to use the Service ends immediately; (b) unused credits, points, or generation allowances are forfeited without refund; (c) for lifetime or promotional purchases, no refund is owed where termination results from a violation; and (d) we may delete your account and associated data after a reasonable period, subject to our Privacy Policy. We may also refuse service to anyone and may prohibit the creation of replacement accounts to evade a suspension ("ban evasion").

13. Indemnification

You agree to indemnify, defend, and hold harmless VocalLab and its operator, affiliates, and service providers from and against any claims, demands, damages, liabilities, losses, and costs (including reasonable legal fees) arising out of or related to: your content or generated audio; your voice clones or lack of consent; your use of the Service; your violation of these Terms; or your infringement or violation of any law or third-party right.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uptime, or compatibility. We do not warrant that the Service will be uninterrupted, secure, or error-free. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

15. Limitation of Liability

To the maximum extent permitted by law, VocalLab and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to the Service, even if advised of the possibility. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, or (b) US $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Third-Party Services

The Service relies on third-party providers, including Inworld AI (voice generation), Lemon Squeezy (payments), AppSumo (promotional sales), and our hosting and storage providers. Your use may be subject to those providers' terms, and we are not responsible for their acts, omissions, availability, or content. Links to third-party sites are provided for convenience and are not endorsements.

17. Chargebacks

If you have a billing concern, contact us first at support@vocallab.ai. Initiating a chargeback or payment dispute without first seeking resolution may result in immediate suspension or termination of your account and forfeiture of access, in addition to any other remedies available to us.

18. Export & Sanctions Compliance

You represent that you are not located in, and will not use the Service on behalf of anyone in, a country or region subject to comprehensive sanctions, and that you are not on any restricted-party or sanctions list. You agree to comply with all applicable export-control and sanctions laws.

19. Changes to These Terms

We may update these Terms from time to time. For material changes we will provide at least 30 days' advance notice by email or a prominent notice in the Service. Your continued use after changes take effect constitutes acceptance. If you do not agree, stop using the Service.

20. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules, and the competent courts of Tel Aviv-Yafo will have exclusive jurisdiction over any dispute. Where you are a consumer, you may also be entitled to the mandatory protections of the consumer-protection laws of your country of residence, and nothing here deprives you of those rights.

21. Dispute Resolution

Before initiating any formal legal action, you agree to contact us at support@vocallab.ai and allow a 30-day period for us to attempt to resolve the matter in good faith.

22. General

• Severability: if any provision is found unenforceable, the remaining provisions remain in effect.
• Entire agreement: these Terms, the Privacy Policy, and the Refund Policy are the entire agreement between you and us regarding the Service.
• Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
• Waiver: our failure to enforce a provision is not a waiver of it.
• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
• Language: these Terms are written in English, which is the authoritative and governing version. Any translation is provided for convenience only; in case of conflict, the English version prevails.
