What does this policy cover?

This policy explains the terms which apply to users of any websites operated by, or on behalf of, Arm Limited (together “Arm Website”). Arm Limited is a company registered in England and Wales with company number 2557590 (“we/us/our”), registered office address 110 Fulbourn Road, Cambridge, CB1 9NJ, United Kingdom. Arm Limited is a private limited company acting on behalf of itself and its affiliates.

These terms and conditions of use incorporate the following additional Arm policies:

By using an Arm Website, you consent and agree to be bound by and abide by these Terms and Conditions of Use (“Terms”).


Your Account

You may register for an Arm Website account (an "Account") in accordance with the following terms:

  • You must not provide any false information when creating an Account or create an Account for anyone else without their prior consent.
  • You must provide a valid email address.
  • You must be at least 18 years old to register for an Account.
  • You must keep your password confidential and not disclose it to anyone else, nor permit anyone else to use your Account.
  • You must not assign or transfer your Account to another person or entity.
  • Any activity completed through your Account will be deemed to have been completed by you.
  • You are responsible for the security of your Account. Arm is not liable for any loss or damage arising from your failure to keep your Account secure. You will notify Arm immediately if your Account information is lost, stolen, or otherwise compromised.
  • All of the information we collect from you is subject to our privacy policy. If you breach these Terms, we may contact you directly using the information you have provided on registration of your Account.
  • Certain Arm Websites may allow you to adjust your privacy settings in respect of information that is visible to other users of the websites. These privacy settings are not automatically applied to other Arm Websites, and you are responsible for ensuring that your privacy settings are updated on each Arm Website.

Your use of an Arm Website

You agree to use the Arm Website only for lawful purposes and in accordance with these Terms and any applicable licenses provided with Arm content. For example, you will not use an Arm Website in a way or provide content to an Arm Website that:

  1. infringes, misappropriates or violates any third party intellectual property rights;
  2. attempts to gain unauthorised access to the Arm Website, the server on which the Arm Website is stored, or any server, computer or database connected to the Arm Website;
  3. attempts to or does modify, adapt, or hack the service or modify another website so as to falsely imply that it is associated with the Arm Website, Arm, or any other Arm product or service;
  4. generates or facilitates sending unsolicited email;
  5. is defamatory, harmful to minors, or pornographic;
  6. contains hate-related or violent content;
  7. contains or distributes any viruses or programming routines intended to damage, surreptitiously intercept or expropriate any system, data or information; or
  8. violates or encourages conduct that would violate any criminal laws, any other applicable laws, or any third-party rights.

Violence towards or abuse of Arm staff will never be tolerated. This includes behaviour or language, spoken or written, that may cause staff to feel afraid, threatened or abused. Arm will not tolerate this behaviour in any type of interaction with Arm staff, including Live Chat, Arm Community, or any other area of an Arm Website where you can submit content or interact with Arm staff. Our staff will try to assist you with any issues you may have, but if you behave in a rude, offensive, abusive or intimidating manner then our staff reserve the right to terminate the interaction with you. We reserve the right to temporarily or permanently suspend, disable, or limit your access to an Arm Website and/or remove any content. We may report any illegal act to the relevant law enforcement authorities.


Our Content

All intellectual property rights (including copyright) in the look and feel of any Arm Website are owned by Arm Limited (or its affiliates). All intellectual property rights (including copyright) in the content of any Arm Website are owned by Arm Limited (or its affiliates) or its licensors. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of an Arm Website without our express written permission.

When using an Arm Website, you may be able to access or download certain content, such as source code, binary code, and documentation, provided by: (a) Arm ("Our Content"); or (b) other Account holders or third party providers ("Third Party Content").

Any such Arm Content or Third Party Content is governed by the license that accompanies it. By using or downloading any Arm Content or Third Party Content, you agree to the applicable license. It is your responsibility to ensure you have proper permission for your use of the content. If you are unclear as to what license applies to any content, it is recommended that you ask the author of the content. Except with respect to the Keil pages of the Arm Website (which includes www.keil.com), we grant you permission to download the information on to a computer and to make one hard copy of the information for reference purposes only.

With respect to content, including but not limited to still images, video footage, audio product or visual representations, contained within the Keil pages of the Arm Website and www.keil.com, we only grant you permission to download the material for non-commercial personal use. We do not grant you a right for republication, retransmission, reproduction or other use of such material.

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way or remove the copyright notice from any such copies, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Material on the Arm Website may be out of date or include omissions, inaccuracies or other errors at any given time, and we are under no obligation to update such material. Commentary and other materials posted on the Arm Website are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to the Arm Website, or by anyone who may be informed of any of its contents.


Confidentiality

During use of an Account or whilst accessing the Arm Website, you may be able to access Arm Content consisting of non-public, proprietary business, technical, product, legal and financial information, including information clearly identified as confidential (this includes, without limitation, the use of padlock icons, banner notices, watermarks and/or appropriate confidentiality marking) (“Arm Confidential Content”). In addition to these Terms and any other terms accompanying the Arm Confidential Content, the Arm Confidential Content is made available to you under and in accordance with the terms of your applicable license agreement with Arm relating to the subject matter of the Arm Confidential Content (“Applicable Agreement”). You represent and warrant that you will only grant access to Arm Confidential Content as is authorised under the terms of the Applicable Agreement. It is your responsibility to ensure that your access to and use of such Arm Confidential Content is permitted under the terms of the Applicable Agreement. If you are unclear as to what terms apply to the Arm Confidential Content, then you must check with your organization's legal representatives before you access and use any Arm Confidential Content. You represent and warrant that you will keep Arm Confidential Content confidential and use it only in accordance with the terms of the Applicable Agreement.


Your Content and Feedback

You may upload or otherwise provide certain content such as source code, binary code, documentation, or forum posts to an Arm Website via your Account ("Your Content"). You are responsible for keeping your own backups of any material uploaded or otherwise provided to an Arm Website. You represent and warrant that you have the right to provide Your Content to Arm, the Arm Website and its users. You retain ownership of Your Content. It's your responsibility to make clear the license under which you are providing Your Content.

Except with respect to the Arm Community section of the Arm Website, by providing Your Content to an Arm Website, you hereby grant to Arm a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, adapt, modify, and publish Your Content to the extent necessary to operate the Arm Website.

If you close your Account, Your Content which has been made public will remain accessible on the Arm Website.

We would like you to provide any suggestions, comments, feedback, ideas, input or know-how you may have on improving any Arm Website and/or its content ("Feedback"). You represent and warrant that any Feedback is not confidential and does not contain any proprietary information which you do not have the right to provide to Arm. You hereby grant to Arm a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, distribute, adapt, modify, and publish your Feedback.


Trademarks

If you use any Arm trademarks then you must do so in accordance with the guidelines set out in the Arm Trademarks section of this website. You may not use any Arm logo without express prior permission from Arm. If you wish to use an Arm logo, please submit the permission request form.


Copyright

Please contact Arm at the address below if:

  • you are a rights holder (or an authorized representative) and you wish to report to Arm any alleged infringement of your copyright or trademarks; or
  • you wish to report any other unacceptable or inappropriate content, including without limitation any threatening or defamatory behaviour, any indecent, obscene, hateful or offensive material.

If you find something on the Arm Community website falling within the above categories, you may also notify Arm by selecting “report as abusive” or contacting us at community@arm.com.

By notifying Arm of an alleged infringement you represent, under penalty of perjury, that the information in the notification is accurate, and that giving false, misleading or inaccurate information may result in civil or criminal liability.

Upon receipt, Arm will review your notification and decide whether or not further action will be required. Such action may include, without limitation, editing or removing the relevant material. Please contact us if you wish to report any abuse of Arm intellectual property rights by a third party.


Our liability and warranties

EXCEPT WHERE EXPRESSLY PROVIDED OTHERWISE IN AN AGREEMENT BETWEEN YOU AND US, ARM PROVIDES NO WARRANTIES EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, NON INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE UNDER THESE TERMS AND IN RESPECT OF ANY ARM WEBSITE, ANY CONTENT PROVIDED ON ANY ARM WEBSITE (INCLUDING THIRD PARTY CONTENT), AND/OR ANY SERVICES PROVIDED ON ANY ARM WEBSITE. YOU RECOGNIZE THAT THE CURRENT STATE OF TECHNOLOGY DOES NOT ALLOW FOR ERROR-FREE ACCESS TO ANY ARM WEBSITES AND INTERRUPTIONS, CRASHES, AND DOWNTIME ARE BEYOND ARM’S CONTROL AND MAY OCCUR FROM TIME TO TIME. Your liability to Arm

You agree to hold harmless and indemnify Arm from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or due to: (a) direct or indirect use of Your Content, including any claim of alleged infringement or misappropriation of third party rights; (b) your breach of any of the representations and warranties herein; or (c) your violation of any applicable law or regulation.


Information about you and your visits to the Arm Website

We process information about you gained from your use of the Arm Website in accordance with our privacy policy and our cookie policy.


Transactions concluded through the Arm Website

Contracts for the supply of goods, services or information formed through the Arm Website or as a result of visits made by you are governed by our terms and conditions notified to you during each individual transaction.


Links from the Arm Website

Where the Arm Website contains links to other sites and resources provided by third parties, these links are provided for your information only. We are providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by us of the third party sites and resources. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. Additional terms and conditions for specific areas of the Arm Website or specific services

Arm Community

The Arm Community is an online community that can help you to design and develop on Arm technology. The Arm Community allows you to meet and share knowledge with like-minded developers who have similar interests and expertise, and/or to find the right Arm partner for your project.

By registering for an Arm Community account, and by using the Arm Community website, you agree to abide by the following community specific terms (“Arm Community Terms”) in addition to these Terms. If we believe, in our sole discretion, that any material you upload onto the community website is in breach of the Arm Community Terms We may remove that material and may either permanently or temporarily suspend your access to the website.

By uploading material to the Arm Community website you grant to us, our affiliates, and other users of the Arm Community website, a worldwide, non-exclusive, perpetual, irrevocable, royalty free, sub-licensable license under your intellectual property to use, reproduce, modify, adapt, publish, translate, publicly perform, publicly display and distribute the material (in whole or part) and to incorporate such material into other works in any format or medium for any purpose, including but not limited to incorporating such material into products or services.

You may only submit content you have created or that is owned by you. You may not use the Arm Community website for advertising or marketing purposes and may not submit anything you have been paid to submit, nor otherwise benefit from any submission.

If we decide that a submission is not acceptable or appropriate we may edit or remove the post. Examples of such posts or submissions include (but are not limited to):

  • Rants against Arm, its affiliates or staff, other organisations or individuals, or any other users or third parties;
  • Threatening behaviour including legal threats, defamatory behaviour, bullying and other abusive posts;
  • Spam messaging, including advertising and marketing posts, or and any other submissions that will or may conflict with the interests of the Arm Community or Arm;
  • Posts that promote, discuss, or arrange illegal activities and events;
  • Posts that include language, information, or images which are indecent, obscene, hateful or offensive;
  • Posts that do or could incite racial or religious hatred, or are bigoted;
  • Posts containing personal or confidential information;
  • Posts in breach of copyright or other intellectual property rights;
  • Posts that contain harmful material and viruses.

You acknowledge that we may, in our sole discretion, moderate any content you post, and we retain the right, in our sole discretion, to pre-screen, refuse, or remove any content or materials from the Arm Community website.

We disclaim all liability and responsibility in connection with material uploaded to the Arm Community website by you or any other user. We cannot guarantee that the Arm Community website will be free from viruses or other harmful material, and it is your responsibility to update your computer’s virus protection software regularly.


Arm Developer Tools Store

For all orders placed through the Arm Developer Tools Store, you will be entering into a contract for supply with our online reseller, Paddle.com. Paddle.com is the merchant of record for all orders placed through the Arm Developer Tools Store and is responsible for handling all customer service enquiries, including those relating to refunds and returns and other pre- and after-sales support relating to the transaction. Paddle’s Buyer Terms of Service are available at https://www.paddle.com/legal/checkout-buyer-terms (or such other URL that Paddle provides from time to time).

With respect to any software licenses purchased by you via the Arm Developer Tools Store, your license to receive and use the software will be between you and Arm or its affiliates. Such license terms, including details of any product-related support and maintenance, will be provided with or included in the relevant software.


Changes to the Arm Website

Access to the Arm Website is permitted on a temporary basis, and we reserve the right to withdraw or amend the information we provide on the Arm Website at any time without notice. We will not be liable if for any reason the Arm Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of an Arm Website, or an entire Arm Website, including, to users who have registered for an Account with us.


Changes to these Terms

We may revise these Terms at any time by amending this page, and where appropriate, by notification on the Arm Website. You should check this page from time to time to review any changes we have made. Some of the provisions contained in these Terms may also be superseded by provisions or notices published elsewhere on the Arm Website.


Export

Arm commitment to compliance with export controls and sanctions It is Arm policy to operate in strict compliance with all applicable export and trade controls, economic sanctions laws and regulations, and other requirements for global technology transfers, as explained in the “Commitment to Compliance with Export Controls and Sanctions” statement from CEO Rene Haas.

As an Arm customer, partner, employee, contractor, or other individual or entity doing business with Arm, receiving or using Arm products and services, or using the Arm Website, you must adhere to the applicable export and customs laws and regulations. Failure to comply is a serious offense and could result in civil or criminal charges and penalties, as well as significant reputational harm and loss of export privileges.

General

We do not guarantee that any Arm Website will be free from viruses or other harmful material so please update your computer’s virus protection software regularly.

Each provision of these Terms shall be enforceable independently of the others. I If a provision of these Terms is, or becomes, illegal, invalid or deemed unenforceable by any court or administrative body of competent jurisdiction, it shall not affect the legality, validity or enforceability of any other provision of these Terms. If any provision is held to be illegal, invalid or unenforceable, but would be legal, valid or enforceable if some part of the provision were deleted, the provision in question will apply with such modification as may be necessary to make it legal, valid or enforceable.

Except as expressly provided otherwise in a signed agreement between you and Arm, these Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding the subject matter.

Failure or delay to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.

These Terms are governed by, and shall be construed in accordance with, the laws of England and Wales.

In the event of any dispute arising out of or in connection with these Terms, the parties agree to submit to either the jurisdiction of the English courts or the jurisdiction of your country of residence’s Courts.
