Agreement for the Appointment of an Agent.
On this day on 04h May 2010, M/s Samruddhi International with
its registered office at 139-140 New Sonal Link Ind. Estate, Bldg-2,
Link Road, Malad west, Mumbai-400064, India enters into an
agreement with M/s Megha Garments with its registered office at
D D Bazar, shop no.14 basement, gopala prabhu road, ernakulam-
35 for the appointment as an agent for the area of Kerela.
Territories:
M/S Samruddhi International agrees to grant permission to M/s
Megha Garments for marketing and distributing its product
anywhere in Kerela.
Responsibilities:
A) He shall pass on all marketing policies of the company to the
Retailers as and when applicable.
B) All dispatches would be made , strictly against payment
terms decided by Samruddhi International.
C) He shall be responsible for the payments and ‘C’ Forms of the
retailers to whom goods have been supplied.
Confidentiality
He should agree to use all reasonable efforts to take such action as
may be appropriate to prevent the unauthorized use and disclosure
of, and to keep confidential all such information including:
a) Ensuring such confidential information is disclosed only to
responsible employees who have first been properly
instructed to maintain such information strictly confidential.
b) Not disclosing to any 3rd party the terms and conditions of
this agreement.
c) Nor disclosing methods of sale of the product including
marketing plans.
d) Safeguarding all documents against theft, damage or access
by unauthorized persons.
Compliance with the Law of territory:
The Agent agree to take all necessary steps to ensure that it does
not engage or participate, directly or indirectly, in any transaction
whatsoever with respect to the products if such transaction is
prohibited by the law and regulation of the territory.
Market Development:
Samruddhi International has appointed M/s Megha Garments and
it would be responsible for activity related to product promotion
and retailer development. This is being done to ensure that we stay
focused on our promotion strategy, which will form a road map for
our growth.
Tenure:
M/s Megha Garments is appointed as Agent for Samruddhi
International for a period of 5 years starting from this day and
tenure can be extended after the completion of the tenure period.
If M/s Megha Garments is not willing to complete the specified
tenure he will have to inform 3 months in advance. If the term is
not met, then Samruddhi International has authority to take the
best possible action.
Commission and other conditions:
As of the start ,the commission will be 5% of the sale value. If a
sales executive of M/s Samruddhi International will assist any
person from M/s Megha Garments for marketing in kerela the
transportation expenses will be divided equally.
M/s Samruddhi International will send all new samples to M/s
Megha Garments for marketing of which M/s Megha Garments
will give us the order after marketing everywhere in kerela.
Commission will be cleared every six months after M/s Samruddhi
International receives the payments from the retailers.
Dispute Resolution:
All disputes arising from the execution of this agreement shall be
settled through friendly consultations between Rohit Garg and
Samruddhi International.However, incase no settlement can
reached by consultations, the disputes shall be submitted to and be
subject to the jurisdiction of the court of the state of Maharshtra,
Mumbai, India, which shall have exclusive jurisdiction in the event
of any dispute under this agreement.
