Sale of Goods agreement
Seller and Purchaser
This is a contract for sale of goods which is entered into as of 5th November, 2019 by and
between XYZ Company (the Seller) and ABC Company (the buyer). This contract is applicable
to this sale transaction only.
Following are the terms and conditions of this agreement.
Sale of Toys
In line with the terms and conditions of this contract, the Seller will transfer the rights
related to toys to the buyer and buyer shall pay for and acknowledge the receipt of toys listed at
prices which are acceptable to both the parties. These toys will comprise of small electronic toys
which will be run with the cellular batteries. Most of these toys will have light and sound
features included. The seller will also provide one set of cellular batteries with each toy. There
will be total of 100 toys to be traded under this contract which will be accompanied by 100
sealed cellular batteries. All toys must be packed in their respective framed boxes so that there is
no chance of any damage to any piece during transportation.

Against the sale of goods, on 12th November, 2019, the buyer shall pay to seller an
amount of $ 1500 which is to be paid in cash. No other mode of payment will be acceptable for
the seller.
Payment Terms
The payment shall be made in terms of cash and no other mode of payment will be
acceptable for the seller. The payment shall be made within 3 working days of signing of this
contract. The seller will send an invoice immediately after signing of this contract, one copy will
be kept by the seller and one copy will be kept by purchaser. Any delay in terms of payment may
result in charge of a fee on buyer. This will also affect chances of future transactions taking place
between the parties.
Seller’s Representations
The seller has a complete authority in terms of selling the goods and these goods will be
sold as described. Any designated item missing will be filled in by seller within seven working
days of receipt of goods.
Delivery of goods/Shipping
Seller shall deliver toys as per the terms listed below:
The goods will be delivered within 3 working days after the payment has been made to the seller.
Delivery will be made to the place identified by the buyer. Since this is a long distance
transaction, the seller will have to provide tracking information to the buyer. All the damages or
losses will be borne by the seller until and unless goods have been handed over to the buyer.
Refund and Cancellation

Any concerns of the buyer regarding quantity or quality of goods will be catered within
seven working days from the date at which buyer receives toys. If there is any difference
between the specifications provided by buyer and toys received, he can ask for a refund within
15 working days of goods’ delivery. He will be refunded a maximum of 30% of total cost of
toys. In case of defective toys, seller will be liable to repair them and send back to buyer with ten
working days after he receives them. Since the seller is using a registered carrier, goods damaged
in transit will be compensated by the carrier. Seller will only compensate if there is any
difference between toys delivered and the original specification laid down by buyer or some of
the toys are not functioning at all. There is no warranty of goods which means that no refund will
be provided on the toys delivered according to buyer’s specifications.
Both parties will provide for the unforeseen circumstances which will mean that no party
will be liable to the other party if any delay occurs due to factors which are out of control for
them.
