As part of the Virtudesk screening process in successfully placing Virtual Assistants with clients, a home office
evaluation must be submitted. The purpose of this procedure is to short list candidates who can contribute to the
company’s goal which is “To be indispensable to our clients”. We want to know our VAs and see their working
environment.
How it works:

the VA can proceed with the training. Otherwise the HR specialist has to remove the VA from the class and
conduct the exit interview process and clearance.

NON-COMPETE AGREEMENT
This Non-Compete Agreement is entered into as of December 8, 2018 [Date] by and between VirtuDesk, Inc., a Washington
Corporation (hereafter “VIRTUDESK”) and Bench D. Rabang [Full Name of Contractor] (hereafter “Contractor”) (collectively “the Parties”),
both of whom agree to be bound by this Agreement.
WHEREAS, Virtudesk is engaged in the service of providing virtual support services, including without limitation, selection and screening
of independent virtual assistants for its clients/customers.
WHEREAS, Contractor warrants that he/she is capable of providing the services required by VIRTUDESK and that he/she is offering
such services to VIRTUDESK.
WHEREAS, Contractor agrees to the restrictions described herein as partial consideration for Virtudesk’s promises inherent in the
Independent Contractor Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises made by the parties hereto, Virtudesk and the Contractor
(each individually a “Party” and collectively the “Parties”) covenant and agree as follows:
1. ACKNOWLEDGMENT OF RELATIONSHIP. The Parties agree and acknowledge that this Agreement is granted in consideration of
the promises agreed to in the Independent Contractor Agreement.
2. NON-COMPETITION. For the duration of the Independent Contractor Agreement and any subsequent agreement executed for
the same or similar purpose and for three (3) years after the termination of such agreements, the Contractor:
a. Shall not work as an employee, contractor, officer, director, partner, consultant, agent, owner, or in any other capacity in any
company that is in competition or has the same nature of business as Virtudesk;
b. Shall not work as an employee, contractor, officer, director, partner, consultant, agent, owner, or in any other capacity in any
company that does not have the same nature of business as Virtudesk within the same work hours as the agreed upon
work hours with Virtudesk;
c. Shall not work as a part time or full time employee, contractor, officer, director, partner, consultant, agent, owner, or in any other
capacity for a company that offers the same services as Virtudesk;
d. Shall not work as a part time or full time Virtual Assistant (VA) for any other company or client for any other account of
whatever nature other than Virtudesk;
e. Shall not work as a part time or full time employee, contractor, officer, director, partner, consultant, agent, owner, or in any other
capacity for a BPO or non-BPO company during day work shift;
f. Shall not work as a full time employee, contractor, officer, director, partner, consultant, agent, owner, or in any other capacity
for any other company other than Virtudesk and not enumerated in the preceding items.
This means that the Contractor must not do any of the above for a company as described above in any location within and
outside USA.
3. CONTRACTOR ACKNOWLEDGMENTS. The Contractor acknowledges that: (a) the Contractor has had the opportunity to
review this Agreement; (b) the restrictions imposed are fair, reasonable and necessary to protect the legitimate business interests of
Virtudesk; and (c) such restrictions will not place an undue burden upon the contractor’s livelihood in the event of enforcement of the
restrictions described.
4. DISPUTE RESOLUTION. Contractor and VIRTUDESK agree that any dispute arising under the terms and conditions of this
Agreement or concerning the respective rights or obligations hereunder of the parties shall be settled and determined solely by arbitration
before the American Arbitration Association, or an arbitrator mutually agreed upon by the parties, to be located in Seattle, Washington in
accordance with the AAA rules for commercial disputes. The arbitrator shall have the power to award specific performance or injunctive
relief. However, in any arbitration proceeding arising under this Agreement, the arbitration shall not have the power to change, modify or
alter any express condition, term or provision of this Agreement, and to that extent, the scope of the arbitrator’s authority is limited. The
arbitration award shall be final and binding upon the parties and the judgment thereon may be entered in any court having juris diction
thereof. IN WITNESS WHEREOF, each of the Parties has executed this Contract, both Parties by its duly authorized officer, as of the
day and year set forth below.
5. TERM AND TERMINATION. This Agreement may be terminated immediately by VIRTUDESK for any reason. Contractor may
terminate this agreement upon fourteen (14) days written notice to VIRTUDESK. In the event Contractor becomes bankrupt, insolvent,
or discontinues operations, VIRTUDESK shall be entitled to retain and/or claim all payments due to Contractor as of the effective date of
termination.
6. INJUNCTIVE RELIEF. To prevent irreparable damage to the parties, strict compliance with this Agreement is imperative.
Notwithstanding the section above regarding arbitration, the Parties retain their right to seek injunctive relief in a court of competent
jurisdiction in the event of a breach, or threatened breach, of such Agreement, and both parties waive any requirement that a bond be
posted as a condition to any injunctive relief.
7. INDEMNITY. The Contractor shall defend, indemnify and hold harmless VIRTUDESK, each of its owners, employees, officers, agents,
contractors, licensors, suppliers, consultants, advisors, directors, managers, shareholders, successors, assigns, predecessors, affiliates
and members for any losses, claims, damages, costs, fees, awards, judgments, infringements, penalties, or injuries of any kind incurred
by any third party (“Claims”), including reasonable attorney’s fees and costs and expert fees, which arise from any alleged negligence,
willful misconduct, infringement or breach by Contractor in regards or in connection to this Agreement, or the business performed pursuant
thereto. The Contractor shall not indemnify VIRTUDESK for any Claims that are determined to be the result of VIRTUDESK’S sole
negligence. This section shall survive the termination of this Agreement.
8. ENTIRETY OF AGREEMENT. This Agreement constitutes the entire agreement between the parties with respect to the matters
contained herein and supersedes any and all prior and contemporaneous agreements, negotiations, correspondence, undertakings and
communications of the parties, oral or written, with respect to the subject matter of this Agreement.
Nothing contained in this Agreement shall be construed as creating a partnership, joint venture, agency, trust or other association of any
kind, each party being individually responsible only for its obligations as set forth in this Agreement.
9. JURISDICTION AND VENUE. This Agreement shall be governed by, and construed under, the laws of the State of Washington.
Jurisdiction and venue for all purposes shall be in the County of King, State of Washington.
10. ASSIGNMENT. Neither this Agreement nor any duties or obligations hereunder may be assigned by Contractor without the prior
written consent of VIRTUDESK.
11. PARTIAL INVALIDITY. If any provision of this Agreement is held by a Court of competent jurisdiction to be invalid, void, or
unenforceable the remaining provisions will continue in full force and effect without being impaired or invalidated in any way.
12. EFFECT OF WAIVER. The failure of VIRTUDESK to insist on strict compliance with any of the terms, covenants, or conditions of
this Agreement shall not be deemed a waiver of that term, covenant, or condition, nor shall any waiver or relinquishment of any right or
power at any one time or times be deemed a waiver or relinquishment of that right or power for all or any other times.
13. EXECUTION IN COUNTERPARTS. This Agreement may be executed in counterparts, each of which shall be deemed to be an
original, but which together shall constitute one in the same instrument. The section headings contained in this Agreement are inserted
for convenience of reference only and shall effect the meaning or interpretation of this Agreement.
IN WITNESS THEREOF, and intending to be legally bound hereby, the Parties have executed the foregoing NON-COMPETE
AGREEMENT consisting of three (3) pages.
