Letter To Abcede 1 Original

This letter is in response to a request from Attorney Rene C. Abcede Jr. to cancel an administration contract between Sola Homes Inc. and clients Karola Menzel and Juergen Menzel. The letter states that the administration contract was entered into voluntarily by both parties and has the force of law between them, so it cannot be unilaterally cancelled. It also notes that the contract is bilateral so neither party can choose which provisions to follow. The letter advises that if the clients feel the contract is void, they must pursue legal action in court to have it declared void, but until then the client will continue to enforce the contract.

Atty. Rene C. Abcede, Jr.

Room 201-202 2nd Floor Aniceta Bldg.,
Osmeña Blvd., Cebu City

Pañero:

This in reply to your letter dated May 4, 2015, addressed to my client, SOLA
HOMES INC., requesting for the cancellation of the Administration Contract executed by
clients, Karola Menzel and Juergen Menzel.

Please remind your clients that the Administration Contract, being a contract duly
entered into by my client and your clients, has the force and effect of a law between the
parties and both parties should fully comply with the provisions of the same.

The Administration Contract, being a bilateral contract, cannot unilaterally be

cancelled by one party and a party cannot chose which provision of the contract to follow
and which ones to discard.

If your client feels that the administration contract is void, your client may file a
necessary action in court to have the said Administration Contract declared so, but, so long
as the said Administration Contract has not been declared by the proper courts, I have
advised my client to continue fully enforcing the provisions of the said Administration
Contract.

Respectfully yours,

ATTY. FRANCIS GEORGE F. DINOPOL
