Providing the second party with health care in accordance
                                                                    ﺗﻘﺪﻳﻢ ﺍﻟﺮﻋﺎﻳﺔ ﺍﻟﻄﺒﻴﺔ ﻟﻠﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﺑﺎﻟﺘﺄﻣﻴﻦ ﺍﻟﺼﺤﻲ ﻭﻓﻘﺎ
with the rules and regulations of Cooperative Health
                                                                                        ﻷﺣﻜﺎﻡ ﻧﻈﺎﻡ ﺍﻟﻀﻤﺎﻥ ﺍﻟﺼﺤﻲ ﺍﻟﺘﻌﺎﻭﻧﻲ

Registering the second party in General Organization for
                                                                         ﺗﺴﺠﻴﻞ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﻟﺪﻯ ﺍﻟﻤﺆﺳﺴﺔ ﺍﻟﻌﺎﻣﺔ ﻟﻠﺘﺄﻣﻴﻨﺎﺕ
Social Insurance (GOSI) and fulfill the payments of
                                                                                ﻭﺳﺪﺍﺩ ﺍﻻﺷﺘﺮﺍﻛﺎﺕ ﺣﺴﺐ ﺃﻧﻈﻤﺘﻬﺎ،ﺍﻻﺟﺘﻤﺎﻋﻴﺔ
contributions according to their systems.
Granting the second party annual leave, official holidays               ﻣﻨﺢ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﺍﻹﺟﺎﺯﺍﺕ ﺍﻟﺴﻨﻮﻳﺔ ﻭﺍﻟﻌﻄﻞ ﺍﻟﺮﺳﻤﻴﺔ
and sick leave as required by the labor regulations approved          ﻭﺍﻹﺟﺎﺯﺍﺕ ﺍﻟﻤﺮﺿﻴﺔ ﻭﻓﻖ ﻣﺎ ﺗﻘﺘﻀﻴﻪ ﻻﺋﺤﺔ ﺗﻨﻈﻴﻢ ﺍﻟﻌﻤﻞ
by the Ministry of Human Resources and Social                     ﺑﻤﺎ،ﺍﻟﻤﻌﺘﻤﺪﺓ ﻣﻦ ﻭﺯﺍﺭﺓ ﺍﻟﻤﻮﺍﺭﺩ ﺍﻟﺒﺸﺮﻳﺔ ﻭﺍﻟﺘﻨﻤﻴﺔ ﺍﻻﺟﺘﻤﺎﻋﻴﺔ

Returning to the second party all certificates or documents      ﺃﻥ ﻳﻌﻴﺪ ﺇﻟﻰ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﺟﻤﻴﻊ ﻣﺎ ﺃﻭﺩﻋﻪ ﻟﺪﻳﻪ ﻣﻦ ﺷﻬﺎﺩﺍﺕ ﺃﻭ
that has been submitted.                                                                                                ﻭﺛﺎﺋﻖ
Incurring the fees of pertaining to recruitment of the second
party, the fees of the residence permit (Iqama), work permit         ،ﺗﺤﻤﻞ ﺭﺳﻮﻡ ﺍﺳﺘﻘﺪﺍﻡ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﺃﻭ ﻧﻘﻞ ﺧﺪﻣﺎﺗﻪ ﺇﻟﻴﻪ
and their renewal fees and the consequent delay of fines. As      ﻭﻣﺎ ﻳﺘﺮﺗﺐ ﻋﻠﻰ، ﻭﺗﺠﺪﻳﺪﻫﻤﺎ، ﻭﺭﺧﺼﺔ ﺍﻟﻌﻤﻞ،ﻭﺭﺳﻮﻡ ﺍﻹﻗﺎﻣﺔ
well as, professional changing fees, exit and return fees and          ﻭﺍﻟﺨﺮﻭﺝ، ﻭﺭﺳﻮﻡ ﺗﻐﻴﻴﺮ ﺍﻟﻤﻬﻨﺔ،ﺗﺄﺧﻴﺮ ﺫﻟﻚ ﻣﻦ ﻏﺮﺍﻣﺎﺕ
the worker return home ticket - in the same manner used             ﺑﺎﻟﻮﺳﻴﻠﺔ-  ﻭﺗﺬﻛﺮﺓ ﻋﻮﺩﺓ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﺇﻟﻰ ﻣﻮﻃﻨﻪ،ﻭﺍﻟﻌﻮﺩﺓ
for arrival- after the end of the relationship between the two                    ﺑﻌﺪ ﺍﻧﺘﻬﺎﺀ ﺍﻟﻌﻼﻗﺔ ﺑﻴﻦ ﺍﻟﻄﺮﻓﻴﻦ- ﺍﻟﺘﻲ ﻗﺪﻡ ﺑﻬﺎ
parties.
Paying for preparing the body of a deceased worker and
transporting it to the location where the contract was
                                                                    ﻭﻧﻘﻠﻪ ﺇﻟﻰ ﺍﻟﺠﻬﺔ،ﺗﺤﻤﻞ ﻧﻔﻘﺎﺕ ﺗﺠﻬﻴﺰ ﺟﺜﻤﺎﻥ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ
concluded, or where the worker was recruited unless the
                                                                      ﻣﺎﻟﻢ ﻳﺪﻓﻦ، ﺃﻭ ﺍﺳﺘﻘﺪﻡ ﺍﻟﻌﺎﻣﻞ ﻣﻨﻬﺎ،ﺍﻟﺘﻲ ﺃﺑﺮﻡ ﻓﻴﻬﺎ ﺍﻟﻌﻘﺪ
worker is interred in the Kingdom with the approval of
                                                                         ﺃﻭ ﺗﻠﺘﺰﻡ ﺍﻟﻤﺆﺳﺴﺔ ﺍﻟﻌﺎﻣﺔ،ﺑﻤﻮﺍﻓﻘﺔ ﺫﻭﻳﻪ ﺩﺍﺧﻞ ﺍﻟﻤﻤﻠﻜﺔ
worker's family. The first party shall be relieved if the

Paying the first party wages and settle his entitlements
                                                                   ﻣﻦ-ﻋﻠﻰ ﺍﻷﻛﺜﺮ- ﺩﻓﻊ ﺃﺟﺮ ﺍﻟﻌﺎﻣﻞ ﻭﺗﺼﻔﻴﺔ ﺣﻘﻮﻗﻪ ﺧﻼﻝ ﺃﺳﺒﻮﻉ
within a maximum period of one week from the date of the

end of the contractual relation. If the worker ends the

contract, the employer shall settle all his entitlements within

To finish assigned work in accordance with the principles of                ﻭﻭﻓﻖ،ﺃﻥ ﻳﻨﺠﺰ ﺍﻟﻌﻤﻞ ﺍﻟﻤﻮﻛﻞ ﺇﻟﻴﻪ؛ ﻭﻓﻘﺎ ﻷﺻﻮﻝ ﺍﻟﻤﻬﻨﺔ
the profession and in accordance with the instructions of                   ﺇﺫﺍ ﻟﻢ ﻳﻜﻦ ﻓﻲ ﻫﺬﻩ ﺍﻟﺘﻌﻠﻴﻤﺎﺕ ﻣﺎ،ﺗﻌﻠﻴﻤﺎﺕ ﺍﻟﻄﺮﻑ ﺍﻷﻭﻝ
the employer, if these instructions do not violate the                      ﻭﻟﻢ ﻳﻜﻦ ﻓﻲ، ﺍﻭ ﺍﻵﺩﺍﺏ ﺍﻟﻌﺎﻣﺔ، ﺃﻭ ﺍﻟﻨﻈﺎﻡ،ﻳﺨﺎﻟﻒ ﺍﻟﻌﻘﺪ
contract, order, public morals, or has a potential danger.                                            ﺗﻨﻔﻴﺬﻫﺎ ﻣﺎ ﻳﻌﺮﺿﻬﺎ ﻟﻠﺨﻄﺮ
To take adequate care of the tools and tasks assigned to
                                                                            ﻭﺍﻟﻤﻬﻤﺎﺕ ﺍﻟﻤﺴﻨﺪﺓ ﺇﻟﻴﻪ،ﺃﻥ ﻳﻌﺘﻨﻲ ﻋﻨﺎﻳﻪ ﻛﺎﻓﻴﻪ ﺑﺎﻷﺩﻭﺍﺕ
and the first party's ores that at the second party's disposal
                                                                   ،ﻭﺍﻟﺨﺎﻣﺎﺕ ﺍﻟﻤﻤﻠﻮﻛﺔ ﻟﻠﻄﺮﻑ ﺍﻷﻭﻝ؛ ﺍﻟﻤﻮﺿﻮﻋﺔ ﺗﺤﺖ ﺗﺼﺮﻓﻪ
or in which in his/her
                                                                   ﻭﺃﻥ ﻳﻌﻴﺪ ﺍﻟﻰ ﺍﻟﻄﺮﻑ ﺍﻷﻭﻝ ﺍﻟﻤﻮﺍﺩ ﻏﻴﺮ،ﺃﻭ ﺍﻟﺘﻲ ﺗﻜﻮﻥ ﻓﻲ ﻋﻬﺪﺗﻪ
custody, and restores the first party's materials that did not
                                                                                                                    ﺍﻟﻤﺴﺘﻬﻠﻜﺔ
consumed.
Approval of the first party deducting the prescribed              ﺍﻟﻤﻮﺍﻓﻘﺔ ﻋﻠﻰ ﺍﺳﺘﻘﻄﺎﻉ ﺍﻟﻄﺮﻑ ﺍﻷﻭﻝ ﻟﻠﻨﺴﺒﺔ ﺍﻟﻤﻘﺮﺭﺓ ﻋﻠﻴﻪ ﻣﻦ
percentage from him/her from the monthly wage to                       ﺍﻷﺟﺮ ﺍﻟﺸﻬﺮﻱ ﻟﻼﺷﺘﺮﺍﻙ ﻓﻲ ﺍﻟﻤﺆﺳﺴﺔ ﺍﻟﻌﺎﻣﺔ ﻟﻠﺘﺄﻣﻴﻨﺎﺕ
participate in the General Organization for Social Insurance.                                                       ﺍﻻﺟﺘﻤﺎﻋﻴﺔ
                                                                        ﻭﻓﻲ ﺟﻤﻴﻊ،ﺃﻥ ﻳﻠﺘﺰﻡ ﺣﺴﻦ ﺍﻟﺴﻠﻮﻙ ﻭﺍﻷﺧﻼﻕ ﺃﺛﻨﺎﺀ ﺍﻟﻌﻤﻞ

To provide all assistance and support without additional
                                                                  ﺃﻥ ﻳﻘﺪﻡ ﻛﻞ ﻋﻮﻥ ﻭﻣﺴﺎﻋﺪﺓ ﺩﻭﻥ ﺃﻥ ﻳﺸﺘﺮﻁ ﻟﺬﻟﻚ ﺃﺟﺮﺍ ﺇﺿﺎﻓﻴﺎ
wages in the event of disasters and threats to the safety of

                                                                    ﻟﻠﺘﺤﻘﻖ،ﻳﺮﻏﺐ ﻓﻲ ﺇﺟﺮﺍﺋﻬﺎ ﻋﻠﻴﻪ ﻗﺒﻞ ﺍﻹﻟﺤﺎﻕ ﺑﺎﻟﻌﻤﻞ ﺍﻭ ﺃﺛﻨﺎﺀﻩ
to ascertain whether he or she is free of chronic diseases or
                                                                                        ﻣﻦ ﺧﻠﻮﻩ ﻣﻦ ﺍﻷﻣﺮﺍﺽ ﺍﻟﻤﻬﻨﻴﺔ ﺃﻭ ﺍﻟﺴﺎﺭﻳﺔ
occupational diseases.

General Provisions                                                                                          ﺃﺣﻜﺎﻡ ﻋﺎﻣﺔ
The Labor Law and its executive regulations and the
ministerial regulations and resolutions and the                     ﻳﻜﻮﻥ ﻧﻈﺎﻡ ﺍﻟﻌﻤﻞ ﻭﻻﺋﺤﺘﻪ ﺍﻟﺘﻨﻔﻴﺬﻳﺔ ﻭﺍﻟﻠﻮﺍﺋﺢ ﻭﺍﻟﻘﺮﺍﺭﺍﺕ
organization?s work regulation approved by the Ministry of          ﺍﻟﻮﺯﺍﺭﻳﺔ ﻭﻻﺋﺤﺔ ﺗﻨﻈﻴﻢ ﺍﻟﻌﻤﻞ ﺑﺎﻟﻤﻨﺸﺄﺓ ﺍﻟﻤﻌﺘﻤﺪﺓ ﻣﻦ ﻗﺒﻞ
Human Resources and Social Development, shall be the              ﺍﻟﻤﺮﺍﺟﻊ ﻓﻲ ﺃﻱ،ﻭﺯﺍﺭﺓ ﺍﻟﻤﻮﺍﺭﺩ ﺍﻟﺒﺸﺮﻳﺔ ﻭﺍﻟﺘﻨﻤﻴﺔ ﺍﻻﺟﺘﻤﺎﻋﻴﺔ
reference in all matters not explicitly stated herein, and it     ﺑﻨﺪ ﺃﻭ ﺃﻣﺮ ﻟﻢ ﻳﺮﺩ ﺑﻪ ﻧﺺ ﺑﻬﺬﺍ ﺍﻟﻌﻘﺪ ﻭﺗﻌﺪ ﺟﺰﺀﺍ ﻻ ﻳﺘﺠﺰﺃ ﻣﻦ
shall be deemed as an integral part of this Contract. In                 ﻭﻳﺤﻞ ﻫﺬﺍ ﺍﻟﻌﻘﺪ ﻣﺤﻞ ﻛﺎﻓﺔ ﺍﻻﺗﻔﺎﻗﻴﺎﺕ ﻭﺍﻟﻌﻘﻮﺩ.ﺍﻟﻌﻘﺪ
addition, this Contract replaces all previous agreements and                       ﺍﻟﺴﺎﺑﻘﺔ ﺍﻟﺸﻔﻬﻴﺔ ﻣﻨﻬﺎ ﺃﻭ ﺍﻟﻜﺘﺎﺑﻴﺔ ﺇﻥ ﻭﺟﺪﺕ
contracts including oral or written if any.
Both parties agreed that the addresses stated at the head of
                                                                 ﺍﺗﻔﻖ ﺍﻟﻄﺮﻓﺎﻥ ﻋﻠﻰ ﺃﻥ ﺍﻟﻌﻨﺎﻭﻳﻦ ﺍﻟﻤﻮﺿﺤﺔ ﻓﻲ ﺻﺪﺭ ﺍﻟﻌﻘﺪ ﻫﻲ
this Contract are the official addresses for exchanging
                                                                ﺍﻟﻌﻨﺎﻭﻳﻦ ﺍﻟﻨﻈﺎﻣﻴﺔ ﻟﺘﺒﺎﺩﻝ ﺍﻹﺷﻌﺎﺭﺍﺕ ﻭﺍﻹﺧﻄﺎﺭﺍﺕ ﻭﺍﻹﻧﺬﺍﺭﺍﺕ
notifications, announcements and warnings and the
                                                                                         ﻭﺗﻌﺘﺒﺮ ﺍﻟﻤﺨﺎﻃﺒﺎﺕ ﺫﺍﺕ ﺣﺠﺔ ﻧﻈﺎﻣﻴﺔ
correspondence is considered a legal argument.
Both parties acknowledge that they have known and                       ﻳﻘﺮ ﺍﻟﻄﺮﻓﺎﻥ ﺑﺎﻧﻬﻤﺎ ﻗﺪ ﻋﻠﻤﺎ ﻭﻓﻬﻤﺎ ﻛﻞ ﺃﺣﻜﺎﻡ ﻫﺬﺍ ﺍﻟﻌﻘﺪ
understood all the provisions and contents of this contract.                                                      ﻭﻣﻀﻤﻮﻧﻪ
The singular form includes the plural and the plural form

includes the singular, and the reference to one gender
                                                                          ﻭﺍﻹﺷﺎﺭﺓ ﺇﻟﻰ ﺟﻨﺲ ﻭﺍﺣﺪ ﺗﻌﻨﻲ ﺍﻟﺠﻨﺴﻴﻦ ﻭﺍﻹﺷﺎﺭﺓ ﺇﻟﻰ
means both genders, and the reference to persons includes
                                                                   ﺍﻷﺷﺨﺎﺹ ﺗﺸﻤﻞ ﺍﻷﺷﺨﺎﺹ ﺍﻟﻄﺒﻴﻌﻴﻴﻦ ﻭﺍﻻﻋﺘﺒﺎﺭﻳﻴﻦ ﻣﺎ ﻟﻢ
natural and legal persons unless the context of the text
                                                                                                 ﻳﻘﺘﺾ ﺳﻴﺎﻕ ﺍﻟﻨﺺ ﻏﻴﺮ ﺫﻟﻚ
requires otherwise.
References to any law, regulation, decision, or instructions
                                                                  ﺗﻔﺴﺮ ﺍﻹﺷﺎﺭﺓ ﺇﻟﻰ ﺃﻱ ﻧﻈﺎﻡ ﺃﻭ ﻻﺋﺤﺔ ﺃﻭ ﻗﺮﺍﺭ ﺃﻭ ﺗﻌﻠﻴﻤﺎﺕ ﻋﻠﻰ
shall be interpreted as including amendments that may
                                                                            ﺃﻧﻬﺎ ﺗﺸﻤﻞ ﺍﻟﺘﻌﺪﻳﻼﺕ ﺍﻟﺘﻲ ﺗﻄﺮﺃ ﻋﻠﻴﻬﺎ ﻣﻦ ﺣﻴﻦ ﻵﺧﺮ

The contract shall be automatically renewed for an
                                                                          ﻣﺎﻟﻢ ﻳﺸﻌﺮ ﺃﺣﺪ،ﻳﺘﺠﺪﺩ ﻫﺬﺍ ﺍﻟﻌﻘﺪ ﺗﻠﻘﺎﺋﻴﺎ ﻟﻤﺪﺓ ﻣﻤﺎﺛﻠﺔ
equivalent period, unless at least 30 days prior to the
                                                                     ﻣﻦ ﻧﻬﺎﻳﺔ30 ﺍﻷﻃﺮﺍﻑ ﺑﻌﺪﻡ ﺭﻏﺒﺘﻪ ﺑﺎﻟﺘﺠﺪﻳﺪ ﺑﻤﺪﺓ ﻻ ﺗﻘﻞ ﻋﻦ
contract end date a notice is given by either party of its

intent not to renew the contract.
Additional Terms                                                                                           ﺑﻨﻮﺩ ﺇﺿﺎﻓﻴﺔ
The Second Party is obligated not to compete with the First           ﻳﻠﺘﺰﻡ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﺑﺄﻥ ﻻ ﻳﻘﻮﻡ ﺑﻌﺪ ﺇﻧﺘﻬﺎﺀ ﺍﻟﻌﻘﺪ ﺑﻤﻨﺎﻓﺴﺔ
Party directly or indirectly after the end of the agreement for       ﺍﻟﻄﺮﻑ ﺍﻷﻭﻝ ﺑﺼﻮﺭﺓ ﻣﺒﺎﺷﺮﺓ ﺃﻭ ﻏﻴﺮ ﻣﺒﺎﺷﺮﺓ ﻟﻤﺪﺓ ﺳﻨﺘﻴﻦ
a period of two years in any place in theKingdom of Saudi         ﻭﺫﻟﻚ ﻓﻲ ﺃﻱ ﻣﻜﺎﻥ ﻣﻦ ﺍﻟﻤﻤﻠﻜﺔ ﺍﻟﻌﺮﺑﻴﺔ ﺍﻟﺴﻌﻮﺩﻳﺔ ﻓﻴﻤﺎ ﻳﺘﻌﻠﻖ ﺑـ

In case this agreement has been terminated by any of the
two Parties before the expiry of its term and without a
                                                                  ﺇﺗﻔﻖ ﺍﻟﻄﺮﻓﺎﻥ ﻋﻠﻰ ﺃﻧﻪ ﻓﻲ ﺣﺎﻝ ﻓﺴﺦ ﺍﻟﻌﻘﺪ ﺩﻭﻥ ﺳﺒﺐ ﻣﺸﺮﻭﻉ
legitimate reason both parties agreed on the following If the
                                                                  ﻋﻠﻰ ﺇﺫﺍ ﻛﺎﻥ ﻓﺴﺦ ﺍﻟﻌﻘﺪ ﻣﻦ ﻗﺒﻞ ﺍﻟﻄﺮﻑ ﺍﻷﻭﻝ ﻓﻴﻠﺘﺰﻡ ﺑﺄﻥ ﻳﺪﻓﻊ
termination is done by the First Party the Second Party shall
                                                                      ﻟﻠﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﺗﻌﻮﻳﻀﺎ ﻋﻦ ﻫﺬﺍ ﺍﻟﻔﺴﺦ ﻳﻌﺎﺩﻝ ﺃﺟﺮ ﺍﻟﻄﺮﻑ
be entitled to a compensation amount that equal to two
                                                                  ﺍﻟﺜﺎﻧﻲ ﻟﻤﺪﺓ ﺷﻬﺮﻳﻦ ﻭ ﺇﺫﺍ ﻛﺎﻥ ﻓﺴﺦ ﺍﻟﻌﻘﺪ ﻣﻦ ﻗﺒﻞ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ
wages of the Second Partyand if the termination is done by
                                                                   ﻓﻴﻠﺘﺰﻡ ﺑﺄﻥ ﻳﺪﻓﻊ ﻟﻠﻄﺮﻑ ﺍﻷﻭﻝ ﺗﻌﻮﻳﻀﺎ ﻋﻦ ﻫﺬﺍ ﺍﻟﻔﺴﺦ ﻳﻌﺎﺩﻝ
the Second Party the First Party shall be entitled to a
                                                                                   ﺃﺟﺮ ﺍﻟﻄﺮﻑ ﺍﻟﺜﺎﻧﻲ ﻟﻠﻤﺪﺓ ﺍﻟﻤﺘﺒﻴﻘﺔ ﻣﻦ ﺍﻟﻌﻘﺪ
compensation amount that equal to the Second Party wage
for the balance period
