Memorandum of Association
[Pursuant to rule 19(2) the Companies (Incorporation) Rules, 2014]

I. The name of the company is “SHERAPHIN VOCATIONAL TRAINING AND


PARAMEDICAL SKILL COUNCIL”.
II. The registered office of the company will be situated in the state of Bihar
III. The objects for which the company is established are:
A: THE MAIN OBJECTS TO BE PURSUED BY THE COMPANY ON ITS
INCORPORATION ARE:
1. To Promote the sense of Social Unity and Equality among the weaker sections
and to form welfare association for the team.
2. To Promote Social Powers through mutual understanding and cooperation.
3. To Work Promote and manage resources for social welfare through cleaning
(Swatch Abhiyan etc.), education facilities and health facilities, family planning,
de-addiction, prohibition of liquor and smoking etc., to resolve problems in
society.
4. To Promote Cultural Development Library, Reading Rooms, Auditorium etc., &
to Publish Magazines and Organize Play’s, Drama, Dance and Classical Songs
for Social Welfare, to Organize Kavi Sammelan, Sahityaakaar Sammelan,
Jagrata, Jagran, Bhajan Sandhya for the people of the society.
5. To Establish Good Relation with other National Social
Organizations/institution’s in the Society.
6. To Assist Other Social Organizations as well as government organizations to
support their objectives for Social Welfare.
7. To Inform Officials of the State and Central Government About Social, Financial
Problems and Complaints of weaker sections of the Society i.e.,
SC/ST/OBC/Minority/NEEDY etc. as per Indian constitution.
8. To Organize Various Price Distribution Programs/Samman Samaroh to
encourage the social Activists as well as the Special Achievers of the Society
contributing the development of the Nation.
9. To Assist Government for Successful implementation of various social welfare
schemes.
10. To Organize and develop the resources and methods for development of Weaker
Section, Backwards, Dalits, Minority, Victims, Destitute, Exploited etc.
11. To Work for the success, eradicate problems of Weaker Sections by Forming
Delegations.
12. To Make Co-operative Comities by the Society to work on problems of Weaker
Sections.
13. To Eradicate Social Malpractices as; Dowry, Child Marriage, Parda-Pratha,
Superstition, Corruption.
14. To Work for Moral/Character Building.
15. To Provide Scholarship for Education Help of Books to Poor Students and
Children; to arrange cultivable land for landless; to arrange home for homeless
& Poor’s; to help Widows; Disabled TB Patients etc., and to arrange financial
assistance from the Government for them.
16. To Provide Sound Education to children of all communities irrespective of their
race, religion, color, caste or creed in general and to prepare them to become
mature and responsible citizens of the country through all around physical,
intellectual, academic, mental and spiritual development based on values
derived for the life.
17. To Start, Establish, Run, Take Over or Manage and Maintain Schools with an
Objective to Provide Sound Pre-Primary, Secondary, Senior Secondary and
Higher Education to children by seeking recognition and affiliation from the
Education Department and Concerned Government Authorities.
18. To Approach Central or State Land Allotment Authorities or any other
concerned agencies for the allotment of the land to open & run Nursery, Pre-
Primary, Primary, Middle and Senior Secondary and Higher Secondary
Educational Institutions for all, especially for the poor folks irrespective of
Caste, Creed and Social Status and to attain any of their aims and objectives.
19. To establish, construct, erect, maintain, run, manage, develop, owe, acquire,
purchase, undertake and improve, equip, promote, initiate, encourage, and
contract, sub-contract, subsidize and organize, educational institutions for
imparting, specialized education in the field of Engineering, Science and
Technology, Information Technology, Computer Education, Hardware, Software
Development, Pharmacy, Architecture, Medical, Nursing, Legal, Polytechnic
Courses and allied subjects, Hotel Management and Catering Technology and
Management Programs, etc. as per rules of concerned authority.
20. To establish, construct, erect, maintain, run, manage, develop, owe, acquire,
purchase, undertake and improve, equip, promote, initiate, encourage, and
contract, sub-contract, subsidize and organize Schools (Including
Boarding/Residential Schools), Collages (Undergraduates and Post Graduates
etc.) teacher training and Vocational Training institutions as per rule of
concerned authority.
21. To Promote cultural centers, maintain libraries and reading rooms containing
work of Science and Technology, Commerce, Literature, Fine Arts, General
Knowledge etc.
22. To Create a sense of brotherhood, co-operation, mutual harmony, love and
affection among the citizens of India at large.
23. To Make representation to various authorities of Government, Semi-
Government on the behalf of the people.
24. To Advice people especially downtrodden and needy on various day-to-day
problems of the society.
25. To Protest by lawful means and interest of citizens of India in all matters dealt
with government and Semi-government or Local bodies (Govt. or legislative)
affecting their interest.
26. To Hold and to participate in conferences, meetings etc., for the exchange of
ideas and discussion of subjects of the interest of the people at large.
27. To Contribute to the social, cultural, medical betterment of the people at large
especially needy, destitute and have-nots.
28. To Open, Found, Establish, Promote, Setup, Run, Maintain, Assist, Finance,
Support and/ or Aid and help in setting up different kind of schools, colleges,
lecture Halls and other establishments or institutions for advancement of
education and of knowledge in Arts, Science, Literature, humanity and all the
useful subjects in all their manifestations.
29. To arrange and manage the training institution in Typing, Short-Hand,
Computer Information’s Technology, Fine Arts, Craft, Music, Painting,
Modelling, Acting, Dancing, Cutting and Tailoring, Yoga, Physical Educational
and other social activities of Awareness Programs, Symposium, Cultural
Programs, Press Conference and Seminars. And to promote education in
reading, writing, literature, drama and other related arts and visual
instructions through slides, documentary films etc.
30. To Prepare, Direct and Telecast the Documentary Films, Dramas, Stage Shows,
Public Campaigns with an aim or eradicating social evils and making people
aware of them through different Media Platforms as well as Social Media
Platforms.
31. To Establish, run, maintain and grant aid in cash or kinds to Advance
Technical Education Colleges including Engineering and Diploma College,
Management Education Institute, Computer Science Institute, Teacher Training
& Specialized Studies & Research Institutes to provide standard and high-class
education for M.Tec/B.Tech/MBA/B.Ed./M.Ed./NTT Courses/BSW/MSW &
other relevant courses to the student according to the Rules and Regulations of
A.I.C.T.E/N.C.E.R.T., State or Central Govt.
32. To Make necessary changes and widen the prevalent school educational system
and to cater to the numerous new vocations that is being created increasingly
with the explosion in the areas of science and technology.
33. To Adopt system in the school education that would promote and stress leaving
body doing through the introduction of science laboratories and workshops in
all the areas of learning.
34. To Develop the establish such out of school activity centers for the children on
the underprivileged class of society. Where they could have the benefit and joy
of participating in sports, games, artistic activities like painting, clay and wood
work, music dancing and develop skills in debating, elections, participate in
excursions, educational trips and such other activities.
35. To establish reading rooms, discussion halls, auditorium and libraries etc., for
students and general public.
36. To Start various kinds of training courses like- Teacher Training, Nurses
Training, Technical and Non-Technical Courses, Laboratory
Attendants/Assistants, Hospital Education Center cum Clinics, Maternity
Homes, Child Care Centers and Such Other Institutions (after getting the
permission and/or affiliation from the competent authority/ authorities, if it is
required) for the solution of the problem of un-employment among the young
generation to be used for general public.
37. To Establish, Start, Run and Manage the Working Women Hostels, Swadhar
Grah, Child Protection Homes, Creche, Integrated Child Development Training
Centers and Mahila Ashrams for the welfare for women and child.
38. To Start, run, manage the various training centers like Poultry, Goatery,
Piggery, Fishery etc., to train the young boys and girls to reduce
unemployment.
39. To make arrangement for the mobile emergency van/ambulance for the victims
of road accidents, to provide help to pregnant ladies to shift them to nearest
hospital also to provide assistance to the old people in case of any emergency.
40. To bring under the productive use of the vast land through massive programs of
forestation and tree plantations.
41. To encourage such workers of the country by granting them prizes, awards,
certificates for their special contributions in pollution control in Residential and
Industrial Area and also for their work in this field.
42. To Arrange and to encourage the people to donate essential materials like
dhoties, blankets, rugs, woolen/ cotton/ clothes and other articles of daily use
to the needy men, women and children of the society.
43. To enable handicapped people to participate in workshops, seminars and
exchange programs in India and abroad to improve their skills by extending
financial assistance and other supports.
44. To Approach the farmers and the people connected with agriculture to provide
them the latest technology and the research information in the fields of
agriculture for the betterment of farmers/agriculture.
45. To organize the stages plays, musical concert, seminars and variety programs
etc., on social issues.
46. To establish, run, maintain, manage and control the various schools/colleges,
training institutions/ courses like Medical, Dental, Para Medical, Ayurvedic,
Homeopathic, Naturopathy, Pharmacy, Nursing, Laboratory, Occupational
Therapy, Dietician, Beautician, Acupuncture and Acupressure Therapy etc.,
(after getting proper permission for the competent authority if it is required).
47. To carry out research and training in education to enhance the quality and
method of teaching and to establish, carry on training institutions for the
benefits of the community and to equip and manage such institutions.
48. To Promote Literacy, cultural and other social activities of Awareness Programs,
Adult Education Classes, Lectures, Essay Competitions, Exhibitions,
Symposiums, Cultural Programs, Press Conferences, Seminars and Webinars.
49. To Provide food, clothing, medical aid, stationary, transportation, libraries,
laboratories, reading rooms, hostels, play grounds, swimming pools and other
required facilities to the students and also to the people at large.
50. To establish and manage various lands of educational, vocational, industrial,
agricultural, Research and Training Institutions to introduce and develop the
professional courses and also to arrange/ provide all kind of educational
facilities to the students, scholars, trainees and to other needy candidates.
51. To provide institutional scholarships and helps to deserving students and to
institute and award prizes in recognition of excellence in academic performance
of students.
52. To meet traveling, boarding and lodging expenses for the students going abroad
for higher education and also help them in all possible ways.
53. To promote fine arts, craft among the public including establishment and
maintenance of Shilpa-Shikshalayas, Kala-Kendra’s (relating to music, dance
and modeling etc.,).
54. To Promote and Follow the ideology of great Men and National Leaders who
sacrificed their lives for the causes of depressed, SC & ST, Backward Classes,
Minority Groups and for other needy peoples.
55. To raise funds through Grants, Donations, Public Campaigns, Crowd-Funding,
Subscriptions, Loans, Peer-to-Peer, Free or Paid Services etc., for the fulfillment
of the aims and objects of the society.
56. To Publish and publications of News Letters periodically highlighting the
activities of the association.
57. To Arrange and organize ‘LANGER SEWA’ on the different occasions as and
when the Governing Body of the Social Organization may decide from time to
time in the General Meeting/Governing Body Meet called for this purpose.
58. To arrange tour and trips at the historical and tourist places (time-to-time) and
provide all possible facilities like transportation, breakfast, lunch, dinner,
temporary shelters etc.,
59. To arrange and organize Eye, Organ and Blood Donation Camps, Legal
Awareness Camps, AIDS Awareness Camps, Health Checkup Camps all over
India.
60. To approach and to encourage the people to donate the Cloths, Blankets, Food
Items, Woolen/ Silk/ Cotton or other varieties of clothes, rugs, other necessary
articles, shelters (temporary/ permanent), medicines and other required
facilities to the people have faced any Natural Calamity/ or the Disaster/ or the
time country facing any epidemic.
61. To make best efforts for the protection, promotion, the advancement and start
rehabilitation center and school/ home for women, children, old aged,
handicapped, orphans, widows, destitute, beggars, blinds, transgenders,
mentally retarded persons and needy people of the society at large.
62. To engage, employ, hire appropriate staff, workers, legal or other professionals,
attorneys, managers and agents etc., for the work and furtherance of the aims
and objects of the society and to pay their wages, salaries, stipends or fees.
63. To arrange and establish Balwadis, Anganwadis, Creche Centers for Providing
Vocational Training programme for youths.
64. To arrange and promotion of National Integration Camp, Adventure Camp
(water, hills etc.), rock climbing for youths.
65. To arrange awareness programs for adolescent girls, Kishori Balika Yojna/
Kishori Shakti Yojna/ Nirbhaya Force.
66. To arrange and ensure the welfare of the widow women, prostitute women, aged
(old) person and disabled persons.
67. To organize activities in the field of prevention of atrocities on women
prohibition and Drug Abuse Prevention, Health and Family Planning and
Family Counseling Center.
68. To arrange and organize the social, cultural, educational programs time-to-
time.
69. To establish and run the Swadhar Greh or Short Stay Homes for the girls and
Women in need during domestic violence or any other similar situations.
70. To File PIL related to social issues in public interest.
71. To work for Sanitation, Menstruation & Hygiene Management, Nutrition.
72. To work for overall social welfare and upliftment.
73. To work in different sectors of Construction and Advertisement in Social fields.
74. To work for Human Rights, Animal Rights and All Basic Fundamental Rights of
the citizens of India.
75. To Arrange Mass Marriage for the help of the Poor/Needy Sisters and Daughters
of the Society.
76. To Publish Magazines for the social awareness.
77. To Provide medical Treatment or First Aid to the person or animal in need.
78. To work for Environment and Water Conservation as well as Soil Conservation
and enrichment.
79. To work to reduce the Noise Pollution, Water Pollution, Soil Pollution and Air
Pollution.
80. To Work to Promote Social Interaction.
81. To create forum for Senior Citizens where they can exchange their various views
and experiences, which may be, make available to younger generations.
82. To help Poor and indigent persons in marriage of their sons and daughters by
way of cash or in-Kind donations of otherwise and to distribute clothes, food
and other necessities of daily life among the poor, orphan and indigent persons
as well as to provide nursing, legal and medical aid to the needy people
especially for the old aged, orphan, ill etc.
83. To Promote the use of alternative sources of Energy, Popularized the alternative
sources of energy, help to promote and implement of Technology transfer for
the sake of community benefits and conduct research and Development Work
to find out alternative sources of energy.
84. To establish Agricultural, Technical Handlooms and Handicraft Research &
Development and Training Centers as manage permissible as per govt. policy.
85. To Provide Scholarships, Note-books, Educational Aids, Charity to needy
deserving students, persons in performing and discharging their Social Moral
obligations and duties and also to provide vocational Training and Academic
Education.
86. To Start, maintain and assist in relief measures in those parts, which are or
become subjected to Natural Calamities like Famine, Fire, Flood, Earthquake
etc., Also to organize and execute awareness campaigns.
87. To do all acts deed and things for Social Justice and Peace in the Societies as
well as conflict resolutions.
88. To work for animal welfare, protection preservation of endangered spices,
prevention of cruelty against animals and develops suitable means in this
direction to create awareness amongst mass regarding all these matters.
89. To do integrated Community Development through various means or the Socio-
Economic Welfare with the help of Indian, Social Foreign or any other agencies
and/ or individuals.
90. To do Research and Survey in the field of reproductive and child health,
Education, Disaster Management relief and mitigation, Personal Skill
Development, Socio-economic upliftment of the weaker section of the Society
residing in Urban, Semi-Urban, Rural and Slum areas and are Below Poverty
Line and more particularly with the emphasis on those who are not protected
by the programs of Below Poverty Line individuals say as Middle Class, Toiling
Class and Persecuted Class.
91. To Purchase/acquire the Land and or the building in the name of Social
Organization/NGO and to erect Construction after maintain, Sell Lease,
Mortgages, Transfer, improve, develop, manage and control all or any of the
property/building as per necessary or convenient for the purpose of the
attainment of the aims and objectives of the Society as per Government Policy.
92. To associate with other National and International Organizations/ Agencies/
Companies/ NGOs to work in the field of Social Sector.
93. To work in any other area of social work fulfilling the basic principal of social
work, (if not mentioned in the memorandum above or below) passed by a
resolution in the general body meeting unanimously.
94. To Accept Donations and Financial Aid from India and Abroad, raise
subscription and loans from members and other persons, to invest the funds
for the welfare of the society with such individual societies, firms or companies
for providing income to all the society, on such terms and conditions as may
dee, proper and operate companies or activities for the fulfillment of the aims
and objectives of the Social Organization and further its interest as enumerated
above.
95. To operate in all over India and also in the different countries of the world for
the implementation and fulfillment of the above-mentioned objects.
96. To create a chance of self-employment for the unemployed persons through the
activities sanctioned by KHADI GRAMODHYOG under the small-scale
industries known as ‘Kutir Udhyog’. Necessary arrangements to sell the product
made for the production prepared during and after the training.
97. To develop information of forest and environment, various activities like
Environment Camp, Nature Camp and Provide necessary information and
literature related to clean environment and pollution etc., can be arranged.
98. To Take action to Protect Wild Life.
99. To Take action to protect the dumb animals and provide shelters and grass
fodder. Animal treatment centers for betrayed animals. Give protection to the
betrayed animals, also protect the animals suffering from heavy rainfall,
cyclone and forest fires.
100. To Run and Organize Primary Health Centers for the villagers (peoples
living in villages). In which the patients will be given treatment at token
charges. Also, to develop and run the women health centre and child-care
centers for the village women.
101. To establish and run ‘Balwadis’ for the kids aged between 1 to 5 years. In
which the kids will be served education and discipline with food, nutrition and
fun, under ‘LBF (Learn by Fun)’ scheme.
102. To help the backward peoples by providing shelters and other primary
needs.
103. To develop and run ‘Ren Basera’ (Night Shelters) for the people living
road-side.
104. To make arrangements of land for the landless farmers, in which, they
can cultivate land and create nursery or corps.
105. To arrange and perform Activities for the village progress, various
workshops, youth training camps and skill training camps etc.
106. To Provide necessary information to the people living in rural areas about
sanitation, water conservation and clean drinking water, to prove them help of
creating water resources i.e., digging well and well recharging through water
conservation method.
107. To Provide information and to help in establishment of Kutir Udyog,
Gram Udhyog through Knitting & Weaving, Embroidery, Handicraft Training
and Classes through skill training centers in villages for women and girls living
in rural areas.
108. To Conduct relevant activities for the welfare of Animals as well as
Human beings.
109. To Provide information, Training and Complete guidance about various
loans, under numerous Government Schemes which are available for farm
workers, Landers, general workers, labourers and unemployed people in rural
community.
110. To Arrange different competition exams, programs and quiz competitions
to encourage the winners by giving awards and prizes.
111. To Organize Family Welfare Camps, Social Welfare Camps to provide
different documentation services to assist with the preparation of various
necessary government documentations i.e., Voter ID, PAN, Aadhar, Ration
Card, Caste Certificate, Domicile etc.,
112. To improve the Socio-economic condition of the society, organization will
work on Self-Help Groups and will link them to banks to avail group loan
facility for different Start-Ups.
113. To eliminate the Poverty of the society through progressive and various
fruitful project and economical help through organizational collaboration with
State and Central Government, Corporate and Welfare, Indian Institution as
well as overseas Nations and Subsidiary Branches of India.
114. To Distribute Plants, Pamphlets showing Save Earth/ Save Soil/ Save
Water/ Save Environment/ Save Nature etc., during Van Mahotsav,
Celebration, Earth Day and other special occasions.
115. To Perform all essential and general activities for the development of the
entire human beings.
116. To promote and conduct elder education (Prodh Shiksha) through Old
Age Education Classes for Old Aged Man and Women.
117. To Promote and conduct Night Schools for Working women and children.
118. To encourage boys and girls towards education by providing hostel
facilities to working women and dormitory services to boys.
119. To aware the new generation about Indian Culture and Art Heritage.
120. To promote and aware people about National Energy, Fire-Wood, Diesel,
Kerosene and use of adopted sources of energy like Bio-Gas, Smokeless
Cooking System Providing detailed information regarding alternative energy and
how to protect the environment heritage.
121. To open certified seed bank of various plants, crops and vegetables.
122. To approach Local and Center Development authority or Nagar Palika or
Gram Panchayat or any other concerned agency for the allotment of land to
open and run a Nursery.
123. To Open, Run, maintain center as institution for infusion of knowledge
lowest housing technology, training including skill up gradation for effective
environment, friendly material research for utility feasibility and economic
viability for lowest housing technology as per govt. policy.
124. To solve, resolve and remove problems of the welfare illiteracy, ignorance
and to campaign against drug addiction and moral degradation.
125. To aim at protecting, restoring and maintaining the Ecological Balance
and Environment Concern.
126. To Provide Social Service Training, Legal and Awareness Centers and to
rehabilitate or/ and assist the handicapped and crippled or/and organize Blood
Donation Campaigns with Red Cross or any other relevant agencies.
127. To establish Museums, Archives, Translation Cells, Vocational Training
Centers, Sports Training Centers etc.
128. To Promote and/ or support sustainable income generation as social
welfare through technical and/or agricultural and/or otherwise training at the
educational institutions of the Social Organization.
129. To establish the centers for the Study of Environment and ecology
disseminate the information and knowledge in the community to protect Ozone
Layer for protecting environment, and research for global warming solutions.
130. To establish Agricultural, Technical, Handlooms and Handicraft
Research and Development and Training Centers as many be permissible as per
Govt. Policy.
131. To Preserve Traditional Rural Cultural and Vocational Activities
including the Rural Games, Sports and Rural Skills through various Welfare
Programs and Projects.
132. To do welfare projects for Children to elevate their standards of living
and education to help them grow with the entire moral and Medical Aids.
133. To Organize Health Protection Schemes and/or for the relief from cancer,
T.B, AIDS/HIV and other Deadly Diseases and carry on the Program of Family
Planning, Reproductive Child Health (RCH), Mother and Child Health etc., and
to establish Charitable Diagnostic Center and Hospitals to achieve sound
health as per requirement of the WHO-World Health Organization.
134. To Promote Indian System of Medicines and Homeopathy, Unani,
Ayurvedic, Allopathy by organizing Seminars and Awareness Camps etc.
135. To work for the welfare of aged and to care for their sustenance, open
recreation centers, old age homes, widow ashrams etc.
136. To Provide Legal awareness through various means and methods
permissible in law and to disseminate useful knowledge and/or means and/ or
media to educate the individuals and/ or mass about Human Rights and or
otherwise.
137. To prepare and execute location-based research projects on socio-
economic and especially in the field or natural man-made disaster Children
Orphans Disabled Street Children etc.
138. To organize programmes for charity and social welfare and development
of Poverty and weaker sections people and to take all charitable measure to
make them self-sufficient.
139. To organize and carry out the programmes for development of Slum
Dwellers and Rural Peoples and to carry out the programmes for children and
youth through cultural and/ or otherwise activities to develop their inward and
outward personality and /or to give much emphasis on the female child’s
overall development.
140. To Open, Found, Run, Establish, Promote, Setup, Construct, Maintain,
Manage and Control Jan Suvidha Complex, Barat Ghar, Ren Basera, Banquet
Halls, Community Halls, Marriage Homes, Piao/Pyau, Dharmshala, Night
Shelters, Guest Rooms, Eating Place, Parking Place, Paths Khandaja Bridges,
Play Grounds, Parks, Sewerage, Water Tank, Water Reservoirs, Short Stay
Homes etc., as per Government Policy.
141. To research and implement programs and objects on Population Control,
Malnutrition and to find out suitable solution in accordance with Indian and
UNO Programs.
142. To do such other things/acts/activities, which are necessary and which
may be incidental or conductive to the attainment of the object of the society.
143. To establish any such institute or to help running any such institute
which is helpful in achieving and social equilibrium.
144. To infuse useful knowledge in the society on order to achieve a higher

and for the other needy people or done anything remarkable for the benefit of

previous approval of Commissioner of Income Tex. That all other aims and
objects of the MOA shall remain the same.

and activities, Traffic Rule and Regulation etc.
222. To work for welfare and prevented of Wild Life animals, Cattle, Stay
Cattle establish Veterinary hospitals, Gaushalas.

financial support of the state and central Govt./International bodies.

programme to the school and College students with the financial support of the
Ministry of Science & Technology, Ministry of Human Resource development,
Ministry of Youth & Sports Affairs and various other Ministries that are related
to these activities.
228. To initiate implementation and collaborate in schemes and programs of
Mid-day meals for children in pre-school whole some food for workers in
organized and unorganized section sectors providing opportunity to women to
participate in vital activity.
229. To help children to receive education as per the RTE Act or government
policies and schemes.
230. To promote child health by holding RCH camps and strengthening RCH
outside services.
231. To provide rehabilitation for Leprosy Cured Persons (LCPS).

with any society, government/semi-government institutions/commissions as

agencies.
241. To sensitize and familiarize the urban/rural population of the immense
advantages of IT (information technology) sector and implement training
programmes and projects based on IT and establish services in the context of
global demand for IT products and services and to bridge the digital divide in a
pro-active plan.
242. To build a strong base of citizen support, advocacy-based humanitarian
action for refugees, internally displaced and other dispossessed people by civil
society engagement and partnership development & mobilization of resources to
support effective response to promote self-sufficiency.
243. To run GRC, SRC, resource centers, Jan Shikshan Sansthan and other
vocational training programmes. Creating awareness on voting rights and
political representation at Panchayat, Legislative Assembly and parliamentary
elections.
244. To guide, design and implement HARSRE programmes of corporate'
houses, govt and other institutions.
245. To evaluate the outcome of such Programmes Implemented for further
roadmap of the CSR activities.

247. According to the World Health Organization, training of Community
Medical Services and Essential Drugs for first aid in rural areas so that public
welfare can be done.
248. Training of Astrology, Vastu, Shastra, Tantra Shastra, Dharma Shastra
etc., organizing conferences, camps and giving the letter of honor, participation
letter.
249. Successful social worker, successful political worker and doing religious
work, successful doctor and those who work with the spirit of service for the
upliftment of the society, honoring them, presenting the certificate of honor,
presenting the citation.
250. Preparation of a list of first aid for rural areas which can be useful to the
government during emergency, corona, epidemic.
251. To Promote Indian System of Medicines and Homeopathy, Unani,
Ayurvedic, Allopathy, Electro Homeopathy, Naturopathy, Yoga and Alternative
Medicine by organizing Seminars, Training, Awards, and Camps etc.

B. MATTER WHICH ARE NECESSARY FOR FURTHERANCE OF THE OBJECT


SPECIFIED IN CLAUSE 3(A) ARE: -
1. To open branches where ever considered expedient for the promotion of the
main objects.
2. To complete, publish and distribute or give, help in the publication of any
literature for the promotion of the main objects.
3. To use the audio-visual media for furtherance of its aims and objects.
4. To promote and revive the traditional arts and crafts of India.
5. To receive any grant, donation, fee, support and assistance in any form for the
furtherance of the objects of the Company.
6. To purchase, lease, secure by exchange or license, hire or otherwise acquire any
moveable or immovable property and any interest, easement, right and privilege
necessary or alter any moveable and immovable property of the Company and
undertake such other activities as may be necessary and incidental to the objects
of the Company.
IV. The objects of the company extend to the whole of India.
V. (i) The profits, if any, or other income and property of the company, whensoever
derived, shall be applied, solely for the promotion of its objects as set forth in this
memorandum.
(ii)No portion of the profits, other income or property aforesaid shall be paid or
transferred, directly or indirectly, by way of dividend, bonus or otherwise by way of
profit, to persons who, at any time are, or have been, members of the company or
to any one or more of them or to any persons claiming through any one or more of
them.
(iii) No remuneration or other benefit in money or money’s worth shall be given by
the company to any of its members, whether officers or members of the company
or not, except payment of out-of-pocket expenses, reasonable and proper interest
on money lent, or reasonable and proper rent on premises let to the company.
(iv) Nothing in this clause shall prevent the payment by the company in good faith
of prudent remuneration to any of its officers or servants (not being members) or to
any other person (not being member), in return for any services actually rendered
to the company.
(v) Nothing in this clause(iii) and (iv) shall prevent the payment by the company in
good faith of prudent remuneration to any of its members in return for any services
(not being services of a kind which are required to be rendered by a member),
actually rendered to the company;
VI. No alteration shall be made to this memorandum of association or to the
articles of association of the company which are for the time being in force, unless
the alteration has been previously submitted to and approved by the Registrar.
VII. The liability of the members is limited.
VIII. The share capital of the company will consist of Rs 100,000/- divided into
10,000 Equity Shares of 10/- rupees each.
IX. True accounts shall be kept of all sums of money received and expended by the
company and the matters in respect of which such receipts and expenditure take
place, and of the property, credits and liabilities of the company; and, subject to
any reasonable restrictions as to the time and manner of inspecting the same that
may be imposed in accordance with the regulations of the company for the time
being in force, the accounts shall be open to the inspection of the members.
Once at least in every year, the accounts of the company shall be examined and
the correctness of the balance-sheet and the income and expenditure account
ascertained by one or more properly qualified auditor or auditors.
X. If upon a winding up or dissolution of the company, there remains, after the
satisfaction of all the debts and liabilities, any property whatsoever, the same shall
not be distributed amongst the members of the company but shall be given or
transferred to such other company having objects similar to the objects of this
company, subject to such conditions as the Tribunal may impose, or may be sold
and proceeds thereof credited to the Rehabilitation and Insolvency Fund formed
under section 269 of the Act.
XI. The company can be amalgamated only with another company registered under
section 8 of the Act and having similar objects.
All the incomes, earnings, movable and immovable properties of the society shall
be solely utilized and applied towards the promotion of the aims and objects only
as set forth in the memorandum of association and no profit on thereof shall be
paid or transferred directly or indirectly by way of dividends, bonus, profits in any
manner whatsoever to the present or past members of the society or to any person
claiming through anyone or more of the present or the past members. No member
of the society shall have any personal claim on any movable or immovable
properties of the society or make any profits, whatsoever by virtue of this
membership.
