THIS AGREEMENT TO SELL made at Jaipur this 21st day of March 2024.
BETWEEN
Shivang Sharma, age 35 years, occupation – Lawyer, residing at 8/274 Malviya Nagar, Jaipur,
hereinafter called the VENDOR, (which expression shall unless repugnant to the context, mean
and include his heirs, executors, administrators, and assigns) of the one part.
AND
Shubham's Jain, age 38 years, occupation- Neurologist, residing at 80/394, Mansarovar, Jaipur,
hereinafter called the PURCHASER, (which expression shall unless repugnant to the context,
mean and include his heirs, executors, administrators, and assigns) of the other part.
WHEREAS, Vendor is the lawful owner of an independent house under construction situated at
82/320 Mansarovar, Jaipur and
WHEREAS, Vendor desires to sell the Property, and Purchaser desires to purchase the Property;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties
agree as follows:
Vendor agrees to sell, and Purchaser agrees to purchase, the Property on the terms and conditions
set forth in this Agreement.
The purchase price for the Property shall be Rs. 95 Lakhs (the "Purchase Price").
Purchaser has paid Vendor a token amount of Rs. 2,00,000/- (Rupees Two Lakhs Only) (the
"Token Money") on the date of this Agreement. The Token Money shall be adjusted towards the
Purchase Price at the time of closing.
Vendor agrees to complete the construction of the Property by September 30, 2024, in
accordance with the approved building plans and specifications (available for Purchaser's
inspection upon request).
Upon completion of construction and full payment of the Purchase Price, Vendor shall execute a
Sale Deed in Favor of Purchaser, transferring the ownership of the Property free from all
encumbrances.
The balance amount of the Purchase Price (Purchase Price minus Token Money) shall be paid by
Purchaser to Vendor at the time of execution of the Sale Deed.
Purchaser shall be entitled to take possession of the Property upon full payment of the Purchase
Price and execution of the Sale Deed.
The risk of loss or damage to the Property from the date of this Agreement shall be borne by
Vendor until the closing.
In case of default by either party, the other party shall have the right to terminate this Agreement
and claim damages suffered due to the default.
This Agreement constitutes the entire agreement between the parties with respect to the subject
matter hereof and supersedes all prior or contemporaneous communications, representations, or
agreements, whether oral or written.
This Agreement shall be governed by and construed in accordance with the laws of the State of
Rajasthan.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be
struck and the remaining provisions shall remain in full force and effect.
