WHEREAS Sri.M.Venkatesh, father of the Seller, acquired Six Acres Twenty Six Guntas in Sy.No. 112,
Three Acres Twenty Eight Guntas in Sy.No. 113 and Five Acres Twenty One Guntas in Sy . No. 114 in
Kothanur Village, Uttarahalli Hobli, Bangalore South Taluk, described in Schedule herein in terms of a
Partition Deed dated 21/09/1953 registered as Document No. 2327/53-54 in Book-I, Volume-1291 at Pages
161 to 176 in the Office of the Sub-Registrar, Bangalore City and in a further partition between Sri. M.
Venkatesh and his only son Sri .M.V.Äshok, the Seller above named, in terms of a Partition Deed dated
30/03/1972 registered as Document No. 5704/1971-72 in Book-I, volume-2354 at Pages 212 to 216 in the
Office of the Sub-Registrar, Gandhinagar, Bangalore, the Schedule Property was again allotted to the share
of Sri .M.Venkatesh who later expired on 10/12/2002 leaving behind him, his last Will and Testament dated
22/03/1999 bequeathing the Schedule Property in favour of the Seller and from the date of death of Sri . M.
Venkatesh, the Seller became absolute owner of the Schedule Property.
WHEREAS the Schedule Property was converted for residential purposes by the Order of the Deputy
Commissioner,Bangalore District, Bangalore, vide his Order dated 20/04/1999 bearing NO.BDIS.ALN.
SR(S)144/98-99.The Kothanur Village Panchayath has assessed Schedule s A ' Property for municipal
taxes and assigned the same as No. 2141 of Kothanur Village in the name of Seller.
WHEREAS the said Sri.M.Venkatesh during his life time had agreed to sell the Schedule Property in
favour of M/S. Brigade Constructions Pvt. Ltd., No.135, Brigade Road, Bangalore -560 025, in terms Of
an Agreement to Sell dated 22/03/1999 who secured aforesaid conversion and sanctions for Group
Housing Development and the Bangalore Development Authority issued Work Order bearing No. 1551/
2003-04 dated 15/09/2003 after executing a Tripartite Agreement with M/S. Brigade Constructions Pvt.
Ltd.,and Sri M.Venkatesh on 22/03/1999. After the death of Sri.M.Venkatesh, the Seller herein has
confirmed ratification of the said Tripartite Agreement by executing Deed of Ratification dated 04/08/
2003.
WHEREAS pursuant to the above Agreement and Work Order, the Builder formulated a scheme of
construction of Six Residential Buildings known as-GLACIER', CARINATA', MAGNIFICA’, ‘JARDINE’
‘GOLDEN MAGIC' and ‘SERENITY’ and provision for civic amenities area, club house, park and play
ground and identified the development under the common name as - BRIGADE GARDENIA' In
accordance with the plan the property earmarked for Play Ground and Park is described in Schedule herein.

WHEREAS the Seller separately conveyed in favour of M/S.Brigade Enterprises Pvt. Ltd. No.135, Brigade
Road, Bangalore - 560 025, the property described in Item No. I in Schedule S D' herein in terms of a Sale
Deed dated:16.06.2004 registered as Document No.9822/2004-05 in Book-I in the office of the sub-
registrar, Kengeri, Bangalore to exploit the same on a commercial viable basis as independent centre either
by themselves or through their associates, agents, nominees, assignees or transferees who would also
manage the same. The said Property is earmarked in the development of Schedule Property for establishing
a Club House under the name s AUGUSTA CLUB'
WHEREAS the seller separately conveyed in favour of M/s .Brigade Enterprises Pvt. Ltd., No.135,
Brigade Road, Bangalore - 560025, the Property described in Item No. 2 of the Schedule - D' herein in
terms of Sale Deed dated 09/02/2005, registered as Document No. 40943/2004-05 in Book1 and stored in
C.D.No.KEND181, in the office of the Sub Registrar, Kengeri, Bangalore and the said buyer is entitled to
exploit the same for any commercial or other purposes without any restriction and none of the owners of
the apartments in Schedule Property will have the right or authority to question such use of the said
portion.
WHEREAS the seller by a Sale Deed dated 16/06/2004, registered as Document No.9835/2004-05 in Book-
I and stored in C.D. No. KEND94, in the Office of the Sub-Registrar, Kengeri, Bangalore, gold port ion of
Schedule Property described in Schedule -E' herein in favour of M/s. Brigade Enterprises Pvt. Ltd. , Brigade
Towers, No.135, Brigade Road, Bangalore 560 025, who is constructing a residential apartment building
identified as ‘SERENITY’ The said Purchaser M/s.Brigade Enterprises Pvt. Ltd. , and persons claiming
through or under them and/or their transferees and persons using the Schedule s E' Property are entitled to
use and enjoy all the common roads in Schedule – ‘A ' Property to reach Schedule s E' Property and also to
use and enjoy all common areas and facilities including parks and open spaces and club house etc. , in
Schedule s A' Property without interference.
WHEREAS the Seller agreed to comply with various conditions stipulated in terms of Tripartite Agreement
dated 22/03/1999 entered into between Sri. M.Venkatesh, Builder and Bangalore Development Authority
and subsequently ratified by Deed of Ratification dated 04/08/2003 by Seller. The Seller has also
surrendered to Bangalore Development Authority the property described in Schedule - B ' and s c' herein
reserved for Parks and Open Spaces and civic amenities and also portions in Schedule Property for Road
widening in terms of a Relinquishment Deed dated 29/08/2003 registered as Document No. 13991/2003-04
in Book-I, in the Office of the Sub-Registrar, Kengeri. The Builder would however maintain Schedule s B'
Property with prior consent of the Bangalore Development Authority.
WHEREAS a portion of the Schedule Property measuring 3456 Sq. Feet in Sy.No .114 of Kothanur
Village, forming portion of Schedule Property was sold in favour of M/S . Bangalore Electricity Supply
Company Ltd., in terms of a Sale Deed dated 22/12/2003 registered as Document No. 27365/2003-04 in
Book-I, in the Office of the Sub Registrar, Kengeri, Bangalore, for the purpose of utilising the same for
locating Sub-Division Office/ Sect ion Office/ Cash Counter/ Service Station.

WHEREAS the Builder after excluding the Schedule ‘B’ - D' and ‘E' Properties and the areas earmarked for
Road widening and the area sold to M/S . Bangalore Electricity Supply Company Ltd. , has reserved balance
portions of Schedule Property for construction of Five Residential and other Buildings and one of the
Buildings known as s GLACIER' is being constructed in portion of the Schedule s A' Property, which portion
is described in Schedule ‘F’ herein.
WHEREAS under the Scheme propounded by Builder , persons interested in owning apartments in -
GLACIER' are required to purchase proportionate undivided share in the land in Schedule s F' Property from
the Seller and get the Apartment constructed through the Builder by entering into separate Agreement to
Build.
WHEREAS the Builder will be developing the balance portions of Schedule Property in various stages from
time to time and retain portions of the Schedule Property for any purpose and exploit the same now or later
for residential and/or commercial activities and deal with the game in any manner they deem it fit in which
none of the purchasers of apartments in Schedule - F' Property or in other buildings would have any right or
objections or concern therein.
WHEREAS the Purchaser after verification and being satisfied with the title of the Seller to Schedule
Property and also with the scheme propounded by the Builder and sanctions obtained by them was
interested in constructing and owning an Apartment described in Schedule herein in the Block n GLACIER"
and offered to purchase proportionate undivided share, right, title and interest in Schedule F' Property as
described in Schedule ‘ G’ hereunder in terms of an Agreement to Sell dated 29/01/2004 and entrusted the
construction of the Schedule - H t Apartment to the Builder in terms of an Agreement to Build dated
29/01/2004.
WHEREAS pursuant to the Purchaser's covenants to fulfil the terms and conditions, covenants and
obligations stipulated under the said Agreement to Sell and Agreement to Build referred to above, the
Purchaser has requested the Seller to execute a Deed of Sale in terms stated herein.
WHEREAS on the terms stated above the Seller has offered to sell the Property hereby conveyed for
consideration mentioned herein free from all encumbrances and the Purchaser agreed to purchase the

1. I have examined the Original/certified copies of original Title Deed in the name of Sri.E.K.
Sudhakaran & Smt.Leena Sudhakaran, the original/certified copies of previous title deeds and
original Sale agreement intended to be deposited relating to the schedule property (ies) to be
offered as security by way of Equitable Mortgage and certify that the documents of title referred to
in the Opinion are valid as evidence of Right, title and Interest and that if the said Equitable
Mortgage is created along with the original sale deed in the name of Sri Mushtaque Mohammed
Hubli and Smt.Asma Nadaf Appalal it will satisfy the requirements of creation of Equitable
Mortgage, I further certify that:
2. I have examined the original/ certified copies of Documents in detail, taking into account all the
Guidelines in the check list vide Annexure-B and the other relevant factors and undertake to re-
examine the original title deeds after completion of registration formalities and as and when
produced and
3. I confirm having made a search in the Land/ Revenue records. I also confirm having verified and
checked the records of the relevant Government Offices,/ SubRegistrar(s) Office(s), Revenue
Records, Municipal/ Panchayat Office, Land Acquisition Office, Registrar of Companies Office,
Wakf Board (wherever applicable). I do not find anything adverse which would prevent the
proposed Title Holders from creating a valid Mortgage on production of the original title deeds. I
am liable /responsible, if any loss is caused to the Bank due to negligence on my part or by my
agent in making search.
4. Following scrutiny of Land Records/ Revenue Records and relative original/ Certified copies of
Title Deeds, certified copies of such title deeds obtained from the concerned registrar office and
encumbrance certificate (EC), I hereby certify the genuineness on the basis of the original/ certified
copies of the Title Deeds in the name of Sri.E.K.Sudhakaran & Smt.Leena Sudhakaran, Suspicions/
Doubt, if any, has been clarified by making necessary enquiries.
5. There are no prior Mortgage/ Charges/ encumbrances whatsoever, as could be seen from the
Encumbrance Certificate for the period from 01.04.1993 to 05.02.2007 and further period from
01.02.2007 to 25.08.2023 pertaining to the Immovable Property/(ies)covered by above said original
/ Certified copies Title Deeds. The property is free from all Encumbrances.
