The Bylaws
Article 1: Name:
The Name of this organization shall be “Muslim Ummah of
North America.” The short title shall be MUNA.
Article 2: Jurisdiction
The jurisdiction of this organization shall be the United
States of America.
Article 3: Guiding Principles:
The guiding principles in adopting decisions and carrying
out activities of this organization shall be the Holy Quran
and the Sunnah. MUNA shall function as a non-profit
organization under the Federal and the State laws and
regulations.
Article 4: Mission Statement:
The Mission Statement (aim and objective) of this
organization shall be to seek the gratification of Allah by
taking up the tasks of improving personal, moral and
social lives of people.
Article 5: Agenda:
1. Da’wah: To call Muslims to practice the commandments of
Islam and introduce Islam to the non-Muslims.
2. Organization :To organize those individuals under this
organization, who are interested in working for the betterment
of themselves and for the society.
3. Education: To strive to improve individual’s life through
acquiring Islamic knowledge and skills.
4.Social Service:To carry out social welfare services for the
development of the society.
5. Relationship: To try to develop mutually beneficial
relationships with different organizations, religious and ethnic
communities and neighbors.

Article 6: Membership:
There shall be three types of membership in this
organization, namely:
1. Associate Member.
2. Member.
3. Senior Member.
Article 7: Associate Member:
A. Any individual, who is interested in performing the
basic responsibilities of Islam (re: article 3) can become
an Associate Member of this organization if he/she –
1. Agrees with the aim, objective and agenda of the
organization, and
2. Makes regular financial contributions.
B. Procedure to become an Associate Member:
Anyone can become an Associate Member, if
he/she expresses his/her interest by accepting
the above terms, and filling out the prescribed
form.
Article: 8: Member:
A. An Associate Member of this organization, who
1. Regularly participates in the activities of the
organization;
2. Makes regular financial contributions;
3. Follows the rules and disciplines of the organization;
4. And if the National President of the organization
considers him/her eligible to be a Member, then he/she
can be a Member following the specified procedure.
B. Procedure to become a Member:
An Associate Member, who wishes to become a
Member, shall fill out the prescribed “Membership
Application” form and send it to the National
President through the respective Chapter president or
Zonal President. Upon approval, the National
President will arrange his/her oath of membership.
From the day of the oath, he/she will be considered
as a `Member’ of the organization.

Article 9: Senior Member
(A) A Member of this organization, who
1. Agrees to the Guiding Principles, Aim and Objective,
Programs and methodology of the organization (re:
Articles 3, 4 & 5);
2. Remains active in implementing the decisions of the
organization;
3. Adheres to the basic tenets of Islam by following
mandatory, permissible and impermissible rules, and
puts his/her total efforts to shun major sins.
4. Tries to fulfill the requirements of the Bylaws and
follows discipline as mentioned therein.
5. And if he/she is considered as eligible to be a Senior
Member to the Majlish-e-Shura of this organization,
Then, he/she might become a Senior Member following
the specified procedure.
(B) Procedure to become a Senior Member
A Member, who wishes to become a Senior Member,
shall fill out an “Application Form for Senior Member”
and send it to the National President through the
respective Chapter President or Zonal President.
The National President will place the application before
the Majlish-e-Shūra and if the Majlish-e-Shūra approves
it, the National President will make arrangement for
oath taking. From the day of his/her oath, he/she will be
considered as a `Senior Member.
Article 10: Organizational Hierarchy:
The organization shall function through the following bodies:
1. National Organization
2. Zonal Organization
3. Chapter Organization
4. Subchapter Organization.
Article 11: National Organization
The National Organization shall be consisted of the
following bodies and positions:
1. National Assembly
2. National President
3. Majlish-e-Shūra
4. National Executive Committee

Article 12: National Assembly
1. The National meeting of the Senior Members of the
organization shall be known as the National
Assembly.
2. If the National President, or the Majlish-e-Shūra
deems it necessary, the National President at any
time may convene National Assembly.
3. The National Assembly shall review the overall
functions and activities of the organization and if
necessary, approves the proposal to amend the
Bylaws.
4. If any dispute arises between the National President
and the Majlish-e-Shura regarding any matter, and
one cannot accept the other’s decision, then the
issue will be forwarded to the National Assembly to
resolve.
5. Matters placed before the National Assembly shall
be decided by the majority opinions of the attended
Senior Members at the Assembly. The decision of
the National Assembly shall be considered as final.
Article 13: National President:
1. The National President shall be the Chief Executive of the
Muslim Ummah of North America.
2. The National President shall be elected for a period of two
years from among the Senior Members through direct and
secret ballots of the members and senior members.
3. Same individual cannot be elected as a National
President for more than two consecutive terms and not
more than four terms in all.
4. To elect the National President, the members of the
Majlish-e-Shūra shall nominate a three-member panel.
The voters may vote for anyone of the panel as National
President. The voters will also have the right to vote for
other senior members who are not included in the panel.
5. The National President shall take his oath of office
following his election to be conducted by the Election
Commissioner.
6. The National President shall carry out organizational
activities in consultation with the Majlish-e-Shura.
7. If the National President becomes unable to perform his
responsibilities for a period of no longer than six months,

He, in consultation with the members of the Majlish-e-
Shura shall appoint anyone from National Vice
President(s) or among the members of the Majlish-e-
Shura as the Acting National President for that period of
time.
8. If the National President becomes unable to perform his
responsibilities for a period of more than six months, or
get dismissed from the office, or the office of the National
President unexpectedly falls vacant, the Majlish-e-Shura
shall appoint anyone from National Vice President(s) or
among the members of the Majlish-e-Shura as the Acting
National President. If the remaining period is more than
one year, the Election Commission will make necessary
arrangements for the election of the National President.
Article 14:Responsibilities, Obligations and Authority of the
National President
(A) Responsibilities:
1 The National President shall have the primary
responsibility of running the organization. He
shall be accountable to the Majlish-e-Shūra and
the National Assembly for his activities.
2. The National President, in consultation with the
Majlish-e-Shūra, shall determine the policies of
the organization and take necessary decisions
on all important matters.
(B) Obligations:
1. He himself shall abide by the Bylaws of this
organization and try his best to set forth and
maintain organizational discipline accordingly.
2. He shall consider, as his main obligation, to try
his best to achieve the aim and objective of this
organization.
(C) Authority:
1. The National President, whenever feels
necessary, shall convene the meetings and
sessions of National Assembly, National
Councils, Majlish-e-Shūra and Executive Committee.

2. He shall spend and utilize financial resources of
the organization as per the decisions of the
Majlish-e-Shūra.
3. The National President shall approve
membership according to the specified process
and may suspend membership for a certain
period of time if he deems necessary.
4. The National President, whenever deems
necessary, can suspend the membership of any
Senior Member for a certain period of time in
consultation with the members of the Majlish-e-
Shūra.
5. The National President may suspend or close
down any local body in consultation with the
Majlish-e-Shūra.
Article 15: Majlish-e-Shūra
1. Majlish-e-Shūra shall be constituted to facilitate adopting
policies of the organization, taking important decisions
and providing the National President with suggestions and
cooperation (Re: Article 16).
2. The outgoing Majlish-e-Shūra shall determine the number
of seats of the next Majlish-e-Shūra and shall take into
consideration male, female and regional representation
while determining the number of seats.
3. A limited number of former National Presidents, selected
by the outgoing Majlish-e-Shura, shall become members
of the Majlish-e-Shura
4. The Chief Executives of the MUNA Youth and Young
Sisters’ of MUNA shall be included in the Majlish-e-Shura.
5. The members of the Majlish-e-Shūra shall be elected from
the Senior Members, for a two-year term by the Members
and Senior Members of the organization through direct
and secret ballots.
6. A member of the Majlish-e-Shura cannot be elected for
more than three consecutive terms, however can be
nominated.
7. Upon completion of the election of the Majlish-e-Shura,
the National President shall convene the session of the
Majlish-e-Shūra. The outgoing Majlish-e-Shūra shall be in
charge until the new Majlish-e- Shūra takes the oath of
office.

8. The members of Majlish-e-Shura shall take oath of the
office either conducted by the National President or by
any method he prescribes.
9. The National President, if necessary, may nominate
member(s) to the Majlish-e- Shūra, with the approval of
the Majlish-e-Shura. However, the number of the
nominated members should not exceed one-third of the
elected members.
10. The National President, if feels necessary, may invite one
or more individual(s) for a part or whole of the session of
Majlish-e-Shura.
11. The president shall be the ex-officio President of the
Majlish-e-Shūra.
12. The National President may convene the session of the
Majlish-e-Shura at any time.
13. The Majlish-e-Shura shall have its quorum with the
presence of half of the total Majlish-e-Shura members. If
any session of the Shura adjourned due to lack of
quorum, the adjourned session shall not require any
quorum. (Re: Article 27)
14. The National President shall convene the session of the
Majlish-e-Shura within 30 days after receiving the
requisition notice signed by one-third members of the
Majlish-e-Shura.
15. If the National President does not convene the session of
the Majlish-e-Shura within 30 days after receiving the
requisition notice, the signatories to the requisition notice
may convene the session of the Majlish-e-Shura in at
least 15 days of notice.
Article 16: Obligations and Authority of Majlish-e-Shūra
(A) Obligations:
The individual and collective obligation of each and
every member shall be --
1. To observe whether the National President and
each and every member of the Majlish-e-Shura
adhere to the principles, aim and objective
defined in the Bylaws.
2. To attend the Majlish-e- Shūra sessions
regularly and should there be any valid reason,

may seek leave of absence beforehand from
the National President.
3. To express his/her opinion in a clear
voice on every issue based on his/her knowledge,
belief and judgment.
B. Authority:
The power of the Majlish-e-Shūra shall be:
1. To interpret this Bylaws;
2. To adopt proposals for amendments to the
Bylaws;
3. To approve the annual plan and budget;
4. To review the functions and activities of all office
bearers including the National President;
5. To approve the Annual Report and the Finance
Department (Baitul Maal) Report.
6. To appoint an auditor to audit income and
expenditure of the National Finance (Baitul Maal)
and approve the audit report;
7. To constitute an Election Commission;
8. To review the no-confidence motion brought
against the National President;
9. To approve or reject the application for Senior
Membership;
10. To suspend or cancel Senior Membership, if
necessary;
11. To delegate power to the National President,
Executive Director, Executive Committee or
other committees.
Article 17: National Executive Committee
(A) Structure:
1. The National Executive Committee shall be
constituted to assist the National President
comprising one or more Vice President(s),
Executive Director and required number of
Departmental Directors.
2. The National President, with the consent of the
Majlish-e-Shūra, shall constitute the National
Executive Committee.

3. The National President, with the consent of the
Majlish-e-Shūra, may also remove any of the
members of the National Executive Committee.
(B) Responsibilities:
1. National Vice President(s), National Executive Director,
and departmental Directors shall perform their
responsibilities and duties, both individually and
collectively delegated to them by the National
President and the Majlish-e-Shūra.
2. The National Executive Director shall maintain
all records and documents of the organization and
supervise the functions of the departmental
directors.
3. If for any reason, the Majlish-e-Shūra is
suspended, the National Executive Committee
shall carry out the responsibilities of the Majlish-
e-Shūra until the new Majlish-e-Shūra is elected.
Article 18:National Councils:
A. National Advisory Council:
1. The Majlish-e-Shura, if deems necessary, may
constitute an Advisory Council for a two-year term.
The National President shall be the ex-officio
president of the Council
2. The Majlish-e-Shūra will have the right to determine
the number of members, nominate or cancel
membership to the Advisory Council.
3. The Advisory Council shall advise the National
President and the Majlish-e- Shūra regarding all
important matters pertaining to the organization and
assist in developing better relationship with various
organizations and bodies.
B. National Executive Council:
1. The Majlish-e-Shura may constitute ‘National
Executive Council’ in order to provide National
President with suggestions and cooperation in
emergency and in regular basis. The Council shall be
accountable to the Majlish-e-Shura for its role and
activities.

Article 19: Zonal Organization:
1. The Majlish-e-Shura shall divide the areas of activities of the
organization into required number of zones; determine their
structures, principles and scopes of activities.
2. The National President shall appoint the Zonal President(s) in
consultation either with the members and senior members of
the respective zone or with the members of the Majlish-e-
Shura.
3. The Zonal presidents shall perform the responsibilities
delegated by the National Organization and the National
President.
4. The Zonal presidents shall take necessary measures to
expand and develop the activities, and strengthen the
organization in the light of national plan.
5. The Zonal Presidents shall be accountable to the National
President and the Majlish-e-Shura for all activities of their
respective zones.
Article 20: Chapter Organization
1. Chapter organization can be formed in any area, city
or state, at the recommendation of the respective
zone, if there; more than one Associate Members,
Members or Senior Members are available. The
National President shall approve the chapter after
determining the area and name for it.
2. The National President, after evaluating the opinions
of the Members and Senior Members of that chapter
shall appoint the Chapter President for a period of two
years or for a period ascertained by the Majlish-e-
Shura where the chapter has at least five Members
and Senior Members.
3. The National President, after evaluating opinions of
the Senior Members, Members and Associate
Members of that chapter shall appoint the chapter
president for a period of two years or for a period
ascertained by the Majlish-e-Shūra, where the
chapter has less than five Members and Senior
Members.
4. The Chapter President, following his appointment,
shall take oath of office conducted by the National
President or in a manner directed by him.

5. The Chapter President during his tenure may appoint
and remove the office bearers of the chapter
executive committee as advised by the Members and
Senior Members of the chapter and approved by the
respective higher office bearer.
6. The chapter organization shall regularly submit all
reports relating to income and expenses and their
activities to the upper level organizations and shall be
accountable to the Zonal and National Organization.
7. The chapter organization shall carry out their activities
by preparing plans for chapters and sub-chapters in view
of the national plan.
Article 21: Sub-Chapter Organization
1. The chapter president whenever feels it necessary,
may divide the chapter in a number of sub-chapters
in consultation with the Senior Members and Members
meeting of that chapter, and can appoint and remove
the sub-chapter president.
2. The sub-chapter presidents shall submit their financial
reports to the chapter president on a regular basis.
3. Chapter organization shall prepare or approve
working plans for sub-chapters and directly supervise
them.
Article 22: Finance (Baitul Maal)
1. Finance Department or Baitul Maal shall be established at
every level of organization.
2. Lower level of Organization shall make regular payments of
fixed amount of money to the upper level of organization.
3. The Sources of income to the Finance Department ( Baitul
Maal) shall be such as the following: Regular contributions of
the associate members, members, senior members and well-
wishers of the organization and donation of various
departments of the organization.
4. The chapters can spend money for organizational purposes
from their own Baitul Maal and shall be liable to submit
financial reports to the National President.
5. The National President shall be accountable to the Majlish-e-
Shura and National Assembly for income and expenses of the
Baitul Maal.

6. The National President in consultation with the Majlish-e-
Shura, shall make arrangements to conduct audit of the
income and expenses of the chapters.
Article 23: Election Commission:
1. An Election Commission shall be constituted by the
Majlish-e-Shūra comprising a Chief Election
Commissioner and one or more Assistant Election
Commissioner(s) for conducting the elections of the
National President and the Majlish-e-Shūra.
2. New Election Commission shall be constituted for
conducting elections of the National President and the
Majlish-e-Shūra for each term and the commission
shall continue to perform its duties relating to all
elections until the next Election Commission is
formed.
3. The Chief Election Commissioner and the Assistant
Election Commissioner(s) shall take their oath of
office to be conducted by the National President or in
a manner directed by him.
Article 24: Matters to take into consideration in all Appointments,
Elections, Votes and nominations:
1. In electing or appointing a person to any responsible
position of the organization, special importance shall
be given to his/her skills such as, knowledge of Islam,
God-fearing, reliability, impartiality, ability to maintain
temperamental balance, organizational wisdom and
quality to maintain discipline.
2. Islamic tenets and rules as well as Islamic heritage
shall be followed in electing or appointing to any
responsible position.
3. A person may be considered disqualified to any
position if he/she aspires to be in that position and
directly or indirectly solicit to get elected or appointed
for that position.
4. Making campaign in favor or against of anyone shall
be deemed as act of breaching organizational
discipline.
5. No one shall vote for himself/herself and no one can
campaign for himself/herself.

6. Person with the highest number of votes in any
election shall be declared as elected.
Article 25: Dismissal, Cancellation and Resignation
A. Dismissal
1. The National President, if deliberately violates
any basic tenet of Islam, or if it appears that his
activities might cause harm to the organization,
or if he loses eligibility as a Senior Member, or if
he loses confidence of the majority members of
the Majlish-e-Shura, he could be removed from
his office by the Majlish-e-Shura in accordance
to the following sub-section of Article 25(A)(2).
2. The National President shall convene a session
of the Majlish-e-Shūra within one month after
receiving a written no confidence motion
against him signed by one-thirds of the
members of the Shūra for reviewing the motion.
If two-third of the member of the Majlish-e-
Shūra vote in favor of the motion and the
National President accepts the decision, the
office of the National President shall
immediately be vacant. However, if the National
President could not accept the decision, the
matter shall be placed before the Senior
Members or the National assembly to settle the
matter within a period of three months.
3. If the National President remains intact in his
office with the support from the Senior
Members or by the National Assembly, the
Majlish-e-Shura shall be dissolved and the new
Majlish-e-Shura shall have to be elected within
a period of three months. If the no confidence
motion against the National President is
accepted, the office of the National President
shall be vacant immediately.
4. A member of the Majlish-e-Shūra shall be
dismissed, if he/she loses his/her Senior
Membership of the organization, or if he/she
fails to take oath within a period of three months
after his/her election or nomination, or fails to
attend three consecutive sessions of the

Majlish-e-Shūra without any valid reason, or
resigns from the post of the Member of the
Majlish-e-Shura and the National President
accepts it, or if two-thirds of the members of the
Majlish-e-Shūra agree that he/she was involved
in acts contrary to the principles of the
organization or violated organizational discipline
(fiduciary duty).
5. If a Chapter or Zone President fails to perform
his/her responsibilities, or loses confidence of
the majority of Members and Senior Members
of the concerned area, or loses the confidence
of the National President or loses confidence of
the Majlish-e-Shūra, the National President may
remove him/her in consultation with the
members of the Majlish-e-Shūra.
B. Cancellation:
1. If a Senior Member or Member: -
(1) Violates terms and conditions of a Senior
Member or a Member, partially or entirely, orally
or by actions; or
(2) Violates his oath; or
(3) Shows disregard to the organization; or
(4) Involves in activities against the discipline
of the organization; or
(5) Involves in activities that cause harm to
the honor of the organization; or
(6) Pays no heed to the activities of the
organization even after attempts to correct
him/her; or
(7) Loses confidence of the chapter President,
Zonal President or the National President.
The National President, in consultation with
the members of the Majlish-e-Shura, may
suspend his Senior Membership for a certain
period of time and later can cancel his Senior
Membership with the approval of the Majlish-e-
Shura. The National President may also
suspend the Membership of a Member for a

certain period of time and can cancel
Membership in consultation with the Majlish-e-
Shura.
C. Resignation:
1. If the National President wishes to resign from
his office, he shall place his letter of resignation
before the Majlish-e-Shūra. If the Majlish -e-
Shūra accepts his resignation, the office of the
National President will be vacant. (Refer to
Article 13(8).)
2. If a member of the Majlish-e-Shūra wants to
resign, he/she shall submit a letter of
resignation directly to the National President
and the National President in consultation with
the Majlish-e-Shura shall take the decision in
this regard.
3. If a Senior Member or a Member wishes to
resign from his/her Membership, he/she shall
send his/her letter of resignation to the National
President through Chapter or Zonal President.
His/her membership shall be suspended
immediately on receipt of the letter of resignation
by the National President and membership shall
be cancelled if the resignation letter is not
withdrawn within a period of two months.
Article 26: Amendment to the Bylaws:
1. The National President or any member of the
Majlish-e-Shūra may submit written proposal
before the Majlish-e-Shūra. Any other member
may send written amendment proposal to the
National President.
2. The amendment proposal shall be included as
an agenda for discussion at the Majlish-e-Shura
session, if one-thirds of the members present at
the session agree that the proposal qualifies for
a discussion.
3. The amendment proposal shall be considered as
accepted only if a two-thirds majority of the
members in the Majlish-e-Shūra vote in favor of
it.

4. Once accepted by the Majlish-e-Shura, the
amendment proposal shall be placed before the
National Assembly or sent to the Senior
Members for approval and the proposal shall be
considered as passed if voted in favor by the
majority of the Senior Members.
Article 27: Quorum:
Unless specified otherwise, a Quorum has been reached
when more than 50% of the respected members are
present for a meeting.
(a) If a regularly scheduled Majlish-e-Shura meeting is
adjourned due to lack of quorum, the adjourned
session shall not require any quorum. However, the
adjourned session can’t be held within 21 days.
(b) If an adjourned session of the Shura meets with less
than 50% of its members, it can’t approve proposals
for amendments of the by-laws,
suspend/revoke/approve membership of any levels,
or make any decisions that changes the nature of the
organization.
(c) If a regularly scheduled National Assembly session
is adjourned due to lack of Quorum, the adjourned
session can’t be held within 21 days.
(d) If an adjourned session of the National Assembly
meets with less than 50% of its members, it can’t
approve proposals for amendments of the by-laws,
suspend/revoke/approve membership of any levels,
or make any decisions that changes the nature of the
organization.
Article 28: Session:
1. The session of the Muslim Ummah of North America
shall commence on the first day of January. An elected
president may begin to perform his responsibility
after taking his oath of office before or after the first
day of January as determined by the Majlish-e-Shūra.
Article 29: Disposition:
1. The properties of the Muslim Ummah of North America,
Inc. shall be handed over to another non-profit Islamic

Organization or Center, registered under the Federal
and State laws, with the approval of the Majlish-e-
Shūra, in accordance with the following sections.
2. If, at any time dissolution of the organization is required,
as a first step, such proposal shall primarily need to be
passed by three-fourths majority votes of the Majlis-e-
Shūra.
3. Once approved by the Majlish-e-Shūra, the proposal
shall have to be approved finally by the three-fourths
majority of the Senior Members or the National
Assembly.

Allāh, the Lord of the Universe, being my witness, swear an oath as a
Member the Muslim Ummah of North America, that –
Ø There is no God, but Allah and Muhammad (PBUH) is the
Messenger of Allah.
Ø I shall perform the basic responsibilities of Islam and shall
try to abide by the rules of permissible and forbidden;
Ø I fully agree with the principle, aim and objectives,
programs and methodology of the Muslim Ummah of
North America;
Ø I shall follow the Bylaws of the Muslim Ummah of North
America and maintain the discipline of the organization;
Ø I shall try to be active in the organizational activities
including Daw’ah.

Special Appendix
Muslim Ummah of North America (MUNA)
v Muslim Ummah of North America (MUNA) was established as
‘The Muslim Ummah in America’ on July 21 in 1990. However,
the new constitution came into effect in October, 1992. The
name “The Muslim Ummah in America” was replaced by
“Muslim Ummah of North America” (MUNA) and made
effective on May 25 in 2002 following properly approved
amendment to the constitution.
v In July 1993 amendment proposal was placed before the
Central Majlish-e-Shura for the first time and on November 14
in 1993 the amendment was finally approved and made
effective.
v The second amendment proposal to the constitution was
approved at the regular session of the Central Majlish-e-Shura
held on March 30-31 in 2002. After final approval following
constitutional procedure, it was made effective on May 25,
2002.
v The third amendment proposal to the constitution was
approved at the regular session of the Central Majlish-e-Shura
held on June 22-23 in 2002. After final approval following
constitutional procedure, it was made effective on August 24,
2002.
v The Fourth amendment proposal to the constitution was
approved at the regular session of the Central Majlish-e-Shura
held on May 30, 2005, which came into effect after final
approval following constitutional procedure at the Central
Majlish-e-Shura session held on February 5, 2006.
v The Fifth Amendment proposal to the constitution was
approved at the special session of the Central Majlish-e-Shura
held on November 17, 2012. After final approval following
constitutional procedure, it was made effective on June 7th
2014.
