The CONTRACTOR shall also comply with all the laws, rules and regulations promulgated by the government of the Republic of the Philippines or any of its branches, subdivisions and instrumentalities applicable to the PROJECT and shall be personally responsible for any violation of the same, and holds the ENTITY, its officers, agents, and employees free and harmless thereof. 2 fnge3.05 3.06 3.07 3.08 4.01 5.01 6.01 6.02 \ . ‘The CONTRACTOR shall hold the ENTITY, its officers, agent and employees, free and harmless against any claim and losses, damages or inquiries of whatever kind or nature that may be filed or claimed against the ENTITY by any third person, firm or entity arising out of or in connection with, the construction undertaken by the CONTRACTOR under this CONTRACT or due to the neglect of the CONTRACTOR, its agent, servants, and employees. The CONTRACTOR shall, at all times, observe cleanliness and sanitation at the jobsite during the CONTRACT PERIOD. The CONTRACTOR shall keep the premises free from accumulation of waste materials/rubbish. After the completion of construction, but before acceptance of the work and final settlement had been made between the PARTIES, the CONTRACTOR shall remove all surplus materials, apparatus, machinery tools and equipment not part of the work, furnished or supplied by it and shall remove all debris and leave the PROJECT free and clean of all the obstructions and hindrances. All provisions, with respect to the warranties contained herein, are cumulative and not alternative and are in addition to such warranties as may be provided by law or contained in the other provisions of this CONTRACT. ARTICLE IV RIGHTS AND RESPONSIBILITIES OF THE ENTITY Notwithstanding provisions to the contrary, the ENTITY shall exercise reasonable supervision and shall have the right to inspect the PROJECT at any time without notice. This right to inspection shall be “at will” and cannot be restricted by the CONTRACTOR. Errors, defects or other deviations from the plans, specifications and Program of Work, shall be remedied at the sole cost of the CONTRACTOR. ARTICLE V CONTRACTOR'S PERFORMANCE BONDS This CONTRACT shall not be executed without the required Performance Bond. ARTICLE VI CONTRACT PRICE AND MODE OF PAYMENT The ENTITY shall pay the CONTRACTOR, in consideration of the satisfactory completion of the PROJECT within the time for completion and the remedying the defects therein and the assumption of additional obligations and liabilities contained in this CONTRACT, the Contract Price of NINE HUNDRED NINETY- NINE THOUSAND NINE HUNDRED FORTY PESOS & 94/100 (Php 999,940.94) in the manner prescribed in succeeding sections. The ENTITY, in its interest to have the PROJECT started and completed on time as allowed by applicable laws and guidelines, agrees to give the CONTRACTOR a 15% mobilization fund, upon completion of the documentary requirements to effect the release of the same 3 page6.03 6.04 6.05 7.01 8.01 8.02 So @ The balance shall be paid based on the progress billing as submitted by the CONTRACTOR. Progress payments will be made at the CONTRACTOR'S request based on the percentage of work accomplished during the covered period. However, in accordance with Article VII hereof, TEN (10%) percent of each monthly progress payment shall be retained by the ENTITY. The CONTRACTOR shall submit each billing, based on actual accomplishments to the ENTITY. Payment for works billed shall not be construed as an admission by the ENTITY that the CONTRACTOR has. satisfactorily performed or is. satisfactorily performing the works in accordance with the plans, specifications and general conditions and bid documents, or that the work is free from defects of any kind, hidden or otherwise, or that the CONTRACTOR is not violating or has complied with the provisions, terms and conditions of this CONTRACT or any of the CONTRACTOR’s obligations hereunder. ARTICLE VII RETENTION, Final Payment of the Ten Percent (10%) retention shall be made after the actual turn over and acceptance of the PROJECT and after the issuance of a Guarantee Bond or its equivalent in favor of the ENTITY. The Guarantee Bond, equivalent to Ten Percent (10%) of the Contract Price, shall be obtained by the CONTRACTOR at its own expense in place of the Ten Percent (10%) retention, to guarantee the work done against any defects for a period of one (1) year from date of final acceptance. ‘The CONTRACTOR may opt not to obtain a Guarantee Bond, provided thatitshall only bill the ten Percent (10) % retention after the lapse of one (1) year from date of actual turn over and acceptance of the PROJECT. ARTICLE VI CONTRACTOR'S GUARANTEE OF WORK The CONTRACTOR further agrees to guarantee its work against qualitative defects, poor workmanship, and the like for the period of one (1) year reckoned from the date of final acceptance of the PROJECT, during which time, in cases of said defects, failure and poor workmanship of any part of the PROJECT due to normal use, the CONTRACTOR shall make good such defects and/or failure at no expenses to the ENTITY. If the CONTRACTOR fails to correct or repair the defects within ten (10) days from the receipt of written notice thereof from the ENTITY, the ENTITY may have the work or repairs done by another party at the expense of the CONTRACTOR, or alternatively, deduct the expenses from the retention amount and /or confiscate the guarantee bond referred to in Article 7.01.9.01 9.02 9.03 9.04 10.01 10.02 10.03 Se . ARTICLE IX CONTRACT TIME, COMPLETION DATE, EXTENSIONS & LIQUIDATED DAMAGES, This CONTRACT shall take effect immediately upon execution of the PARTIES. Works shall be completed in accordance with the agreed work program of Thirty Two (32) Calendar Days; 9.01.01 Project day one (1) shall be the date based on the provisions of Article 1.04, Extension or extensions of time in the completion of the PROJECT shall be authorized or granted by the ENTITY in writing, upon a written request of CONTRACTOR, for any of the following causes or reasons, to wil; 9.02.01 Force Majeure or unforeseen or unforeseeable events and circumstances; and/or 9.02.02 Causes or events, which are beyond the control, and without the fault or negligence of the CONTRACTOR In case the CONTRACTOR encounters any justifiable cause or reasons for delay, the CONTRACTOR shall within ten (10) days after encountering such cause of delay submit to the ENTITY in writing a request for the time extension, Failure by the CONTRACTOR to comply with this requirement will be adequate reason for the ENTITY not to grant the time extension. Should the CONTRACTOR fail to complete the PROJECT within the CONTRACT. PERIOD herein stipulated or within the period of extension granted by the ENTITY, the GENERAL CONTRACTOR agrees-—- 904,01 To pay the ENTITY, the amount equivalent to one tenth of one percent (1/10 of 1%) of the CONTRACT AMOUNT per calendar day of delay until completed, which the ENTITY may deduct from any payments due to the CONTRACTOR. 9.04.02 The liability of the CONTRACTOR to pay damages due to delays shall not relieve it of the obligations to complete and finish the construction. ARTICLE X MISCELLANEOUS Any payment or failure of the ENTITY to enforce its right and privileges under this, CONTRACT shall not be construed as a waiver or renunciation of such rights and privileges. ‘This CONTRACT may be executed in any number of counterparts which shall together constitute one agreement.
