NOW THIS AGREEMENT TO SELL WITNESSETH AS UNDER:-

And the balance of Rs.75,60,000/- (Rupees Seventy Five Lakh and Sixty Thousand
Only)will be paid by the SECOND PARTY to the FIRST PARTY within period of 3
(three) months from the date of signing of this Agreement toSell and Purchase. That the
first party shall hand over the vacant and peaceful possession of the above mentioned
property under sale to the second party within stipulated period and the first party shall
execute the proper registered Sale Deed in respect of the above mentioned property
under sale in favour of the second party or their nominee, within stipulated period before
the Sub-Registrar, New Delhi.

That in case, if the first party do not perform her/his/their part of contract within the
stipulated period then the second party shall be entitled to get it registered a proper sale
deed of the above mentioned property under sale completed in his/her/their own names,
or in favour of her/his/their nominee/s through the court of law under the suit for specific
performance at the costs, expenses and damages, of the first party or the first party will
pay the double amount of the earnest money to the second party as fixed damages on
the sole option of the Second Party.

That in case, if the second party do not perform his/her/their part of contract within the
stipulated period then the first party shall be entitled to recover the balance
consideration amount under the suit for specific performance from the second party
through the court of law or the earnest money of the Second party will be forfeited on
the sole option of the first party.

The Ist party hereby assure the second party that the above mentioned property under
sale is free from all sorts of encumbrances, burden, decree, sale, mortgage, gift, lien,
liability, injunction orders, legal flaws, litigation, attachment or transfer etc. and there is
no legal defect in the title of the Ist Party, if proved otherwise of if the second party is
deprived of the said property under sale or part thereof, owing to the above reasons, the
Ist party shall be liable and to indemnify the second party in full or part to the extent of
loss sustained by the second party with costs and damages, etc.
