COMMERCIAL TERMS & CONDITIONS
Price Basis:
Basic Price is Ex-Works. Freight Charges for dispatch by Road Nil. Please refer to our Financial Bid
for the same. Basic Price quoted is not firm but based on PV Clause as per PV Clause attached and
as stated below as per tender
Price Variation Clause:
The basic price of the battery quoted is based on M/s, HZL’s price of purity 99.99% of Lead of
Rs. 2, 07,300/- per MT (exclusive of all statutory duties & taxes) and also considering all discounts
offered by M/s, HZL (Ex-Chanderiya Smelter) in its price circular.
The basic price will subject to variation for every increase or decrease of Rs. 100/-(exclusive of all
statutory duties & taxes) on the above M/s, HZL’s price or part there of the price of the battery
quoted will be subject to an increase or decrease of Rs.32.40/-per battery set (exclusive of statutory
duties & taxes).
In the event of variation in M/s, HZL lead price as declared by HZL (Ex-Chanderiya Smelter) in its
price circular (exclusive of all statutory levies, duties, taxes and discounts if any)adjustments in
contract price upward /downward will be regulated with reference to the date of inspection call
offer. The basic price of M/S HZL lead(Ex Chanderia smelter)in its price circular (exclusive of all
statutory levies, duties, taxes and discounts if any )prevalent one month (i.e., 30 days) prior to the
date of Inspection Call for offering the batteries for inspection will be considered for computing the
PVC.
Further, for the purpose of aforesaid PVC, the basic price of Lead Ex. Chanderiya Smelter shall be
taken into account without referring to any discount mentioned in the HZL circular.
Rate of GST considered against this Tender is 28% and rate as applicable at the time and point of
dispatch will be considered. S.V.C.: Statuary variation clause due to change in Govt. Duties and
Levies at the time of supply will be applicable & will be to Purchaser’s account.

Payment Terms: 100% of the Invoiced Value including PVC against Receipt Note & IC Copy. For other
state Consignments, MCF Should clearly mention the GSTIN Number in the PO for sold to and ship to
party along with Address for which GST billing will be done.

Fall Clause: Not acceptable as it has already been deleted in IRS Conditions of
Contract.
Force Majeure: Force Majeure clause will be applicable for the situation beyond our control.
GST: We hereby declare that in quoting the above price we have taken in account the all set off/
Input Tax credit on account of GST credit on inputs wherever applicable. We also hereby declare
that we agree to pass on such additional set off/input tax credit as may become available in future
under the GST scheme in respect of all the inputs used in the manufacture of the final product on
the date of the supply, by way of reduction in price and advise the purchaser accordingly.
