CESSION AGREEMENT

This Cession Agreement is made and entered into by and between:

 Cedent: ___________________________________

 Cessionary: __________________________________

of ___________________________________________ (address)

WHEREAS:

A. The Cedent is the lawful holder of all rights, title, and interest in and to the immovable
property described as:

B. The Cedent has agreed to cede and transfer to the Cessionary all their rights, title, and
interest in and to the said property on the terms and conditions set out herein.

NOW THEREFORE, IT IS AGREED AS FOLLOWS:

1. CESSION
1. 1.1 The Cedent hereby cedes, transfers, and assigns to the Cessionary all of their rights,
title, and interest in and to the property described above, with effect from the date of
signature of this Agreement.
2. 1.2 The Cessionary hereby accepts the cession on the terms and conditions contained
herein.

2. PURCHASE PRICE
3. 2.1 The purchase price payable for the cession of the property shall be the sum of USD
__________ (United States Dollars ________________).
4. 2.2 The Cessionary shall pay the purchase price as follows:
- A deposit of USD __________ upon signature of this Agreement;
- The balance of USD __________ upon registration of the cession or as otherwise agreed
by the parties.

3. WARRANTIES AND REPRESENTATIONS


5. 3.1 The Cedent warrants that:
- They are the lawful holder of all rights, title, and interest in the property;
- The property is free from any encumbrances, liens, or third-party claims, unless
disclosed otherwise;
- They have the full legal capacity to enter into and perform this Agreement.
6. 3.2 The Cessionary acknowledges that they have inspected the property and accept it in
its present condition ("voetstoots"), subject to any latent or patent defects disclosed.

4. DELIVERY AND POSSESSION


7. 4.1 Possession and occupation of the property shall be given to the Cessionary on
__________ (date) against payment of the full purchase price, unless otherwise agreed in
writing.
8. 4.2 All risk in and to the property shall pass to the Cessionary upon the date of
possession.

5. COSTS
9. 5.1 All costs associated with the cession, including but not limited to legal fees, stamp
duty (if applicable), and administrative charges payable to the Local Authority (e.g.,
Bulawayo City Council), shall be borne by the Cessionary unless otherwise agreed.

6. BREACH
10. 6.1 In the event that either party breaches any material term of this Agreement and fails
to remedy such breach within 14 (fourteen) days of receiving written notice from the
aggrieved party, the aggrieved party shall be entitled to:
- Enforce specific performance; and/or
- Cancel this Agreement and claim damages.

7. NON-VARIATION
11. 7.1 No amendment or variation of this Agreement shall be valid unless reduced to
writing and signed by both parties.

9. DOMICILIUM CITANDI ET EXECUTANDI


13. 9.1 The parties choose as their domicilium citandi et executandi (addresses for service
of legal notices) the addresses set out at the beginning of this Agreement.
14. 9.2 Any change of address shall be communicated to the other party in writing and shall
only be effective seven (7) days after receipt of such notice.
10. GOVERNING LAW
15. 10.1 This Agreement shall be governed and construed in accordance with the laws of
Zimbabwe.
