SUBJECT: LEGAL NOTICE UNDER SECTION 138 OF THE NEGOTIABLE INSTRUMENTS ACT, 1881 FOR
DISHONOUR OF CHEQUE NO. 000123 DATED JUNE 25, 2025 FOR ₹30,00,000/-

Dear Mr. Akshit Verma,

Under instructions from and on behalf of my client, Mr. Ramesh Kumar, Proprietor of Ramesh & Co., having his
office at 24-A, Lawrence Road Industrial Area, New Delhi – 110035 (hereinafter referred to as "my Client"), I
hereby issue you the following legal notice in compliance with the provisions of Section 138 of the Negotiable
Instruments Act, 1881.¹

1. That my Client is engaged in the business of supplying vending and commercial machines across Delhi-NCR and
other regions in India. You had placed a confirmed purchase order for such machines, and goods were duly supplied
as per the agreed terms.

2. That towards discharge of your admitted liability of ₹30,00,000/- (Rupees Thirty Lakhs Only) for the machines so
delivered, you issued Cheque No. 000123 dated June 25, 2025, drawn on Punjab National Bank, Rohini Branch,
New Delhi, from your account bearing number ending in 7890.

3. That the aforesaid cheque was presented by my Client for encashment through his banker, Axis Bank Ltd.,
Lawrence Road Branch, New Delhi, on June 30, 2025, within the period of its validity.

4. That, however, the said cheque was returned unpaid with the endorsement "Funds Insufficient" on July 2, 2025,
vide Bank Memo No. PNB/RTN/2025/118, thereby amounting to dishonour of the instrument.
5. That dishonour of the cheque in question, for insufficiency of funds, attracts penal consequences under Section
138 of the Negotiable Instruments Act, 1881, which makes such default a criminal offence.²

6. That following the dishonour, my Client also attempted to contact you on multiple occasions to amicably resolve
the matter and obtain payment, but you have failed to respond or to tender payment despite such repeated efforts.

7. That the statutory period of 30 days from the date of receipt of bank intimation for issuing this notice has not yet
expired, and this notice is being issued in strict compliance with the timeline prescribed under Section 138(b).³

Therefore, through this notice, you are hereby called upon to pay the amount of ₹30,00,000/- to my Client within 15
days of receipt of this notice, failing which my Client shall be constrained to initiate criminal proceedings against
you under Section 138 read with Sections 142 and 143 of the Negotiable Instruments Act, 1881 before the
appropriate Magistrate, at your cost, risk, and peril.⁴

This notice is issued without prejudice to my Client’s rights to initiate civil recovery action or to seek interest and
litigation costs arising from your default.

You are advised to treat this matter with urgency and seriousness to avoid prosecution under the applicable law.

A copy of this notice is retained in my office for record and future proceedings.
