Ownership of Sri Manoj Kumar Das, Smt. Madhavi Saha and Manashi Modak:
WHEREAS by an Indenture of sale Deed dated 27th day of July, 1970, RAM TAHOL
CHAMAR, son of Late Ghate Chamar, being the then owner sold, transferred, conveyed a
piece or parcel of land admeasuring an area of 3 cottah 0 chittak 18 Sft. to Sri Madan Chandra
Das, son of Late Ramlal Das (now deceased) by virtue of a registered sale Deed being Deed
no 5258 for the year 1970, which was registered before the S.R. office at Barrackpore,
situated under Mouza- Khardah, J.L. no. 2, Re. Su. no. 18, Touzi no 145, 218, 2998, R.S.
Khatian no. 561, R.S. Dag no 3161, (land measuring 0157 Acre) and R.S. Khatian no. 1409, R.
S. Dag no 3160, as per English measurement land measuring 05 Acre. within the limits of
Titagarh Municipality and after purchasing the said land, Madan Chandra Das duly mutated
his name in the records of Titagarh Municipality and erect kuchha and Pucca house thereon
and paid rent and taxes regularly before the concern B.L.& L.R.O. and Titagarh Municipality
thereof.
AND WHEREAS said Madan Chandra Das during his peaceful possession and enjoyment of
the above said property died intestate on 30/12/2000 leaving behind him surviving his wife
Smt. Manju Das, one son Manoj Kumar Das and two daughters Madhabi Saha (Das) and
Manashi Modak (Das) as his only legal heirs to inherit his aforesaid and schedule mentioned
property.
AND WHEREAS thereafter said legal heirs of Madan Chandra Das, i.e., Smt. Manju Das, one
son Manoj Kumar Das and two daughters Madhabi Saha (Das) and Manashi Modak (Das)
became the joint owners of the aforesaid total property admeasuring an area of 3 cottah 0
chittak 18 Sft. of land with kutcha and pucca structure thereon, situated at Mouza- Khardah, J.
L. no. 2, Re. Su. no. 18, Touzi no 145, 218, 2998, R.S. Khatian no. 561, R.S. Dag no 3161, (land
measuring 0157 Acre) and R.S. Khatian no. 1409, R.S. Dag no 3160, (land measuring 0343

Acre) as per English measurement land measuring 05 Acre. within the limits of Titagarh
Municipality, being Holding No. 31. Natun Pally, P.O. Titagarh, P.S. Khardah, Dist. North 24-
Parganas, Kolkata-700119 and in which each of having undivided 1/4th share of the same and
thereafter all the landowners duly mutated their names in the records of Titagarh Municipality
and they have been in peaceful possession of the total property under ward no- 17 of Titagarh
Municipality having valid, clear right and marketable title of the same.
AND WHEREAS while thus seized and possessed the above said property the Landowner
herein desire to construct a multi-storied building consisting several Flats and Shop Rooms
Garage over the aforesaid land, which is more fully and particularly described in the Schedule
A below after demolishing the existing structure and for the said purpose of construction of a
Multi storied building the aforesaid Owner searching for a reputed Promoter/Developer who
would construct multi-storied building on the said land under certain terms and conditions
inter alia at its own costs and expenses after obtaining necessary sanction plan from the
competent authority and the very intention of the Owner to allow them to construct the said
proposed multi-storied building on their property.
AND WHEREAS the Land Owner have shown their intention to the present Developer herein i.
e. GANAPATI ENTERPRISE for developing the said property by way of constructing a multi-
storied building and the Developers herein accepted the same and expressed their eagerness
to take charge of such proposal of construction over the said property.
AND WHEREAS the land owner have agreed to authorize the aforesaid Developer, namely,
GANAPATI ENTERPRISE, to construct a Multi-storied Building over the said property
according to the Building Plan to be approved by the Titagarh Municipality as specification
with floors, plans, elevation, sections made in compliance with the statutory requirements in
the said property at the cost of the Developer and accordingly the Land Owners entered into a
Development agreement with Developer GANAPATI ENTERPRISE for developing the
aforesaid plot by constructing a Multi-storied building over the said land, admeasuring 05
decimals equivalent to land measuring 3 (three) Cottahs 0 (Zero) Chhittaks, 18(Eighteen) Sqft,
a little more or less, alongwith 100 sft. R.T. Shed covered area situated within the limits of
Titagarh Municipality, being Holding No. 43, Natun Pally, P.O. Titagarh, P.S. Khardah, Dist.
North 24-Parganas, Kolkata-700119 vide Development Agreement being No. I-1524 10234
for the year 2022, which was duly registered at A.D.S.R. Office at Sodepur and recorded there
in Book No. 1, Volume No. 1524-2022, Pages from 332073 to 332112 and they also
executed a Development Power of Attorney vide Development Power of Attorney being No. 1-
1524 10356 for the year 2022, registered at A.D.B.R. Office at Sodepur and recorded there in
Book No. 1, Volume No. 1524-2022, Pages from 332656 to 332681 in favour GANAPATI
ENTERPRISE to that effect.
AND WHEREAS in terms of the said Development Agreement executed in between Land
owner and Developer, the Developer/ Second Party herein duly submitted a Building Plan
before the Titagarh Municipality at their own cost and expenses and obtained a sanctioned
Plan of (0+4) storied building from the Titagarh Municipality.
AND WHEREAS after the executing of the Development Agreement with the landowners and
thereafter getting the sanctioned building plan from the Titagarh Municipality started
construction of the building over the schedule property by the fund of the Developer

AND WHEREAS during the period of construction of the multi-storied building said land
owner Smt. Anju Das suddenly died on 24/03/2025 leaving behind him surviving her son Sri
Manoj Kumar Das, and two married daughter Smt. Madhavi Saha, and Manashi Modak as her
only legal heirs to inherit her undivided 1/4th share of the total property.
AND WHEREAS thereafter on due negotiation with the present landowners and to regularize
the process of Construction of Building, execution of the Sale Agreement, and registration of
the Agreement and Deed of Conveyance it was necessary to execute one new Development
Agreement and considering the same the landowner on the area of land they inherited from
the ownership of their mother. Therefore they, have agreed to execute a Development
Agreement with the Developer namely, GANAPATI ENTERPRISE, a Partnership Firm for the
purpose of continuation of the Development of Multi-storied Building over their property
according to the Building Plan approved by the Titagarh Municipality at the cost of the
Developer considering the previous terms and conditions and landowner Allocation
mentioned in the said previous Registered Development Agreement and the details of the
terms and conditions stipulated herein under. There for the said land owners and developers
had executed a Development Agreement vide Development Agreement being No. I-1524
02521 for the year 2025, which was duly registered at A.D.S.R. Office at Sodepur and
recorded there in Book No. 1, Volume No. 1524-2025, Pages from 73921 to 73953 and they
also executed a Development Power of Attorney vide Development Power of Attorney being
No. 1-1524 02524 for the year 2025, registered at A.D.B.R. Office at Sodepur and recorded
there in Book No. 1, Volume No. 1524-2025, Pages from 73902 to 73920 in favour
GANAPATI ENTERPRISE to that effect.
AND WHERAS as per the said Development Agreements In consideration of the Owner's
permission and/or allowing the Developer herein to develop the said premises by
amalgamating the adjacent plot of land if required and availability of the same and to
construct a Multi Storied Building thereon in the manner and in terms of conditions of this
agreement and according to Plan to be sanctioned by the Titagarh Municipality and further
allowing and empowering the Developer to enter into agreement for sale and receive earnest
money and full consideration moneys from the intending buyers and upon receiving full
consideration to sell and transfer the flats of the said proposed Building from the Developer
Allocation to be constructed over the below schedule property together with proportionate
share of land to the intending purchaser/s. That, the Owners will get their share of the
Proposed Multi-storied Building to be sanctioned by the Titagarh Municipality in respect of
proportionate share of the schedule property only of the Owners and which will be provided
by the Developer herein to the landowners as per following manner-
1) 04 (Four) Nos. residential flat each of which measuring 500 St. covered area, out of which
One Flat at 4th floor facing to South, Two Nos. Flat at 3rd Floor facing to South and one Flat
at Ground Floor Back Side, over the Schedule Property.

Ownership of Sri Manoj Kumar Das, Smt. Madhavi Saha and Manashi Modak:
WHEREAS by an Indenture of sale Deed dated 27th day of July, 1970, RAM TAHOL
CHAMAR, son of Late Ghate Chamar, being the then owner sold, transferred, conveyed a
piece or parcel of land admeasuring an area of 3 cottah 0 chittak 18 Sft. to Sri Madan
Chandra Das, son of Late Ramlal Das (now deceased) by virtue of a registered sale Deed
being Deed no 5258 for the year 1970, which was registered before the S.R. office at
Barrackpore, situated under Mouza- Khardah, J.L. no. 2, Re. Su. no. 18, Touzi no 145, 218,
2998, R.S. Khatian no. 561, R.S. Dag no 3161, (land measuring 0157 Acre) and R.S. Khatian
no. 1409, R.S. Dag no 3160, as per English measurement land measuring 05 Acre. within the
limits of Titagarh Municipality and after purchasing the said land, Madan Chandra Das duly
mutated his name in the records of Titagarh Municipality and erect kuchha and Pucca house
thereon and paid rent and taxes regularly before the concern B.L.& L.R.O. and Titagarh
Municipality thereof.
AND WHEREAS said Madan Chandra Das during his peaceful possession and enjoyment
of the above said property died intestate on 30/12/2000 leaving behind him surviving his
wife Smt. Manju Das, one son Manoj Kumar Das and two daughters Madhabi Saha (Das)
and Manashi Modak (Das) as his only legal heirs to inherit his aforesaid and schedule
mentioned property.
AND WHEREAS thereafter said legal heirs of Madan Chandra Das, i.e., Smt. Manju Das,
one son Manoj Kumar Das and two daughters Madhabi Saha (Das) and Manashi Modak
(Das) became the joint owners of the aforesaid total property admeasuring an area of 3
cottah 0 chittak 18 Sft. of land with kutcha and pucca structure thereon, situated at Mouza-
Khardah, J.L. no. 2, Re. Su. no. 18, Touzi no 145, 218, 2998, R.S. Khatian no. 561, R.S. Dag
no 3161, (land measuring 0157 Acre) and R.S. Khatian no. 1409, R.S. Dag no 3160, (land
measuring 0343 Acre) as per English measurement land measuring 05 Acre. within the limits
of Titagarh Municipality, being Holding No. 31. Natun Pally, P.O. Titagarh, P.S. Khardah, Dist.
North 24-Parganas, Kolkata-700119 and in which each of having undivided 1/4th share of
the same and thereafter all the landowners duly mutated their names in the records of
Titagarh Municipality and they have been in peaceful possession of the total property under
ward no- 17 of Titagarh Municipality having valid, clear right and marketable title of the
same.
AND WHEREAS while thus seized and possessed the above said property the Landowner
herein desire to construct a multi-storied building consisting several Flats and Shop Rooms
Garage over the aforesaid land, which is more fully and particularly described in the
Schedule A below after demolishing the existing structure and for the said purpose of

construction of a Multi storied building the aforesaid Owner searching for a reputed
Promoter/Developer who would construct multi-storied building on the said land under
certain terms and conditions inter alia at its own costs and expenses after obtaining
necessary sanction plan from the competent authority and the very intention of the Owner
to allow them to construct the said proposed multi-storied building on their property.
AND WHEREAS the Land Owner have shown their intention to the present Developer herein
i.e. GANAPATI ENTERPRISE for developing the said property by way of constructing a multi-
storied building and the Developers herein accepted the same and expressed their
eagerness to take charge of such proposal of construction over the said property.
AND WHEREAS the land owner have agreed to authorize the aforesaid Developer, namely,
GANAPATI ENTERPRISE, to construct a Multi-storied Building over the said property
according to the Building Plan to be approved by the Titagarh Municipality as specification
with floors, plans, elevation, sections made in compliance with the statutory requirements
in the said property at the cost of the Developer and accordingly the Land Owners entered
into a Development agreement with Developer GANAPATI ENTERPRISE for developing the
aforesaid plot by constructing a Multi-storied building over the said land, admeasuring 05
decimals equivalent to land measuring 3 (three) Cottahs 0 (Zero) Chhittaks, 18(Eighteen)
Sqft, a little more or less, alongwith 100 sft. R.T. Shed covered area situated within the limits
of Titagarh Municipality, being Holding No. 43, Natun Pally, P.O. Titagarh, P.S. Khardah, Dist.
North 24-Parganas, Kolkata-700119 vide Development Agreement being No. I-1524 10234
for the year 2022, which was duly registered at A.D.S.R. Office at Sodepur and recorded
there in Book No. 1, Volume No. 1524-2022, Pages from 332073 to 332112 and they also
executed a Development Power of Attorney vide Development Power of Attorney being
No. 1-1524 10356 for the year 2022, registered at A.D.B.R. Office at Sodepur and
recorded there in Book No. 1, Volume No. 1524-2022, Pages from 332656 to 332681 in
favour GANAPATI ENTERPRISE to that effect.
AND WHEREAS in terms of the said Development Agreement executed in between Land
owner and Developer, the Developer/ Second Party herein duly submitted a Building Plan
before the Titagarh Municipality at their own cost and expenses and obtained a sanctioned
Plan of (0+4) storied building from the Titagarh Municipality.
AND WHEREAS after the executing of the Development Agreement with the landowners
and thereafter getting the sanctioned building plan from the Titagarh Municipality started
construction of the building over the schedule property by the fund of the Developer
AND WHEREAS during the period of construction of the multi-storied building said land
owner Smt. Anju Das suddenly died on 24/03/2025 leaving behind him surviving her son Sri
Manoj Kumar Das, and two married daughter Smt. Madhavi Saha, and Manashi Modak
as her only legal heirs to inherit her undivided 1/4th share of the total property.

AND WHEREAS thereafter on due negotiation with the present landowners and to regularize
the process of Construction of Building, execution of the Sale Agreement, and registration
of the Agreement and Deed of Conveyance it was necessary to execute one new
Development Agreement and considering the same the landowner on the area of land they
inherited from the ownership of their mother. Therefore they, have agreed to execute a
Development Agreement with the Developer namely, GANAPATI ENTERPRISE, a
Partnership Firm for the purpose of continuation of the Development of Multi-storied
Building over their property according to the Building Plan approved by the Titagarh
Municipality at the cost of the Developer considering the previous terms and conditions and
landowner Allocation mentioned in the said previous Registered Development Agreement
and the details of the terms and conditions stipulated herein under. There for the said land
owners and developers had executed a Development Agreement vide Development
Agreement being No. I-1524 02521 for the year 2025, which was duly registered at
A.D.S.R. Office at Sodepur and recorded there in Book No. 1, Volume No. 1524-2025,
Pages from 73921 to 73953 and they also executed a Development Power of Attorney
vide Development Power of Attorney being No. 1-1524 02524 for the year 2025,
registered at A.D.B.R. Office at Sodepur and recorded there in Book No. 1, Volume No.
1524-2025, Pages from 73902 to 73920 in favour GANAPATI ENTERPRISE to that effect.
AND WHERAS as per the said Development Agreements In consideration of the Owner's
permission and/or allowing the Developer herein to develop the said premises by
amalgamating the adjacent plot of land if required and availability of the same and to
construct a Multi Storied Building thereon in the manner and in terms of conditions of this
agreement and according to Plan to be sanctioned by the Titagarh Municipality and further
allowing and empowering the Developer to enter into agreement for sale and receive
earnest money and full consideration moneys from the intending buyers and upon receiving
full consideration to sell and transfer the flats of the said proposed Building from the
Developer Allocation to be constructed over the below schedule property together with
proportionate share of land to the intending purchaser/s. That, the Owners will get their
share of the Proposed Multi-storied Building to be sanctioned by the Titagarh Municipality
in respect of proportionate share of the schedule property only of the Owners and which will
be provided by the Developer herein to the landowners as per following manner-

2998, R.S. Khatian no. 561, R.S. Dag no 3161, (land measuring 0157 Acre) and R.S. Khatian
no. 1409, R.S. Dag no 3160, as per English measurement land measuring 05 Acre. within the
limits of Titagarh Municipality and after purchasing the said land, Madan Chandra Das duly
mutated his name in the records of Titagarh Municipality and erect kuchha and Pucca house
thereon and paid rent and taxes regularly before the concern B.L.& L.R.O. and Titagarh
Municipality thereof.
AND WHEREAS said Madan Chandra Das during his peaceful possession and enjoyment
of the above said property died intestate on 30/12/2000 leaving behind him surviving his

AND WHEREAS thereafter said legal heirs of Madan Chandra Das, i.e., Smt. Manju Das,
one son Manoj Kumar Das and two daughters Madhabi Saha(Das) and Manashi
Modak(Das) became the joint owners of the aforesaid total property admeasuring an area
of 3 cottah 0 chittak 18 Sft. of land with kutcha and pucca structure thereon, situated at
Mouza- Khardah, J.L. no. 2, Re. Su. no. 18, Touzi no 145, 218, 2998, R.S. Khatian no. 561,
R.S. Dag no 3161, (land measuring 0157 Acre) and R.S. Khatian no. 1409, R.S. Dag no 3160,
(land measuring 0343 Acre) as per English measurement land measuring 05 Acre. within the
limits of Titagarh Municipality, being Holding No. 31. Natun Pally, P.O. Titagarh, P.S.
Khardah, Dist. North 24-Parganas, Kolkata-700119 and in which each of having undivided
1/4th share of the same and thereafter all the landowners duly mutated their names in the
records of Titagarh Municipality and they have been in peaceful possession of the total
property under ward no- 17 of Titagarh Municipality having valid, clear right and marketable
title of the same.
AND WHEREAS while thus seized and possessed the above said property the Landowner
herein desire to construct a multi-storied building consisting several Flats and Shop Rooms
Garage over the aforesaid land, which is more fully and particularly described in the
Schedule A below after demolishing the existing structure and for the said purpose of
construction of a Multi storied building the aforesaid Owner searching for a reputed
Promoter/Developer who would construct multi-storied building on the said land under
certain terms and conditions inter alia at its own costs and expenses after obtaining
necessary sanction plan from the competent authority and the very intention of the Owner
to allow them to construct the said proposed multi-storied building on their property.
AND WHEREAS the Land Owner have shown their intention to the present Developer herein
i.e. GANAPATI ENTERPRISE for developing the said property by way of constructing a multi-
storied building and the Developers herein accepted the same and expressed their
eagerness to take charge of such proposal of construction over the said property.
AND WHEREAS the land owner have agreed to authorise the aforesaid Developer, namely,
GANAPATI ENTERPRISE, to construct a Multi-storied Building over the said property
according to the Building Plan to be approved by the Titagarh Municipality as specification
with floors, plans, elevation, sections made in compliance with the statutory requirements
in the said property at the cost of the Developer and accordingly the Land Owners entered
into a Development agreement with Developer GANAPATI ENTERPRISE for developing the
aforesaid plot by constructing a Multi-storied building over the said land, admeasuring 05
decimals equivalent to land measuring 3 (three) Cottahs 0 (Zero) Chhittaks, 18(Eighteen)
Sqft, a little more or less, alongwith 100 sft. R.T. Shed covered area situated within the limits
of Titagarh Municipality, being Holding No. 43, Natun Pally, P.O. Titagarh, P.S. Khardah, Dist.

North 24-Parganas, Kolkata-700119 vide Development Agreement being No. I-1524 10234
for the year 2022, which was duly registered at A.D.S.R. Office at Sodepur and recorded
there in Book No. 1, Volume No. 1524-2022, Pages from 332073 to 332112 and they also
executed a Development Power of Attorney vide Development Power of Attorney being
No. 1-1524 10356 for the year 2022, registered at A.D.B.R. Office at Sodepur and
recorded there in Book No. 1, Volume No. 1524-2022, Pages from 332656 to 332681 in
favour GANAPATI ENTERPRISE to that effect.
AND WHEREAS in terms of the said Development Agreement executed in between Land
owner and Developer, the Developer/ Second Party herein duly submitted a Building Plan
before the Titagarh Municipality at their own cost and expenses and obtained a sanctioned
Plan of (0+4) storied building from the Titagarh Municipality.
AND WHEREAS after the executing of the Development Agreement with the landowners
and thereafter getting the sanctioned building plan from the Titagarh Municipality started
construction of the building over the schedule property by the fund of the Developer
AND WHEREAS during the period of construction of the multi-storied building said land
owner Smt. Anju Das suddenly died on 24/03/2025 leaving behind him surviving her son Sri
Manoj Kumar Das, and two married daughter Smt. Madhavi Saha, and Manashi Modak
as her only legal heirs to inherit her undivided 1/4th share of the total property.
AND WHEREAS thereafter on due negotiation with the present landowners and to regularize
the process of Construction of Building, execution of the Sale Agreement, and registration
of the Agreement and Deed of Conveyance it was necessary to execute one new
Development Agreement and considering the same the landowner on the area of land they
inherited from the ownership of their mother. Therefore they, have agreed to execute a
Development Agreement with the Developer namely, GANAPATI ENTERPRISE, a
Partnership Firm for the purpose of continuation of the Development of Multi-storied
Building over their property according to the Building Plan approved by the Titagarh
Municipality at the cost of the Developer considering the previous terms and conditions and
landowner Allocation mentioned in the said previous Registered Development Agreement
and the details of the terms and conditions stipulated herein under. There for the said land
owners and developers had executed a Development Agreement vide Development
Agreement being No. I-1524 02521 for the year 2025, which was duly registered at
A.D.S.R. Office at Sodepur and recorded there in Book No. 1, Volume No. 1524-2025,
Pages from 73921 to 73953 and they also executed a Development Power of Attorney
vide Development Power of Attorney being No. 1-1524 02524 for the year 2025,
registered at A.D.B.R. Office at Sodepur and recorded there in Book No. 1, Volume No.
1524-2025, Pages from 73902 to 73920 in favour GANAPATI ENTERPRISE to that effect.

amalgamating the adjacent plot of land if required and availability of the same and to
construct a Multi Storied Building thereon in the manner and in terms of conditions of this

allowing and empowering the Developer to enter into agreement for sale and receive
earnest money and full consideration moneys from the intending buyers and upon receiving
full consideration to sell and transfer the flats of the said proposed Building from the
Developer Allocation to be constructed over the below schedule property together with
proportionate share of land to the intending purchaser/s. That, the Owners will get their
share of the Proposed Multi-storied Building to be sanctioned by the Titagarh Municipality
in respect of proportionate share of the schedule property only of the Owners and which will
be provided by the Developer herein to the landowners as per following manner-
1) 04 (Four) Nos. residential flat each of which measuring 500 St. covered area, out of
which One Flat at 4th floor facing to South, Two Nos. Flat at 3rd Floor facing to South
and one Flat at Ground Floor Back Side, over the Schedule Property.

Necessary searches were conducted in official website of West Bengal Registry office i.e.
wbregistration.gov.in for the period from 2010 - 2025 and as per the same, no adverse entry
was found.
Ownership of Sri Manoj Kumar Das, Smt. Madhavi Saha and Manashi Modak:
WHEREAS by an Indenture of sale Deed dated 27th day of July, 1970, RAM TAHOL
CHAMAR, son of Late Ghate Chamar, being the then owner sold, transferred, conveyed a
piece or parcel of land admeasuring an area of 3 cottah 0 chittak 18 Sft. to Sri Madan
Chandra Das, son of Late Ramlal Das (now deceased) by virtue of a registered sale Deed
being Deed no 5258 for the year 1970, which was registered before the S.R. office at
Barrackpore, situated under Mouza- Khardah, J.L. no. 2, Re. Su. no. 18, Touzi no 145, 218,
2998, R.S. Khatian no. 561, R.S. Dag no 3161, (land measuring 0157 Acre) and R.S. Khatian
no. 1409, R.S. Dag no 3160, as per English measurement land measuring 05 Acre. within the
limits of Titagarh Municipality and after purchasing the said land, Madan Chandra Das duly
mutated his name in the records of Titagarh Municipality and erect kuchha and Pucca house
thereon and paid rent and taxes regularly before the concern B.L.& L.R.O. and Titagarh
Municipality thereof.
AND WHEREAS said Madan Chandra Das during his peaceful possession and enjoyment
of the above said property died intestate on 30/12/2000 leaving behind him surviving his

Modak(Das) became the joint owners of the aforesaid total property admeasuring an area
of 3 cottah 0 chittak 18 Sft. of land with kutcha and pucca structure thereon, situated at
Mouza- Khardah, J.L. no. 2, Re. Su. no. 18, Touzi no 145, 218, 2998, R.S. Khatian no. 561,
R.S. Dag no 3161, (land measuring 0157 Acre) and R.S. Khatian no. 1409, R.S. Dag no 3160,
(land measuring 0343 Acre) as per English measurement land measuring 05 Acre. within the
limits of Titagarh Municipality, being Holding No. 31. Natun Pally, P.O. Titagarh, P.S.
Khardah, Dist. North 24-Parganas, Kolkata-700119 and in which each of having undivided
1/4th share of the same and thereafter all the landowners duly mutated their names in the
records of Titagarh Municipality and they have been in peaceful possession of the total
property under ward no- 17 of Titagarh Municipality having valid, clear right and marketable
title of the same.
AND WHEREAS while thus seized and possessed the above said property the Landowner
herein desire to construct a multi-storied building consisting several Flats and Shop Rooms
Garage over the aforesaid land, which is more fully and particularly described in the
Schedule A below after demolishing the existing structure and for the said purpose of
construction of a Multi storied building the aforesaid Owner searching for a reputed
Promoter/Developer who would construct multi-storied building on the said land under
certain terms and conditions inter alia at its own costs and expenses after obtaining
necessary sanction plan from the competent authority and the very intention of the Owner
to allow them to construct the said proposed multi-storied building on their property.
AND WHEREAS the Land Owner have shown their intention to the present Developer herein
i.e. GANAPATI ENTERPRISE for developing the said property by way of constructing a multi-
storied building and the Developers herein accepted the same and expressed their
eagerness to take charge of such proposal of construction over the said property.
AND WHEREAS the land owner have agreed to authorise the aforesaid Developer, namely,
GANAPATI ENTERPRISE, to construct a Multi-storied Building over the said property
according to the Building Plan to be approved by the Titagarh Municipality as specification
with floors, plans, elevation, sections made in compliance with the statutory requirements
in the said property at the cost of the Developer and accordingly the Land Owners entered
into a Development agreement with Developer GANAPATI ENTERPRISE for developing the
aforesaid plot by constructing a Multi-storied building over the said land, admeasuring 05
decimals equivalent to land measuring 3 (three) Cottahs 0 (Zero) Chhittaks, 18(Eighteen)
Sqft, a little more or less, alongwith 100 sft. R.T. Shed covered area situated within the limits
of Titagarh Municipality, being Holding No. 43, Natun Pally, P.O. Titagarh, P.S. Khardah, Dist.

North 24-Parganas, Kolkata-700119 vide Development Agreement being No. I-1524 10234
for the year 2022, which was duly registered at A.D.S.R. Office at Sodepur and recorded
there in Book No. 1, Volume No. 1524-2022, Pages from 332073 to 332112 and they also
executed a Development Power of Attorney vide Development Power of Attorney being
No. 1-1524 10356 for the year 2022, registered at A.D.B.R. Office at Sodepur and
recorded there in Book No. 1, Volume No. 1524-2022, Pages from 332656 to 332681 in
favour GANAPATI ENTERPRISE to that effect.
AND WHEREAS in terms of the said Development Agreement executed in between Land
owner and Developer, the Developer/ Second Party herein duly submitted a Building Plan
before the Titagarh Municipality at their own cost and expenses and obtained a sanctioned
Plan of (0+4) storied building from the Titagarh Municipality.
AND WHEREAS after the executing of the Development Agreement with the landowners
and thereafter getting the sanctioned building plan from the Titagarh Municipality started
construction of the building over the schedule property by the fund of the Developer
AND WHEREAS during the period of construction of the multi-storied building said land
owner Smt. Anju Das suddenly died on 24/03/2025 leaving behind him surviving her son Sri
Manoj Kumar Das, and two married daughter Smt. Madhavi Saha, and Manashi Modak
as her only legal heirs to inherit her undivided 1/4th share of the total property.
AND WHEREAS thereafter on due negotiation with the present landowners and to regularize
the process of Construction of Building, execution of the Sale Agreement, and registration
of the Agreement and Deed of Conveyance it was necessary to execute one new
Development Agreement and considering the same the landowner on the area of land they
inherited from the ownership of their mother. Therefore they, have agreed to execute a
Development Agreement with the Developer namely, GANAPATI ENTERPRISE, a
Partnership Firm for the purpose of continuation of the Development of Multi-storied
Building over their property according to the Building Plan approved by the Titagarh
Municipality at the cost of the Developer considering the previous terms and conditions and
landowner Allocation mentioned in the said previous Registered Development Agreement
and the details of the terms and conditions stipulated herein under. There for the said land
owners and developers had executed a Development Agreement vide Development
Agreement being No. I-1524 02521 for the year 2025, which was duly registered at
A.D.S.R. Office at Sodepur and recorded there in Book No. 1, Volume No. 1524-2025,
Pages from 73921 to 73953 and they also executed a Development Power of Attorney
vide Development Power of Attorney being No. 1-1524 02524 for the year 2025,
registered at A.D.B.R. Office at Sodepur and recorded there in Book No. 1, Volume No.
1524-2025, Pages from 73902 to 73920 in favour GANAPATI ENTERPRISE to that effect.
AND WHERAS as per the said Development Agreements In consideration of the Owner's

permission and/or allowing the Developer herein to develop the said premises by
amalgamating the adjacent plot of land if required and availability of the same and to
construct a Multi Storied Building thereon in the manner and in terms of conditions of this
agreement and according to Plan to be sanctioned by the Titagarh Municipality and further
allowing and empowering the Developer to enter into agreement for sale and receive
earnest money and full consideration moneys from the intending buyers and upon receiving
full consideration to sell and transfer the flats of the said proposed Building from the
Developer Allocation to be constructed over the below schedule property together with
proportionate share of land to the intending purchaser/s. That, the Owners will get their
share of the Proposed Multi-storied Building to be sanctioned by the Titagarh Municipality
in respect of proportionate share of the schedule property only of the Owners and which will
be provided by the Developer herein to the landowners as per following manner-
1) 04 (Four) Nos. residential flat each of which measuring 500 St. covered area, out of
which One Flat at 4th floor facing to South, Two Nos. Flat at 3rd Floor facing to South
and one Flat at Ground Floor Back Side, over the Schedule Property.
