Subject: Letter of Engagement

Dear Mr. / Ms. KRISHNA,
We are pleased to engage you in the project, awarded by DDA to NITCON Ltd. (NITCON) and executed
by JSR Examination Services LLP (JSR) as per the following terms and conditions:

1. General Terms & Conditions

i. The engagement is purely on contract basis w.e.f. 07.07.2025 till the duration of the project, unless
further reviewed and the terms & conditions have been mutually agreed upon.

ii. The contact will also terminate if the project, awarded by DDA to NITCON and executed by JSR is
terminated or till the regular incumbent joins, whichever is earlier, with effect from the date of
joining.

iii. You will be on probation for the period of 30 days. On the successful completion of your probation,
the agreement is valid for its terms and conditions, else, the same, gets terminated without any
notice. However, your engagement is subject to police verification.

iv. The appointment can also be terminated at any time, on either side, by giving 15 days’ notice in
writing or by paying 15 days salary, or on payment of equivalent fee in lieu thereof. However,
acceptance of payment by the company shall be at its discretion.

v. The engagement is purely on contractual basis and does not imply any possibility of absorption in
DDA/NITCON/ JSR. You should agree not to put any claim for permanency or continuation or job
irrespective of the total duration of your contract in continuation or in parts thereof.

2. Remuneration

i. JSR will credit the monthly remuneration in your salary bank account and also deposit your EPF
and ESI contribution (if applicable) along with employer contribution to the department concerned
from time to time as per rules.

iii. The Zero Balance Salary HDFC Bank Account offers Free personal accidental death cover of Rs. 5
lacs* and Personal Air Accident Death cover of Rs. 25 lacs* on the HDFC Salary account. Besides
free demand drafts up to Rs. 25,000/- is payable at HDFC branch locations and Free Zero Balance
Account for your family members.

iv. You will not be entitled to any other benefits applicable to regular employees of the Company such
as DA, HRA, CCA, Gratuity, Medical, Incentive etc. However, you shall be eligible to avail holidays
as applicable in DDA.

3. Good Conduct Clause

i. You shall not during the continuance of this contract, do any act or be guilty of any conduct which
causes or is calculated to cause or may be reasonably foreseen to cause damage to DDA/NITCON/
JSR or its property, reputation or general interest. If at any time in our opinion, which is final in this
matter, you are involved or found guilty of dishonesty, disobedience, disorderly behavior,
negligence or indiscipline or of any other conduct considered by us as detrimental to our interests
or business, this agreement is liable to be terminated without notice and you shall be liable to
reimburse any loss or damage that DDA/NITCON/ JSR may have to suffer due to any of your above
mentioned act or omission during your period of engagement. You shall submit valid police
verification report to JSR within 45 days of issue of this letter.
ii. The contract does not entitle you to enter into any commitments or dealings on behalf of the
Management for which you have no express authority, nor alter or be a party to any alternation of
any principle or policy of the Management or exceed the authority or discretion vested in you
without the previous sanction of the competent authority.
iii. You shall keep us informed about your local and permanent residential address and also your
address of contact when working /going outstation.

4. Non-Disclosure of Official Information/ Intellectual property rights (IPRs)

i. During the tenure, you may come into possession of confidential information or data or technical
knowledge related to the DDA/NITCON/ JSR’s business operations and its customers. It would be
essential to ensure that such confidential information or data or knowledge are not made available
or become known to any, either by word of mouth or otherwise. This confidentiality obligation

would also extend to any information or knowledge relating to any aspect of the business that may
come into your possession in the course of this contract.
ii. Publishing of results of any of the study/work/projects undertaken by DDA/NITCON/ JSR in any
form such as research journal, business publication, newspaper, discussion/writing paper, seminar,
workshop, conference book, article etc. will not be permitted. No outputs from this study in any
form will be sold for any remuneration.

5. Safekeeping of Goods & Equipment:

i. You will be responsible for the safekeeping and return in good condition all the property, which
may be in your use, custody or charge.
ii. You would take every care in handling DDA equipment in performance of your duties. In case of
any damage to the equipment you would be liable to make good the loss/damage.
iii. Upon termination of this contract or whenever required to do so, you shall agree to return
forthwith, in good condition, all records, pen drives, CDs, drawings, notebooks and other
documents pertaining to the confidential information, whether made available to you or prepared
by you or otherwise and also any literature, equipment, tools or other devices in your custody
which are owned or possessed by the DDA/NITCON/ JSR.
iv. If any letter of authority or power of attorney is issued to you, you will return it on demand or at
the time of termination of this agreement.
