AGREEMENT OF SALE
THIS AGREEMENT OF SALE is made and entered on this Twenty-Two Day of
February, Two Thousand and Twenty-Five (22-02-2025) at Bengaluru:

hereinafter called as the PURCHASER of the Other Part.
The terms Vendor and the Purchaser shall mean and include the said Vendor
and the Purchaser, their legal heirs, representatives, administrators, executors,
successors, and assignees etc..
Whereas the Vendor herein is the sole and absolute of a Two BHK Residential
House bearing No.B22-219, Block-22, in the Ground Floor, PID No.6000067308, in
the Residential Complex situated in Alur Phase-2, Type-3 (Row Houses), constructed
in the Schedule ‘A’ Property, measuring 134.06 Square Meters, together with normal
access facilities like passage, staircase, lift are only for mobility other accommodation
for their intended use without infringing the legal rights of users of the components,

having right to use accordingly, along with 77.83 Square meters of undivided share,
rights, title, interest and ownership in the Schedule ‘A’ Property, which is more described
in the Schedule ‘B’ and ‘C’ hereunder, hereinafter be referred to as "SCHEDULE ‘B’ AND ‘C’
PROPERTY".
Whereas the Bangalore Development Authority, had allotted the Schedule ‘B’ and
‘C’ Property in favour of: Mrs. B.G UMA JYOTI vide its Flat Allotment Letter Sl. No. 12891,
dated: 10/10/2017.
Whereas after making all the necessary payments to the BDA by the said Mrs. B.G
UMA JYOTI, the Bangalore Development Authority, represented by its Assistant
Commissioner (R&R Flat Allotment Division) had executed an Absolute Sale Deed
(Houses/Flats) dated: 16-06-2022, registered as document No.BDA-1-00884-2022-23 of
Book-1, stored in CD No.BDAD1091, in the Office of the Additional District Registrar,
Bangalore Urban District in her favour and handed over the Possession of the Schedule ‘B’
and ‘C’ Property to her vide Flat Possession Certificate No. BD801S220000360, dated: 29-
06-2022.
Whereas the said Mrs. B.G UMA JYOTI had obtained the Khatha of the Schedule ‘B’
and ‘C’ Property in her favour, issued by the Revenue Officer North, BDA, Bangalore and
she has paid the up to date taxes to the concerned BDA authorities and she was in
possession and enjoyment of the same.
Thus the Vendor is the sole and absolute Owner of the Schedule ‘B’ and ‘C’ Property
and she has got all the rights to alienate the same as she likes.
Whereas the Vendor herein who is in need of funds, has agreed to sell the Schedule
‘B’ and ‘C’ Property for a sale consideration amount of: Rs.74,50,000/- (Rupees
Seventy Four Lakhs Fifty Thousand only), which is free from all kinds of
encumbrances and in as is where in condition.

Whereas the Purchaser hereby agreed to purchase the Schedule ‘B’ and ‘C’
Property from the Vendor for the aforesaid sale consideration amount quoted by the
Vendor, and witnesseth:
NOW THIS AGREEMENT OF SALE WITNESSETH AS FOLLOWS:
That the Vendor hereby agreed to sell the Schedule ‘B’ and ‘C’ Property on the
following terms and conditions:
SALE PRICE: The price payable by the Purchaser to the Vendor for the Schedule ‘B’
and ‘C’ Property is agreed at: Rs.74,50,000/- (Rupees Seventy Four Lakhs Fifty
Thousand only), which is free from all kinds of encumbrances and in as is wherein
condition.
PAYMENT OF PRICE: The Purchaser have this day paid a sum of Rs.5,00,000/-
(Rupees Five Lakhs only) to the Vendor by way of Cash before the witnesses as
advance.
The Purchaser hereby agreed to pay the remaining balance sale consideration
amount of Rs.69,50,000/- (Rupees Sixty-Nine Lakhs Fifty Thousand only) to the
Vendor at the time of the registration of the Sale Deed.
TIME AGREED FOR COMPLETION OF THE SALE: The Sale Deed shall be executed and
registered within 90 (Ninety) days’ time from the date of this Agreement of Sale and the
Vendor shall receive the balance sale consideration amount at the time of registration of
the Sale Deed.
THE VENDOR’S OBLIGATIONS:
a. The Vendor shall convey the Schedule ‘B’ and ‘C’ Property free from all kinds of
encumbrances, attachments, Court proceedings or charges of any kind, and pay all taxes
due up to the date of sale.
b. The Vendor shall execute the Sale Deed in the name of the Purchaser or her nominee/s
or assignees as the case may be.

c. The Vendor shall produce Allotment Letter, Sale Deed, Gift Deed, up to date tax paid
receipts, Khatha Certificates, E-Aasthi Khatha Possession Certificate, up to date
Encumbrance Certificate, etc. to the Purchaser.
d. The Vendor herein has NO OBJECTION that the Purchaser shall deduct the TDS amount
as applicable for the entire sale consideration from and out of the balance sale amount
payable to the Vendor and pay the same to the Vendor’s PAN account at the time of
registration of the Sale Deed.
THE PURCHASER’S OBLIGATIONS:
The Stamp Duty and registration charges in respect of the registration of the Deed of Sale
shall be borne by the Purchaser.
POSSESSION:
The Vendor shall deliver the actual physical vacant possession of the Schedule ‘B’ and ‘C’
Property to the Purchaser on the day of the registration of Sale Deed. The Vendor hereby
agreed to hand over all the relevant original documents of the Schedule ‘B’ and ‘C’
Property to the Purchaser at the time of registration of the Sale Deed.
OTHER ITEMS:
If the Purchaser fails to pay the balance sale amount within the stipulated period,
then the Vendor shall forfeit a sum of Rs.50,000/- (Rupees Fifty Thousand only) and
refund the balance advance amount to the Purchaser, in the same if the Vendor fails to
execute the sale deed within the stipulated period by receiving the balance sale
consideration, then the Vendor shall refund the advance amount along with additional sum
of Rs.50,000/- (Rupees Fifty Thousand only) as liquidated damages and both the parties
have got right to apply SPECIFIC PERFORMANCE ACT as per law and fulfill their transaction.
Time for payment is the essence of this Agreement.
Whereas the Vendor hereby assures the Purchaser that the Schedule ‘B’ and ‘C’
Property is free from all kinds of encumbrances, minor rights, minor claims, attachments,
Bank debts, Family Partition Rights, Suits, Tenancy rights, etc.. However, if any litigation

arises or found in future, the Vendor hereby agreed to set right the same at her own costs
and risks.
SCHEDULE ‘A’ PROPERTY
(ALUR BDA RESIDENTIAL BLOCK-22)
All that piece and parcel of the Residential Complex: 2 nd Phase-Block-3 constructed
on the Property bearing Sy.Nos.113, 114, 115 of Alur Village, by the Bangalore
Development Authority, Bangalore and bounded on:
East by : Block No.21
West by : Road/Car Parking
North by : ROAD
South by : Block No.19
MEASURING:
EAST TO WEST : 51.60 METERS,
NORTH TO SOUTH : 18.10 METERS,
(Total 12 Houses measuring: 933.96 Square Meter, Each House measuring: 77.83
Square Meters).
SCHEDULE ‘B’ PROPERTY
77.83 Square meters of undivided share, rights, title, interest and ownership in
the Schedule ‘A’ Property.
SCHEDULE ‘C’ PROPERTY
A Two BHK Residential House bearing No.B22-219, Block-3, in the Ground
Floor, PID No.6000067308, in the Residential Complex situated in Alur Phase-2,
Type-3 (Row Houses), constructed in the Schedule ‘A’ Property, measuring 134.06

IN WITNESS WHEREOF, the Vendor and the Purchaser have signed their signatures
