Dear Mr. Anurag Jain, We have gone through the MOU sent to us and as discussed, we would require the following points to be incorporated in the MOU. There will be a tripartite MOU/ agreement which will include the Paripoorna as the third party, as Introducer . Point No. 1, may be read as follows : That the FIRST PARTY will disburse the loan amount to the SECOND PARTY in preferably single installment or maximum equitable two installments payable within 30 days of release of first installment. Point No.2, may be read as follows : That , the FIRST PARTY committed to disburse the funds either complete or 1st installment of the above said loan amount after procesing fee, within three days excluding saturday, sunday, public holidays to the SECOND PARTY subject to due dilligence completed by the introducer, Paripoorna . New Point 3. This processing fee will be securitized either by the lender or introducer by a PDC / Corporate Guarantee / Promissory note . The lender on failure to pay the designated insallment within the agreed timelines will pay a penalty of 5% per day of delay of the processing fee amount. New Point 4. The loan will not be witheld on account of any documentation or validation as the verification process of due dilligence of loanee has been duly completed satifactorily by the lender and on complete transparency and knowledge of the collaterals , its status & the acquisition units , the lender has approved the release of the loan amount on the mutually agreed terms and conditions. New Point 5. The documents required for creating second charge on the properties lien to SBI has already been perused and accepted by the FIRST PARTY and on receipt of the processing fees from the SECOND PARTY, the documentation will be immediately carried out by FIRST PARTY in presence of the SECOND PARTY & INTRODUCER representatives. We hope it primarily solves the only concern of securitization of the processing fees and we can immediately proceed with other formalities asap. Regards,
