                     DEED OF CONDITIONAL SALE
KNOW TO ALL BY THESE PRESENTS:
       This Deed is made and executed by and between:
          _____________________, (citizenship), of legal age, (married/single)
with postal address at _______________________, herein referred to as
SELLER;

            _____________________, (citizenship), of legal age, (married/single)
with postal address at _______________________, herein referred to as BUYER;
                                   WITNESSETH THAT:
     WHEREAS, the Seller is the owner of a parcel of land situated at (insert

more particularly described as follows:

      WHEREAS, the Seller agreed to conditionally sell and the Buyer agreed
to conditionally buy the aforementioned property in the amount of amount in

      WHEREAS, the Seller warrants that the property is free from any liens
or encumbrances.
      NOW THEREFORE, for and in consideration of the foregoing premises,
the parties hereunto agree on the following terms and condition, to wit:
       1. Upon the execution of this Deed, the Buyer shall pay the amount of
          __________ (figures) as partial payment for the subject property
       2. The remaining balance in the amount of ___________ shall be paid on
          or before ___________
       3. The ownership and possession over the subject property shall
          remain with the Seller until full payment has been made.
       4. After the consideration has been fully paid, it is the obligation of the
          seller to execute a Deed of Absolute Sale in favor of herein Buyer.
       5. In case of failure on the part of the Buyer to comply with his
          obligation to pay the full amount of consideration as stated in this
          contract, the Seller may unilaterally rescind this contract and the
          Buyer shall not be entitled to any refund for payments already
          made.
