DEED OF CONDITIONAL SALE
KNOW ALL MEN BY THESE PRESENTS:
       This DEED OF CONDITIONAL SALE, made and executed in
__________________, _______________, Philippines, this __th day of _________, 2004
by and between:
            JAIME T. RODRIGUEZ, of legal age, married to NORIE L.
      RODRIGUEZ, Filipino, and residing at Block 2, Lot 8, Equity
      Homes 4, San Isidro, Paraaque City, herein represented by his
      wife/ Attorney-in-Fact, NORIE L. RODRIGUEZ, hereinafter
      designated as the VENDOR,
                                  - and -
             DELFINA Z. NALAYOG, of legal age, single, Filipino, and
      with residence and postal address at Lot 1, Block 3, Equity
      Homes, Sucat, Paraaque, Metro-Manila, hereinafter designated
      as the VENDEE.
                             WITNESSETH:
      1. That the VENDOR is the true and absolute owner of a parcel of land
covered by TCT No. T-39271 situated in Paraaque City, Metro-Manila, and
more particularly described as follows:
                                 TCT NO. 39271
                    A PARCEL OF LAND (Lot 8, Blk. 2 of the
             subdivision plan Pcd-13-001582, being a portion of
             Lot 3, Psu-100704, LRC Record No. N-27489),
             situated in the Bo. of San Dionisio, Mun. Paraaque,
             Metro-Manila. Bounded on the NE., along line 1-2
             by Lot 9, on the SE., along line 2-3 by Lot 6, both of
             Block 2, on the SW., along line 3-4 by Road Lot 2
             and on the NW., along line 4-1 by Lot 10 Block 2 all
             of the subd. plan. Beginning at a point marked 1
             on plan, being S.23 deg. 14E., 3409.99 m. from
             BLLM 1, Paraaque thence S.25 deg. 02E., 10.00 m.
             to pt. 2; thence S.64 deg. 58W., 15.00 m. to pt. 3;
             thence N.25 deg. 02W., l0. xxx containing an area of
             one hundred fifty (150) square meters, more or less,
             is registered in accordance with the provisions of
             Section 103 of the Property Registration Decree in
             my name.
      2. That the VENDOR has offered to sale, and the VENDEE has agreed to
buy the above-stated parcel of land conditionally, as follows:
      a. That for and in consideration of the sum of ONE MILLION ONE
         HUNDRED THOUSAND PESOS (P1,100,000.00), the VENDOR hereby
         sells the above-stated parcel of land to the VENDEE, under the
         following terms and conditions:

               1. That the VENDEE shall pay the initial sum of
                  FIVE       HUNDRED          THOUSAND          PESOS
                  (P500,000.00),       Philippine      currency    as
                  downpayment and the balance of SIX HUNDRED
                  FIFTY     THOUSAND         PESOS      (P600,000.00),
                  Philippine currency, shall be paid within THREE
                  (3) YEARS by the VENDEE to the VENDOR and
                  thereafter final DEED OF ABSOLUTE SALE shall
                  be executed upon full payment. Failure on the
                  part of the VENDEE to pay the balance of
                  P600,000.00 the initial payment of P500,000.00
                  shall be forfeited in favor of the VENDOR;
               2. That the VENDEE obligates itself to pay all real
                  estate taxes together with charges, if any, the
                  documentation, and registration as well as
                  documentary stamps including any and all
                  expenses in connection with the transfer of the
                  property at the proper time;
               3. It is hereby expressly agreed that this is a
                  Conditional Sale and should the VENDEE fails to
                  perform its obligations under this Agreement, the
                  sale herein shall be deemed rescinded and
                  cancelled with no force and effect and any sum/s
                  paid under this Conditional Sale shall be forfeited
                  in favor of the VENDOR.
               4. Title to the property subject of this contract
                  remains with the VENDOR and shall pass to, and
                  be transferred in the name of the VENDEE only
                  upon complete payment of the full price above
                  agreed upon

          1. It is understood by the parties that the investment of JACINTO Y.
             GOMEZ (VENDEE) in the partnership venture with ALEJO Y.
             GOMEZ, JR. (VENDOR) in the Buy and Sell of second hand cars
             in the amount of ONE HUNDRED THIRTY THOUSAND PESOS
             (P130,000.00) will be retained by the VENDOR, receipt of which is
             acknowledged which will formed part of the consideration as
             downpayment and the balance is payable as follows:
             October 5, 2002            -     P20,000.00
             November 16, 2002          -      50,000.00
             March 30, 2003             -      50,000.00
             June 30, 2003              -      50,000.00
      And the payment in full could be made on or before June, 2003.
      2. That the parties agree that any monthly installment due
         and unpaid shall bear an interest at the rate of 7%
         every month;
      3. That the VENDOR voluntarily agrees to leave I.T. CITI SERVICES,
INC. and relinguished his position as Treasurer of the Company;
    4. That the VENDOR shall waives all rights, actions and claims that the
VENDOR may have against the company.

      a. That for and in consideration of the sum of SEVEN HUNDRED
         THOUSAND PESOS (P700,000.00), the VENDOR hereby sells the
         above-stated parcel of land to the VENDEE, under the following terms
         and conditions:
                  1. During the processing of the loan from Pag-
            ibig, the VENDEE will pay monthly rental of
            P4,500.00; initial deposit of P9,000.00 is duly
            acknowledged by the VENDOR.         The balance of
            P4,500.00 will be paid on May 17, 2003;

                    2. The house is sold under the premise, as is
             where is;

                    3. The accumulated rentals for a period of
             three (3) months will be deducted from the price of
             the house and lot;
                    4. Should the processing of the loan from
             PAG-IBIG will go beyond 90 days, the following
             monthly rental and the succeeding, if applicable, will
             not be deducted to the price of P700,000.00;
                   5. After the release of loan from Pag-ibig and
             payment to the VENDOR has been effected, the
             corresponding Deed of Absolute Sale will be executed
             between the parties.

above-stated parcel of land to the VENDEE, under the following terms and
conditions:
            a) The VENDEE shall make a down payment TWO
               HUNDRED FIFTY THOUSAND PESOS (P250,000.00),
               Philippine currency.
            b) The said amount will be utilized by the VENDOR in
               redeeming the property which is presently mortgage.

              c) After the property is redeemed, the VENDOR agrees to
                 transfer the ownership of subject property in the name
                 of the VENDEE so that the latter could utilize the same
                 as collateral in a loan to the PAG-IBIG, wherein the

                 balance of the purchase price.
              d) The parties agreed to execute a DEED OF ABSOLUTE
                 SALE, during the receipt of the full payment of the
                 purchased price by the VENDOR ;

W I T N E S S E T H:
        WHEREAS, the VENDOR is the owner of a parcel of land particularly described as
follows:
A parcel of land (Lot 5593-C-1-C of the subd. plan, Psd-04-139705, being a portion of Lot5593-
C-1 Psd-04-130655,L.R.C. Rec. No.8843) situated in the Brgy. Pasong Buaya,Mun. of Imus,
Prov. of Cavite, xxx containing an area of ONE HUNDRED THIRTEEN(113) SQUARE
METERS.
        WHEREAS, the aforesaid property is subject to a Contract to Sell from Bayan Muna
Realty, under the terms and conditions stated therein.
        NOW THEREFORE for and in consideration of the sum of TWO HUNDRED
EIGHTY THOUSAND PESOS(Php.280,000.00), the VENDORS hereby sells the
above-stated property, under the following terms and conditions:
          That upon the execution of this contract, the VENDEE shall pay ONE
HUNDRED THOUSAND PESOS (P100,000.00) duly acknowledged by the
VENDORS. The balance of ONE HUNDRED EIGHTY THOUSAND PESOS
(P180,000.00) will be paid within ONE(1) year from the execution of the
contract on/or before March 31, 2006;
         All duties and obligations of the VENDORS with respect to or in connection with the
subject property shall be assumed fully by the VENDEE in the aforementioned deed of mortgage,
as if the present VENDEE were the mortgagor in said mortgage deed.
        All expenses necessary to perfect the title of the VENDEE in the said lot shall be for the
account of the VENDEE.
       That by virtue of this agreement, the VENDORS, name, constitute and appoint the
VENDEES, to be our true and lawful attorney-in-fact for us and in our name,place and stead to
perform acts , necessary and requisite under the premises by virtue hereof;
        HEREBY GIVING and GRANTING, unto said Attorney-in-Fact full powers and
authority to do and perform all and every act requisite and necessary to carry into effect the
foregoing Deed of Sale with Assumption of Mortgage as fully to all intents and purposes as we
might or could lawfully do if personally present.

                 documentary stamps including any and all expenses in
                 connection with the transfer of the property at the proper time;
              c.   It is hereby expressly agreed that this is a Conditional Sale
                   and should the VENDEE fails to perform its obligations under
                   this Agreement, the sale herein shall be deemed rescinded and
                   cancelled with no force and effect and any sum/s paid under
                   this Conditional Sale shall be forfeited in favor of the VENDOR
                   in concept of rentals on the motor vehicle and to surrender
                   peacefully the said motor vehicle to the VENDOR. For this
                   purpose, the failure of the VENDEE to pay two (2) consecutive
                   monthly installment of P40,000.00 shall be considered failure
                   to perform its obligation under this agreement;
              d. That in the event the VENDEE fully satisfies the balance in the

                 DEED OF ABSOLUTE SALE in favor of VENDEE.

          Sale shall be forfeited in favor of the VENDORS in concept of rentals
          on the premises and to surrender peacefully the said parcel of land to
          the VENDORS.
       d. That in the event the VENDEES fully satisfies the balance in the sum
          of P900,000, the VENDORS undertake to execute a DEED OF
          ABSOLUTE SALE in favor of VENDEES.
       e. Title to the property subject of this contract remains with the

          VENDEES only upon complete payment of the full price above agreed

monthly amortization of subject property to the P.S. Bank of which will start on August, 7, 2005
shall be assumed fully by the VENDEE in the aforementioned deed of mortgage, as if the present
VENDEE were the mortgagor in said mortgage deed.
        All expenses necessary to perfect the title of the VENDEE in the said lot shall be for the
account of the VENDEE.
       That by virtue of this agreement, the VENDORS, name, constitute and appoint the
VENDEE, to be my true and lawful attorney-in-fact for my and in my name, place and stead to
perform acts , necessary and requisite under the premises by virtue hereof.
        HEREBY GIVING and GRANTING, unto said Attorney-in-Fact full powers and
authority to do and perform all and every act requisite and necessary to carry into effect the

                            DEED OF CONDITIONAL SALE
KNOW ALL MEN BY THESE PRESENTS:
       This DEED OF CONDITIONAL SALE, made and executed by and between:
               DANILO S. BORJE, 48 years old, businessman, Interpol, Filipino, and
       residing at 385 Dela Cruz St., Talon I, Las Pias City, hereinafter designated as
       the VENDOR,
                                            - and -
                ROMMEL DEL ROSARIO PATIO, of legal age, single, seaman,
       Filipino, and with residence and postal address at Block 10, Lot 36 Diamond
       Village, Salawag, Dasmarias, Cavite, hereinafter designated as the VENDEE.
                                    WITNESSETH:
         1. That the VENDOR is the registered and absolute owner of a parcel of land covered by
TCT No. T-932568 situated in Bacoor, Cavite, free from all liens and encumbrances and more
particularly described as follows:

                        A parcel of land (Lot No. 35, Blk. 4, of the subd. plan
               Psd-0s4-021697, being a portion of lot No. 5834-B, Fls-945-D,
               LRC Rec. No. 8843), situated in the Bo. of Molino, Mun. of
               Bacoor, Prov. of Cavite. Bounded on the SW., along line 1-2 by
               lot 36, on the NW., along line 2-3 by lot 33, both of Blk. 4, on
               the NE., along line 3-4 by Road lot 4, on the SE., along line 4-1
               by Lot 37, of Blk. 4, all of the subd. plan. Beginning at a pt.
               marked 1 on plan, being S.30 deg. 10W., 3842.47 m. from
               Mon. No. 52, Imus Estate, thence N. 13 deg. 24W., 10.00 m. to
               pt. 2; thence N. 76 deg. 36E., 12.00 m. to pt. 3; thence S.13 deg.
               24E., 10.00 m. to pt. 4; thence S. 76 deg. 12.00 m. to pt. of
               beginning, containing an area of ONE HUNDRED TWENTY
               (120) SQ. METERS. All pts. referred to are indicated on the
               plan and are marked on the ground by PS cyl. conc. mons. 15x60
               cm., bearings true, date of orig. survey, July 27, 1905-June 11,
               1908 and that of the subd. survey, Oct. 15-Nov. 15, 1986 and
               approved on Jan. 8, 1987.
        2. That the VENDOR has offered to sale, and the VENDEE has agreed to buy the above-
stated parcel of land conditionally, as follows:
       1.   That for and in consideration of the sum of FIVE HUNDRED FORTY
            THOUSAND PESOS (P540,000.00), the VENDOR hereby SELLS, the
            above-stated parcel of land to the VENDEE, under the following terms and
            conditions:
            a. That the VENDEE had already paid the initial sum of FOUR
               HUNDRED TEN THOUSAND PESOS (P410,000.00),
               Philippine currency as downpayment and the balance of ONE
               HUNDRED THIRTY THOUSAND PESOS (P130,000.00),
               Philippine currency, shall be paid in monthly installment of
               P3,900.00 or 3% of P130,000.00 starting January 30, 2006 until
               the total amount of P130,000.00 is fully paid by the VENDEE to
               the VENDOR and thereafter final DEED OF ABSOLUTE SALE
               shall be executed upon full payment. Failure on the part of the
               VENDEE to pay the balance of P130,000.00, the initial payment
               of P410,000.00 shall be forfeited in favor of the VENDOR;

              b. All expenses necessary to perfect the title of the VENDEE in the said lot shall be
                 for the account of the VENDEE.
              c. Title to the property subject of this contract remains with the
                 VENDOR and shall pass to, and be transferred in the name of
                 the VENDEE only upon complete payment of the full price
                 above agreed upon
      IN WITNESS WHEREOF, the parties have signed these presents this ____th day of
December, 2005 in Las Pias City, Metro-Manila.

         This instrument consisting of two (2) pages including this page wherein the
Acknowledgement is written, refers to a DEED OF CONDITIONAL SALE of a portion of
registered land situated at Bacoor, Cavite, the same having been signed by the parties together
with their two instrumental witnesses, on each and every page thereof.
