GENERAL POWER OF ATTORNEY

By this Power of attorney given _______ (date) the company __________________(name)


established under the Laws of __________________________ (country) having its office at
______________________ (address) representing by ______________________________
(name) authorizes and empowers Mr. _________________ (name) to do the following:

- to negotiate and agree and register the representative office of the company
___________ (name) in the appropriate bodies of the Russian Federation including the
Chamber of Commerce and Industry of the Russian Federation
- to run the Representative office of the company _______________ located in the city of
Murmansk
- to represent the Company at the local and state authorities of Murmansk city in relation to
all issues connected to the activity of the Company and its Representative office
including obtaining of all the permissions, certificates and other documents necessary for
the daily functioning of the Representative office in accordance with the Laws of the
Russian Federation
- to represent the Company at the Russian legal entities based on all types of ownership
related to all the issues connecting the activity of the Company in the Russian Federation
- to sign in the name and on behalf of the Company any deals connected to the activity of
the Company in Russia
- to sign in the name and on behalf of the Company all and any financial and tax
documents connected with the activities of the Company in Russia
- to open in the name and on behalf of the Company all type of accounts in according with
the legislation of the Russian Federation in any credit organizations and/or banks, to
operate and dispose money on such accounts

The Company also authorizes and empowers Mr. _____________________________ with the
right to carry out all the necessary activities and to sign all the necessary documents in relation to
putting in practice the powers stipulated by this General power of attorney.

The Company authorizes the North Chamber of Commerce and Industry from Murmansk city in
the name of Mr.Glushkov, the President with the right to submit all the necessary documents to
the Chamber of Commerce of the Russian Federation in order to obtain the official permission
for opening (accreditation) of the Representative office of the Company ___________________
in the Russian Federation.

This General Power of Attorney shall be irrevocable and valid for a period of 3 (three) years
from the date of its signing.
