AI Model & Synthetic Identity License

This License Agreement (the “Agreement”) is made effective as of -=date=-  between:

In the agreement, the party who is granting the right to use the licensed property will be referred to as ("Licensor"), the party who is receiving the right to use the licensed property will be referred to as ("Licensee").

The Licensor agrees to license the following titles to the Licensee:

The following title names shall be referred to as ("Product") in this agreement, and are all of the products covered with this agreement. The Licensor agrees to license the following Titles to the Licensee.

 

1. DEFINITIONS

 

As used in this Agreement, certain capitalized terms not otherwise defined in the body of the Agreement shall have the following meanings:

"AI Content" means any imagery, video, or data generated, modified, or enhanced using artificial intelligence, machine learning, or neural networks based on the Product.

"Synthetic Identity Retargeting" means the process of applying the visual characteristics, facial features, or likeness of the Product onto another digital or synthetic entity.

"Derivative Works" means any creations based on the Product, including but not limited to newly generated AI images, interpolated frames, or 3D renders.

"Adult Virtual Companion Product" means an interactive digital application, chatbot, or environment where a user interacts with a synthetic persona for adult entertainment purposes.

"Internet Site" or "Pay Site" is a website that charges money to become a member and view its content.

"Mobile Device" means a hardware product which is designed and marketed with the primary purpose of operating on a cellular or other wireless network.

"Broadcast Systems" means any of the distribution methods including Cable, Satellite, IPTV and other television distribution methods.

"DVD distribution" means distribution of a movie on a physical format such as DVD, CD or Blu-ray Discs.

 

2. NON-EXCLUSIVE CONTRACT

Allowed

• AI-assisted editing and generation: The Licensee is permitted to use the Product as a base, prompt, or training input for generating new AI Content.

• Synthetic Identity Retargeting: The Licensee may retarget the features of the Product onto synthetic characters.

• Control and Pose Extraction: The Licensee is allowed to extract wireframes, depth maps, or pose data (e.g., OpenPose, ControlNet) from the Product for content generation.

• Virtual Companions: The right to use the Product and derived AI Content within an Adult Virtual Companion Product.

• Derivative Works: Creation and commercial distribution of derivative AI-generated imagery and assets.

• Showing and giving generated content to visitors from any country except Russia and Ukraine (these countries must be blocked).

• To generate content with face and body of real adult persons only with their consent.

• You have the right to use generated content for "Internet Sites" (up to ten domains/URLs), "Mobile Devices", "Subscription-based websites", and "Free Tube Sites".

Not Allowed

• Use the generated image to infringe, misappropriate, or violate the intellectual property or other rights of any third party.

• Bypassing and ignoring the laws that regulates the use of AI for the adult content.

• To depict underage persons.

• To depict real adult persons without their consent.

• Exposing both original and generated image to visitors from Russia and Ukraine.

• Use both original and generated image for "Broadcast Systems", VOD, or "DVD distribution".

Licensee agrees to pay to Licensor one-time lifetime fee for this Product(s). All sales are final. Licensee must provide a complete list of ten domains in which material is to be used.

3. GRANT OF LICENSE, GENERAL TERMS

The Licensor grants a Non-Exclusive license to use, transform, and distribute the Product as defined in this Agreement. This license for the above product, can and will be issued to other companies at Licensor's discretion.

4. UNACCEPTABLE USES OF LICENSED CONTENT

The Licensee does not have the right to resell, rent, lease, transfer, redistribute or re-license the raw Product files.

RANZAI INVESTMENTS LIMITED retains title and ownership of the Product. While AI transformation is allowed, the Licensee may not alter the images to make them appear to be the copyrighted property of anyone other than RANZAI INVESTMENTS LIMITED (or Licensee as a creator of a Derivative Work under this license).

The Licensee or their agents or affiliates do not have the right to post, publish or in any way distribute the content to Russian websites, websites worded in Russia or Russian affiliates.

The Licensee must not publish or reveal the models real name or any factual details. Modification for the purpose of AI-generation and Derivative Works is allowed, provided it does not create defamatory or illegal content.

5. ACCEPTABLE USE OF PRODUCT

The product is to be used on the clients mobile phone system or interactive applications (Virtual Companions) for delivering the product to their clients. They may not re-distribute the raw product in any other way.

6. CONTENT EDITING PROVISIONS

•  AI Processing: Licensee is explicitly allowed to use the Product for AI training (e.g., LoRA, Checkpoints) and generation, provided the output complies with safety and territory restrictions.

•  Technical Editing: Resizing, Cropping, Renaming, changing file format, Adjusting/Altering colour, gamma, light/dark/contrast, etc. of Product are allowed.

•  Banners and Webpage Design: The licensee is allowed to use images in designing banners or web-page design.

7. PENALTIES/TERMINATION

This license will automatically terminate without notice if you fail to comply with any of it's terms. Upon termination you will immediately destroy the copies of images and AI assets derived from the Product.

8. APPLICABLE LAW

The laws of the State of Residence of the Licensor shall govern this agreement. These images are in compliance with the 18 USC Section 2257 US Federal law.

10. Additional terms:

- The Licensee must comply with all existing requirements and laws that regulates the use of AI for adult content (e.g., EU AI Act where applicable).

- The Licensee is responsible for the final output of AI generation and its correct use.

18 U.S.C. 2257 Statement:

The Licensee will receive a copy of the models, IDs and model release. RANZAI INVESTMENTS LIMITED is the custodian of records and keeps the Records Required by 18 U.S.C. 2257.

The identification and model release documents are for the licensee to fulfill the requirements of the 2257 law. Under no circumstances should this information be revealed to anyone other than the appropriate legal authorities.
