Terms of Service

These Terms of Service ("Terms") govern your use of the Etherwise website (etherwise.io) and any services provided by Etherwise ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using our website or services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you should not use our website or services.
2. Services Description
Etherwise provides AI and automation services including, but not limited to:
- Automation consulting and strategy for businesses that want to cut manual operational work
- Custom automation development using platforms such as Make.com, Airtable, n8n, and AI tools
- Ongoing support, maintenance, and optimization of automation systems
- AI voice agent development and deployment
- Workflow audits and process analysis
The specific scope, deliverables, and timelines for any project will be defined in a separate agreement or proposal provided to you before work begins.
3. Engagement Process
Our typical engagement follows this process:
- Discovery call: A free 30-minute consultation to understand your business operations and identify automation opportunities.
- Audit and proposal: We analyze your workflows and prepare a detailed proposal outlining recommended automations, expected outcomes, timeline, and pricing.
- Build and deploy: Upon acceptance of the proposal, we build, test, and deploy the automation systems according to the agreed-upon scope.
No work will begin until both parties have agreed to the scope and terms of the engagement in writing.
4. Payment Terms
Payment terms will be specified in the individual project proposal or agreement. Unless otherwise stated:
- A deposit may be required before work begins, as specified in the project proposal.
- Invoices are due within 14 days of issuance unless otherwise agreed.
- Late payments may be subject to a 1.5% monthly interest charge on the outstanding balance.
- All fees are quoted in the currency specified in the proposal and are exclusive of applicable taxes unless stated otherwise.
5. Intellectual Property
Upon full payment, the client owns all custom deliverables created specifically for their project, including custom workflows, automations, and configurations built for their use.
Etherwise retains ownership of its proprietary methodologies, templates, frameworks, tools, and general knowledge developed independently or prior to the engagement. Etherwise may use anonymized insights and learnings from projects to improve its services.
Third-party tools and platforms (such as Make.com, Airtable, or n8n) are governed by their own terms and licenses.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business processes, trade secrets, customer data, and any other information designated as confidential.
This obligation survives the termination of the engagement and remains in effect for a period of two years following the end of the business relationship, unless a longer period is required by law.
7. Limitation of Liability
To the maximum extent permitted by law, Etherwise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our website or services.
Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
8. Warranties and Disclaimers
Our website and its content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the website's availability, accuracy, or fitness for a particular purpose.
For contracted services, Etherwise warrants that work will be performed in a professional and workmanlike manner. If deliverables do not meet the agreed-upon specifications, we will correct them at no additional cost within a reasonable timeframe, subject to the terms of the project agreement.
9. Termination
Either party may terminate an engagement by providing written notice as specified in the project agreement. In the event of termination:
- The client is responsible for payment of all work completed up to the date of termination.
- Any work product completed and paid for will be delivered to the client.
- Etherwise reserves the right to terminate services if payment is not received within 30 days of the due date.
We reserve the right to suspend or restrict access to our website at any time without notice.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after any modification constitutes your acceptance of the revised Terms.
