These Terms govern Exania AI websites, demos, AI agents, chatbots, WhatsApp bots, lead qualification, booking assistants, knowledge base bots, internal copilots, reporting tools, integrations, support, setup projects and monthly care plans.
AI agents can support sales, support and operations, but Exania does not guarantee revenue, conversions, rankings, bookings, savings or business results.
AI outputs may be Incomplete, inaccurate or outdated. Clients must use human review for important, regulated or high value decisions.
Clients are responsible for their own content, customer notices, lawful data use, approvals, connected accounts and business decisions.
Exania may suspend or terminate services for non-payment, abuse, prohibited use, security risk, illegal content or platform policy violations.
These Terms of Service govern your access to and use of Exania AI websites, demos, Try Exania, start flows, AI agents, chatbots, WhatsApp bots, lead qualification agents, booking assistants, knowledge base bots, internal copilots, reports, automation systems, support, onboarding and related business services.
By visiting the website, using a demo, submitting a project request, accepting a proposal, paying an invoice, signing an order form, receiving a deliverable, connecting a third party tool, or allowing Exania to configure or operate an AI system for you, you agree to these Terms.
If you do not agree, you must not use Exania services or request that Exania perform work.
Exania AI operates under the umbrella of Exohood Labs Inc, 793 Commercial Rd, London E14 7HG, United Kingdom, unless a signed agreement identifies a different contracting entity.
The services are primarily intended for businesses, professionals and organizations. If you accept these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not have that authority, you are personally responsible for the obligations you create.
These Terms do not remove any mandatory rights that cannot be excluded under applicable law. If you use Exania as a consumer, mandatory consumer protections may apply. Business clients agree that the services are purchased for commercial use.
A master services agreement, order form or statement of work controls if it expressly overrides these Terms.
Project price, setup fee, care plan, scope, payment schedule and deliverables can be defined in writing.
These Terms apply to all use and fill any gaps not covered by a signed project document.
Exania provides practical AI systems for businesses. Covered services Include all current and future versions of:
FAQ responses, lead capture, service guidance and conversion support.
Replies, qualification, reminders, handoff and messaging workflows.
Structured questions, scoring, routing, alerts and CRM handoff.
Appointment, consultation, table, visit or meeting booking flows.
Agents trained with approved business content, documents, FAQs and pages.
Product support, shipping questions, recommendations and sales guidance.
Employee support, document search, summaries and internal automation.
CRM updates, dashboards, spreadsheets, email workflows and operational reports.
Approved webhooks, APIs, calendars, forms, CRMs and business tools.
Public prices are starting prices. Final price, Included scope, usage, integrations, timelines and support are determined by the selected package and any written project confirmation.

Anything not expressly Included is excluded. Exania may charge additional fees for extra pages, languages, documents, integrations, custom APIs, dashboards, workflows, high usage, regulated requirements, urgent work, special security, or scope changes.
The setup fee covers initial discovery, configuration, prompt design, knowledge setup, integration planning, testing, installation and launch tasks within the agreed scope.
Delivery dates are estimates unless expressly guaranteed in a signed agreement. Exania is not responsible for delays caused by missing content, late approvals, wrong credentials, third party reviews, client inactivity, unpaid invoices, platform outages or scope changes.
The monthly care plan keeps the system active, monitored and maintained within agreed limits. It may Include hosting, reasonable AI usage, small corrections, monitoring, troubleshooting and limited optimization based on the plan.
Monthly care is not unlimited development. It does not Include new channels, unlimited changes, new product lines, major redesigns, large data migrations, complex backend development, custom dashboards, security audits, heavy traffic usage, regulated deployments, or extensive integrations unless agreed in writing.
If the care plan is cancelled, unpaid, disputed, charged back or expired, Exania may pause hosting, usage, monitoring, updates, support, integrations, dashboards, webhooks and AI availability.
AI usage has operating costs. Exania may apply usage limits to messages, requests, tokens, documents, storage, logs, vector databases, workflows, integration calls, support time, languages, seats, webhooks and channels.
The client is responsible for the legality, accuracy and completeness of all information, content, data, instructions and approvals provided to Exania.
AI systems can make mistakes, hallucinate, misunderstand context, provide outdated information, overgeneralize, fail to detect nuance, or produce answers that require human verification. Exania does not guarantee that outputs will be accurate, complete, current, lawful, safe, uninterrupted or suitable for every use.
Exania agents are not a substitute for legal, medical, financial, tax, safety, emergency, employment, compliance, insurance or regulated professional advice. Clients must use qualified professionals and human review where required.
Exania does not guarantee sales, revenue, leads, conversions, rankings, bookings, customer satisfaction, cost savings, response rates, marketing results or operational outcomes. Results depend on traffic, market demand, offer quality, pricing, staff follow up, business reputation, compliance, external platforms and factors outside Exania control.
Exania systems may rely on third party providers such as AI model APIs, hosting services, payment processors, WhatsApp or Meta services, CRMs, email providers, analytics tools, calendars, website platforms, automation tools, databases and messaging providers.
Exania is not responsible for third party outages, delays, API changes, policy changes, price changes, account bans, rejected approvals, deliverability issues, data loss, rate limits, service restrictions, security Incidents, model changes or provider decisions.
The client is responsible for maintaining valid accounts, billing, permissions, admin access, legal compliance and platform approvals for third party tools used in the project.
Setup fees are due before work starts unless a written agreement states otherwise. Monthly care plans are charged in advance. Prices may be listed in USD unless otherwise stated. The client is responsible for taxes, currency conversion, payment processing fees, third party usage fees and agreed add-ons.
Setup fees pay for strategy, design, configuration, development, testing, project management and launch work. Setup fees are non-refundable once work begins, to the maximum extent permitted by law.
Monthly care fees are charged in advance and are non-refundable once the billing period begins, except where required by law or expressly agreed in writing. Cancellation stops future renewals but does not cancel unpaid invoices, earned fees, usage charges, third party costs or work already performed.
If a client stops responding, fails to provide required information, delays approvals, refuses access or abandons a project, Exania may close or pause the project without refund for work already performed.
Data processing is described in the Privacy Policy and, where applicable, a data processing agreement. For Exania website, sales, demos, billing, support and analytics, Exania may act as controller. For client deployed agents, the client is often the controller and Exania may act as processor or service provider according to client instructions.
Clients are responsible for privacy notices, consent, lawful basis, retention instructions, data minimization, marketing permissions, end user disclosures and compliance for their customers, employees, leads and website visitors.
Exania may process configuration data, prompts, documents, messages, logs, lead data, metadata, usage data and support information to build, operate, monitor, secure, debug and improve the service.
Exania uses reasonable technical and organizational measures designed to protect systems and data. No online service can guarantee absolute security.
Clients must not share unnecessary credentials, passwords, private keys, government IDs, payment card numbers, bank statements, health records or sensitive data unless a specific secure handling scope is agreed in writing.
Clients remain responsible for the security of their own website, hosting, admin users, devices, employee access, third party tools, connected accounts and internal policies. Security Incidents caused by client systems, client employees or third party tools are not Exania responsibility.
Exania retains all rights in its platform, code, prompts, workflows, templates, reusable components, design systems, methods, libraries, documentation, know-how, automations, internal tools and pre-existing intellectual property.
The client retains ownership of client content, brand assets, approved business data and materials provided to Exania. The client grants Exania the rights needed to use that content to build, operate, support and improve the client service.
Unless a signed agreement says otherwise, the client receives a limited, non-exclusive, non-transferable, revocable license to use the configured AI agent or automation system for its own business while all required payments and care plan fees are current.
Exania may reuse generic methods, non-confidential knowledge, templates, patterns, components and lessons learned, provided it does not disclose the client's confidential information.
Each party may receive confidential information from the other party, Including business plans, technical details, pricing, workflows, customer data, documents, credentials, project information, security details and non-public materials.
Each party must use reasonable care to protect confidential information and use it only for the purpose of delivering or receiving the services. Confidentiality obligations do not apply to information that is public, already known, independently developed, approved for disclosure or required to be disclosed by law.
You must not use Exania services for unlawful, harmful, deceptive, abusive or high risk purposes. Prohibited uses Include:
Exania may refuse, remove, suspend or terminate any project or content that creates legal, security, reputational, ethical, platform or operational risk.
To the maximum extent permitted by law, the client agrees to defend, indemnify and hold harmless Exania, Exohood Labs Inc, affiliates, officers, directors, contractors, employees and agents from any claims, damages, losses, liabilities, fines, penalties, costs and expenses, Including reasonable legal fees, arising from:
Exania will use reasonable skill and care in providing the services. However, to the maximum extent permitted by law, the services, websites, demos, AI outputs, automations, integrations and support are provided as available and without warranties that they will be uninterrupted, error free, secure, accurate, complete or suitable for a particular business outcome.
Exania disclaims all implied warranties to the maximum extent permitted by law, Including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability and any warranty arising from course of dealing or usage of trade.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded or limited by law.
To the maximum extent permitted by law, Exania will not be liable for indirect, Incidental, special, consequential, exemplary or punitive damages, loss of profits, revenue, leads, goodwill, data, business, opportunity, reputation, anticipated savings, or business interruption.
To the maximum extent permitted by law, Exania total aggregate liability for any claim related to a paid service is limited to the amount paid by the client to Exania for the affected service during the three months before the event giving rise to the claim. For demos, free trials or unpaid use, liability is limited to 100 USD or the minimum amount permitted by law, whichever is lower where enforceable.
Exania may suspend or terminate access immediately for non-payment, chargebacks, abuse, illegal use, prohibited activity, security risk, third party policy issues, excessive usage, failure to cooperate, reputational risk, or breach of these Terms.
Termination may result in loss of access to hosted agents, dashboards, files, logs, integrations, workflows, reports, webhooks, support and monitoring unless a separate handover arrangement is agreed and paid for.
Sections about payments, intellectual property, confidentiality, client responsibilities, indemnity, disclaimers, limitation of liability, governing law and any provisions that logically should survive will continue after termination.
Unless a signed agreement states otherwise, these Terms are governed by the laws of England and Wales. The parties will first try to resolve disputes in good faith through written communication and escalation.
If the dispute cannot be resolved informally, the courts of England and Wales will have jurisdiction, unless a signed project agreement specifies another forum or mandatory law requires otherwise.
Exania is not responsible for failure or delay caused by events outside its reasonable control, Including outages, cyberattacks, infrastructure failures, provider changes, legal restrictions, strikes, natural events, war, civil unrest, payment failures, supply issues, or platform decisions.
The client may not assign or transfer its rights without Exania written consent. Exania may assign these Terms as part of a restructuring, merger, acquisition, sale of assets, or transfer of business operations.
If any part of these Terms is found unenforceable, the remaining parts continue in effect. Failure to enforce a provision is not a waiver. These Terms, together with signed project documents, form the entire agreement for the relevant services.
Exania may update these Terms to reflect changes in services, law, pricing, technology, risk, integrations or business operations. Updated Terms apply from the effective date posted on this page, subject to any mandatory legal rights.
