Terms of Service

These Terms of Service govern your access to and use of HeyRetro, including heyretro.io, retrospective boards, team workspaces, guest board links, billing features, integrations, and related services.

By creating an account, joining a board, starting a trial, paying for a plan, or otherwise using HeyRetro, you agree to these Terms. If you use HeyRetro on behalf of a company, team, or organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use HeyRetro.

HeyRetro helps teams run real-time retrospectives with templates, shared boards, cards, groups, voting, reactions, surveys, timers, action items, team management, guest participation, and related collaboration features.

Some features may be free, trial-based, paid, usage-limited, or available only on specific plans. We may add, change, suspend, or discontinue features as the product evolves.

• You must provide accurate account information and keep it current.
• You are responsible for your account, credentials, authentication methods, team members, guests, invitations, board links, and all activity under your account or workspace.
• You must be at least 16 years old to use HeyRetro.
• You must promptly notify us at [email protected] if you believe your account, board link, or workspace has been compromised.
• We may require email verification, password reset, two-factor authentication, or other security steps before allowing access to certain features.

HeyRetro lets account holders create teams, invite members, add guests, and share board links. Team owners and administrators are responsible for managing access and removing people who should no longer have access.

• Only invite people who have a legitimate relationship to the team, organization, meeting, or retro board.
• Do not use team invitations, board links, or transactional email features for unsolicited, bulk, cold outreach, promotional, or marketing messages.
• Guests with a board link may be able to view, add, vote on, react to, or edit content depending on board settings.
• You are responsible for limiting shared board links to intended participants and for removing or deleting content that should not remain in a board.

You may use HeyRetro only for lawful, internal collaboration and retrospective purposes. You must not misuse the service or help anyone else misuse it.

• Do not upload, create, or share unlawful, infringing, defamatory, harassing, hateful, abusive, deceptive, sexually exploitative, or otherwise harmful content.
• Do not use HeyRetro to send spam, phishing messages, malware, fraudulent invitations, unsolicited bulk messages, or misleading content.
• Do not attempt to access accounts, boards, teams, organizations, systems, or data without permission.
• Do not interfere with, disrupt, overload, scan, scrape, reverse engineer, or bypass security, billing, rate limits, access controls, or usage limits.
• Do not use HeyRetro to process highly sensitive data such as payment card numbers, government identifiers, protected health information, or credentials unless we have expressly agreed in writing that the service supports that use.
• Do not use HeyRetro in a way that violates applicable law, third-party rights, provider terms, or the AWS Acceptable Use Policy as it relates to email and infrastructure usage.

You retain ownership of the content you and your users submit to HeyRetro, including board names, cards, votes, reactions, survey content, action items, team names, and related collaboration data.

You grant HeyRetro a limited license to host, store, process, transmit, display, and otherwise use your content as needed to provide, secure, support, and improve the service, comply with law, and enforce these Terms.

You are responsible for your content and for ensuring that you have the rights, permissions, and lawful basis needed to submit it to HeyRetro.

HeyRetro, including its software, design, branding, interfaces, workflows, templates, documentation, and other materials, is owned by HeyRetro or its licensors and is protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use HeyRetro for your own internal collaboration purposes. No rights are granted except as expressly stated in these Terms.

If you send feedback, ideas, bug reports, feature requests, or suggestions, you allow us to use them without restriction or compensation. You are not required to provide feedback.

• Paid plans, trial periods, prices, limits, and included features are shown in the product, checkout flow, or written order.
• Payments are processed by Stripe. By starting a paid plan or trial that requires billing details, you authorize Stripe and HeyRetro to charge applicable fees, taxes, renewals, upgrades, and usage-based charges where applicable.
• Monthly and annual subscriptions renew automatically unless canceled before renewal. You can cancel or change supported plans from the billing screen or by contacting support.
• If you cancel, your paid access generally continues until the end of the current billing period unless the product or checkout flow states otherwise.
• Fees are non-refundable except where required by law, expressly stated in the checkout flow, or approved by HeyRetro.
• We may change plan prices or features. If a change materially affects an active paid plan, we will take reasonable steps to notify the account owner before the change applies.
• If payment fails, a charge is disputed, or a subscription becomes past due, we may limit, suspend, downgrade, or terminate paid features after reasonable notice where practical.

HeyRetro may integrate with third-party services such as Stripe, Google authentication, enterprise SSO providers, Microsoft Teams, email providers, hosting providers, and monitoring tools.

Third-party services are governed by their own terms and privacy notices. We are not responsible for third-party services outside our control. You are responsible for configuring integrations and permissions appropriately.

Our Privacy Policy explains how we collect, use, share, and protect personal data. By using HeyRetro, you acknowledge that personal data will be processed as described in the Privacy Policy.

If you use HeyRetro for an organization, you are responsible for providing required notices to your users, guests, invitees, and participants and for ensuring you have a lawful basis to submit their information to HeyRetro.

• Use strong credentials and keep them confidential.
• Enable two-factor authentication where appropriate.
• Review team membership, organization access, SSO settings, and shared board links regularly.
• Promptly remove users, guests, invitations, and links that should no longer have access.
• Do not share sensitive information in boards unless you have confirmed that HeyRetro is appropriate for that information and that all participants are authorized to see it.

We aim to keep HeyRetro reliable, but we do not guarantee uninterrupted or error-free operation. The service may be unavailable because of maintenance, updates, outages, provider issues, security incidents, or events outside our control.

We may modify, suspend, limit, or discontinue any part of HeyRetro at any time. Where practical, we will provide notice for material changes that affect active paid customers.

• You may stop using HeyRetro at any time and may delete supported resources or request account assistance through support.
• We may suspend or terminate access if you violate these Terms, create security or abuse risk, fail to pay fees, use the service unlawfully, or if we are required to do so by law or a provider.
• After termination, we may delete or retain data according to the Privacy Policy, legal obligations, backups, dispute needs, security needs, and product limitations.

ALL USE OF HEYRETRO, THE SERVICE, RETROSPECTIVE BOARDS, TEMPLATES, SURVEYS, VOTES, ACTION ITEMS, INTEGRATIONS, EMAIL NOTIFICATIONS, AND ANY CONTENT IS UNDERTAKEN ENTIRELY AT YOUR OWN RISK.

HEYRETRO IS PROVIDED "AS IS" AND "AS AVAILABLE" AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, ACCURACY, RELIABILITY, SECURITY, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

HeyRetro is a collaboration tool. It does not provide legal, employment, compliance, security, project management, or professional advice. Your team is responsible for decisions made from retro discussions, survey results, votes, templates, and action items.

Some jurisdictions do not allow limitations on implied warranties, so some of these disclaimers may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HEYRETRO OR ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, SERVICE PROVIDERS, OR CONTENT PROVIDERS BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICE FOR LOST PROFITS, LOST REVENUE, DATA LOSS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYRETRO AND ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, SERVICE PROVIDERS, AND CONTENT PROVIDERS SHALL NOT BE LIABLE FOR YOUR RELIANCE ON RETRO BOARDS, SURVEY RESULTS, VOTES, ACTION ITEMS, TEMPLATES, INVITATIONS, INTEGRATIONS, OR ANY OTHER CONTENT OR OUTPUT OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF HEYRETRO AND ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, SERVICE PROVIDERS, AND CONTENT PROVIDERS FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE FEES PAID BY YOU TO HEYRETRO FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR 500 USD.

IN NO EVENT SHALL HEYRETRO OR ITS OWNERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH USE OF HEYRETRO, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, implied warranties, or certain liabilities, so some of the above limitations and exclusions may not apply to you.

To the extent permitted by law, you will defend, indemnify, and hold harmless HeyRetro and its operators, suppliers, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your content, your use of the service, your violation of these Terms, your violation of law, or your violation of third-party rights.

If a written order or paid plan agreement with HeyRetro includes different legal, billing, data protection, or dispute terms, that written agreement controls for the account covered by it.

Otherwise, these Terms are governed by the laws applicable to the operator of HeyRetro, excluding conflict-of-law rules, unless consumer protection laws require another law. Courts with jurisdiction over that operator will have authority over disputes, unless applicable law requires a different forum.

We may update these Terms as HeyRetro changes or as legal, security, billing, or operational requirements evolve. If changes are material, we will take reasonable steps to notify users through the service, by email, or by another appropriate method. Continued use of HeyRetro after changes take effect means you accept the updated Terms.
