This is a legal agreement (the "Agreement") between you and Nutrient ("Company") for your use of the Nudocs services, websites, and related applications (the "Services"). "You" refers to the individual who registers for the Services or, if the Services are purchased or used on behalf of an entity, the entity that authorized such use.
"Data" refers to information, content, and files that you submit to the Services. Any software, content, or materials associated with the Services are protected by intellectual property laws and treaties.
The Company may modify the features, availability, or limits of the Services from time to time. The Company will provide the Services in accordance with this Agreement.
Do not upload sensitive personal or regulated data unless you have obtained all necessary rights and permissions and have confirmed that such use is permitted. For details on how we handle data, see our Privacy Policy.
You are not obligated to purchase any paid Services. If you choose a paid plan, you authorize us (and our billing providers) to charge the applicable fees and taxes. Subscription fees are billed in advance and renew automatically each billing period unless you cancel before the renewal date. Pricing and plan details may change with reasonable notice, and any changes apply to future billing periods.
Payments are non-refundable except where required by law. You are responsible for all charges incurred under your account.

If you upgrade your plan, we may apply prorated charges for the remainder of the current billing period. Downgrades typically take effect at the start of the next billing period. If you add or remove paid add-ons, those changes may be prorated as well.
The Services are intended for normal, lawful use. Abuse or misuse of the Services may result in suspension or termination of access.
You may not resell, distribute, lease, or provide the Services to third parties on a time-share or service bureau basis unless explicitly authorized in writing by the Company.
The Company and its suppliers retain all rights, title, and interest in the Services, including all related intellectual property. You may not remove, obscure, or alter any proprietary notices, or attempt to reverse engineer or access the Services in a manner not permitted by this Agreement.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. THE TOTAL LIABILITY OF THE COMPANY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
